INTERNATIONAL FINANCE CORPORATION ACT, 1958.
Interpretation.
1.—In this Act—
“the Agreement” means the agreement, for the establishment and operation of an international body to be called the International Finance Corporation, of which the text of the Articles is set out in the Schedule to this Act;
“the Corporation” means the International Finance Corporation established under the Agreement.
Approval of terms of the Agreement.
2.—The terms of the Agreement are hereby approved.
Financial and other provisions.
3.—(1) The subsequent subsections of this section shall come into operation on the day on which the Agreement is signed on behalf of the Government.
(2) The following payments, as and when they become appropriate to be made on behalf of the Government, shall be made out of the Central Fund or the growing produce thereof:
(a) payments in respect of subscription to the Corporation,
(b) payments under subparagraph (iii) of paragraph (c) of Section 4 of Article V of the Agreement.
(3) The Minister for Finance may borrow from any person, and the Bank of Ireland may advance to him, any sum or sums required for payments under this section and, for the purpose of such borrowing, he may create and issue any securities bearing such rate of interest and subject to such conditions as to repayment, redemption or otherwise as he thinks fit.
(4) The principal and interest of any securities issued under subsection (3) of this section and the expenses incurred in connection with their issue shall be charged on the Central Fund or the growing produce thereof.
(5) Any moneys received by the Government from the Corporation or raised by securities under subsection (3) of this section shall be placed to the credit of the account of the Exchequer and shall form part of the Central Fund and be available in any manner in which that Fund is available.
(6) The Central Bank of Ireland shall act as a depository for the holdings of currency of the State and other assets of the Corporation and may advance to the Minister for Finance any sum or sums required for payments under this section.
(7) The provisions of Sections 2, 3, 4, 5, 6, 7, 8, 9 and 11 of Article VI of the Agreement shall have the force of law in the State, subject to the proviso that nothing in the said Section 9 shall be construed—
(i) as entitling the Corporation to import goods, free of customs duty, without any restriction on their subsequent sale in the country to which they were imported,
(ii) as conferring on the Corporation any exemption from duties or taxes which form part of the price of goods sold, or
(iii) as conferring on the Corporation any exemption from duties or taxes which are in fact no more than charges for services rendered.
Short title.
4.—This Act may be cited as the International Finance Corporation Act, 1958.
SCHEDULE.
ARTICLES OF AGREEMENT OF THE INTERNATIONAL FINANCE CORPORATION.
The Governments on whose behalf this Agreement is signed agree as follows:
Introductory Article
The International Finance Corporation (hereinafter called the Corporation) is established and shall operate in accordance with the following provisions:
Article I. Purpose.
The purpose of the Corporation is to further economic development by encouraging the growth of productive private enterprise in member countries, particularly in the less developed areas, thus supplementing the activities of the International Bank for Reconstruction and Development (hereinafter called the Bank). In carrying out this purpose, the Corporation shall:
(i) in association with private investors, assist in financing the establishment, improvement and expansion of productive private enterprises which would contribute to the development of its member countries by making investments, without guarantee of repayment by the member government concerned, in cases where sufficient private capital is not available on reasonable terms;
(ii) seek to bring together investment opportunities, domestic and foreign private capital, and experienced management; and
(iii) seek to stimulate, and to help create conditions conducive to, the flow of private capital, domestic and foreign, into productive investment in member countries.
The Corporation shall be guided in all its decisions by the provisions of this Article.
Article II. Membership and Capital.
Section 1.
Membership.
(a) The original members of the Corporation shall be those members of the Bank listed in Schedule A hereto which shall, on or before the date specified in Article IX, Section 2 (c), accept membership in the Corporation.
(b) Membership shall be open to other members of the Bank at such times and in accordance with such terms as may be prescribed by the Corporation.
Section 2.
Capital Stock.
(a) The authorised capital stock of the Corporation shall be $100,000,000, in terms of United States dollars.
(b) The authorised capital stock shall be divided into 100,000 shares having a par value of one thousand United States dollars each. Any such shares not initially subscribed by original members shall be available for subsequent subscription in accordance with Section 3 (d) of this Article.
(c) The amount of capital stock at any time authorised may be increased by the Board of Governors as follows:
(i) by a majority of the votes cast, in case such increase is necesary for the purpose of issuing shares of capital stock on initial subscription by members other than original members, provided that the aggregate of any increases authorised pursuant to this subparagraph shall not exceed 10,000 shares;
(ii) in any other case, by a three-fourths majority of the total voting power.
(d) In case of an increase authorised pursuant to paragraph (c) (ii) above, each member shall have a reasonable opportunity to subscribe, under such conditions as the Corporation shall decide, to a proportion of the increase of stock equivalent to the proportion which its stock theretofore subscribed bears to the total capital stock of the Corporation, but no member shall be obligated to subscribe to any part of the increased capital.
(e) Issuance of shares of stock, other than those subscribed either on initial subscription or pursuant to paragraph (d) above, shall require a three-fourths majority of the total voting power.
(f) Shares of stock of the Corporation shall be available for subscription only by, and shall be issued only to, members.
Section 3.
Subscriptions.
(a) Each original member shall subscribe to the number of shares of stock set forth opposite its name in Schedule A. The number of shares of stock to be subscribed by other members shall be determined by the Corporation.
(b) Shares of stock initially subscribed by original members shall be issued at par.
(c) The initial subscription of each original member shall be payable in full within 30 days after either the date on which the Corporation shall begin operations pursuant to Article IX, Section 3 (b), or the date on which such original member becomes a member, whichever shall be later, or at such date thereafter as the Corporation shall determine. Payment shall be made in gold or United States dollars in response to a call by the Corporation which shall specify the place or places of payment.
(d) The price and other terms of subscription of shares of stock to be subscribed, otherwise than on initial subscription by original members, shall be determined by the Corporation.
Section 4.
Limitation on Liability.
No member shall be liable, by reason of its membership, for obligations of the Corporation.
Section 5.
Restriction on Transfers and Pledges of Shares.
Shares of stock shall not be pledged or encumbered in any manner whatever, and shall be transferable only to the Corporation.
Article III. Operations.
Section 1.
Financing Operations.
The Corporation may make investments of its funds in productive private enterprises in the territories of its members. The existence of a government or other public interest in such an enterprise shall not necessarily preclude the Corporation from making an investment therein.
Section 2.
Forms of Financing.
(a) The Corporation's financing shall not take the form of investments in capital stock. Subject to the foregoing, the Corporation may make investments of its funds in such form or forms as it may deem appropriate in the circumstances, including (but without limitation) investments according to the holder thereof the right to participate in earnings and the right to subscribe to, or to convert the investment into, capital stock.
(b) The Corporation shall not itself exercise any right to subscribe to, or to convert any investment into, capital stock.
Section 3.
Operational Principles.
The operations of the Corporation shall be conducted in accordance with the following principles:
(i) the Corporation shall not undertake any financing for which in its opinion sufficient private capital could be obtained on reasonable terms;
(ii) the Corporation shall not finance an enterprise in the territories of any member if the member objects to such financing;
(iii) the Corporation shall impose no conditions that the proceeds of any financing by it shall be spent in the territories of any particular country;
(iv) the Corporation shall not assume responsibility for managing any enterprise in which it has invested;
(v) the Corporation shall undertake its financing on terms and conditions which it considers appropriate, taking into account the requirements of the enterprise, the risks being undertaken by the Corporation and the terms and conditions normally obtained by private investors for similar financing;
(vi) the Corporation shall seek to revolve its funds by selling its investments to private investors whenever it can appropriately do so on satisfactory terms;
(vii) the Corporation shall seek to maintain a reasonable diversification in its investments.
Section 4.
Protection of Interests.
Nothing in this Agreement shall prevent the Corporation, in the event of actual or threatened default on any of its investments, actual or threatened insolvency of the enterprise in which such investment shall have been made, or other situations which, in the opinion of the Corporation, threaten to jeopardise such investment, from taking such action and exercising such rights as it may deem necessary for the protection of its interests.
Section 5.
Applicability of Certain Foreign Exchange Restrictions.
Funds received by or payable to the Corporation in respect of an investment of the Corporation made in any member's territories pursuant to Section 1 of this Article shall not be free, solely by reason of any provision of this Agreement, from generally applicable foreign exchange restrictions, regulations and controls in force in the territories of that member.
Section 6.
Miscellaneous Operations.
In addition to the operations specified elsewhere in this Agreement, the Corporation shall have the power to:
(i) borrow funds, and in that connection to furnish such collateral or other security therefor as it shall determine; provided, however, that before making a public sale of its obligations in the markets of a member, the Corporation shall have obtained the approval of that member and of the member in whose currency the obligations are to be denominated;
(ii) invest funds not needed in its financing operations in such obligations as it may determine and invest funds held by it for pension or similar purposes in any marketable securities, all without being subject to the restrictions imposed by other sections of this Article;
(iii) guarantee securities in which it has invested in order to facilitate their sale;
(iv) buy and sell securities it has issued or guaranteed or in which it has invested;
(v) exercise such other powers incidental to its business as shall be necessary or desirable in furtherance of its purposes.
Section 7.
Valuation of Currencies.
Whenever it shall become necessary under this Agreement to value any currency in terms of the value of another currency, such valuation shall be as reasonably determined by the Corporation after consultation with the International Monetary Fund.
Section 8.
Warning to be Placed on Securities.
Every security issued or guaranteed by the Corporation shall bear on its face a conspicuous statement to the effect that it is not an obligation of the Bank or, unless expressly stated on the security, of any government.
Section 9.
Political Activity Prohibited.
The Corporation and its officers shall not interfere in the political affairs of any member; nor shall they be influenced in their decisions by the political character of the member or members concerned. Only economic considerations shall be relevant to their decisions, and these considerations shall be weighed impartially in order to achieve the purposes stated in this Agreement.
Article IV. Organisation and Management.
Section 1.
Structure of the Corporation.
The Corporation shall have a Board of Governors, a Board of Directors, a Chairman of the Board of Directors, a President and such other officers and staff to perform such duties as the Corporation may determine.
Section 2.
Board of Governors.
(a) All the powers of the Corporation shall be vested in the Board of Governors.
(b) Each Governor and Alternate Governor of the Bank appointed by a member of the Bank which is also a member of the Corporation shall ex officio be a Governor or Alternate Governor, respectively, of the Corporation. No Alternate Governor may vote except in the absence of his principal. The Board of Governors shall select one of the Governors as Chairman of the Board of Governors. Any Governor or Alternate Governor shall cease to hold office if the member by which he was appointed shall cease to be a member of the Corporation.
(c) The Board of Governors may delegate to the Board of Directors authority to exercise any of its powers, except the power to:
(i) admit new members and determine the conditions of their admission;
(ii) increase or decrease the capital stock;
(iii) suspend a member;
(iv) decide appeals from interpretations of this Agreement given by the Board of Directors;
(v) make arrangements to co-operate with other international organisations (other than informal arrangements of a temporary and administrative character);
(vi) decide to suspend permanently the operations of the Corporation and to distribute its assets;
(vii) declare dividends;
(viii) amend this Agreement.
(d) The Board of Governors shall hold an annual meeting and such other meetings as may be provided for by the Board of Governors or called by the Board of Directors.
(e) The annual meeting of the Board of Governors shall be held in conjunction with the annual meeting of the Board of Governors of the Bank.
(f) A quorum for any meeting of the Board of Governors shall be a majority of the Governors, exercising not less than two-thirds of the total voting power.
(g) The Corporation may by regulation establish a procedure whereby the Board of Directors may obtain a vote of the Governors on a specific question without calling a meeting of the Board of Governors.
(h) The Board of Governors, and the Board of Directors to the extent authorised, may adopt such rules and regulations as may be necessary or appropriate to conduct the business of the Corporation.
(i) Governors and Alternate Governors shall serve as such without compensation from the Corporation.
Section 3.
Voting.
(a) Each member shall have two hundred fifty votes plus one additional vote for each share of stock held.
(b) Except as otherwise expressly provided, all matters before the Corporation shall be decided by a majority of the votes cast.
section 4.
Board of Directors.
(a) The Board of Directors shall be responsible for the conduct of the general operations of the Corporation, and for this purpose shall exercise all the powers given to it by this Agreement or delegated to it by the Board of Governors.
(b) The Board of Directors of the Corporation shall be composed ex officio of each Executive Director of the Bank who shall have been either (i) appointed by a member of the Bank which is also a member of the Corporation, or (ii) elected in an election in which the votes of at least one member of the Bank which is also a member of the Corporation shall have counted toward his election. The Alternate to each such Executive Director of the Bank shall ex officio be an Alternate Director of the Corporation. Any Director shall cease to hold office if the member by which he was appointed, or if all the members whose votes counted toward his election, shall cease to be members of the Corporation.
(c) Each Director who is an appointed Executive Director of the Bank shall be entitled to cast the number of votes which the member by which he was so appointed is entitled to cast in the Corporation. Each Director who is an elected Executive Director of the Bank shall be entitled to cast the number of votes which the member or members of the Corporation whose votes counted toward his election in the Bank are entitled to cast in the Corporation. All the votes which a Director is entitled to cast shall be cast as a unit.
(d) An Alternate Director shall have full power to act in the absence of the Director who shall have appointed him. When a Director is present, his Alternate may participate in meetings but shall not vote.
(e) A quorum for any meeting of the Board of Directors shall be a majority of the Directors exercising not less than one-half of the total voting power.
(f) The Board of Directors shall meet as often as the business of the Corporation may require.
(g) The Board of Governors shall adopt regulations under which a member of the Corporation not entitled to appoint an Executive Director of the Bank may send a representative to attend any meeting of the Board of Directors of the Corporation when a request made by, or a matter particularly affecting, that member is under consideration.
Section 5.
Chairman, President and Staff.
(a) The President of the Bank shall be ex officio Chairman of the Board of Directors of the Corporation, but shall have no vote except a deciding vote in case of an equal division. He may participate in meetings of the Board of Governors but shall not vote at such meetings.
(b) The President of the Corporation shall be appointed by the Board of Directors on the recommendation of the Chairman. The President shall be chief of the operating staff of the Corporation. Under the direction of the Board of Directors and the general supervision of the Chairman, he shall conduct the ordinary business of the Corporation and under their general control shall be responsible for the organisation, appointment and dismissal of the officers and staff. The President may participate in meetings of the Board of Directors but shall not vote at such meetings. The President shall cease to hold office by decision of the Board of Directors in which the Chairman concurs.
(c) The President, officers and staff of the Corporation, in the discharge of their offices, owe their duty entirely to the Corporation and to no other authority. Each member of the Corporation shall respect the international character of this duty and shall refrain from all attempts to influence any of them in the discharge of their duties.
(d) Subject to the paramount importance of securing the highest standards of efficiency and of technical competence, due regard shall be paid, in appointing the officers and staff of the Corporation, to the importance of recruiting personnel on as wide a geographical basis as possible.
Section 6.
Relationship to the Bank.
(a) The Corporation shall be an entity separate and distinct from the Bank and the funds of the Corporation shall be kept separate and apart from those of the Bank. The Corporation shall not lend to or borrow from the Bank. The provisions of this Section shall not prevent the Corporation from making arrangements with the Bank regarding facilities, personnel and services and arrangements for reimbursement of administrative expenses paid in the first instance by either organisation on behalf of the other.
(b) Nothing in this Agreement shall make the Corporation liable for the acts or obligations of the Bank, or the Bank liable for the acts or obligations of the Corporation.
Section 7.
Relations With Other International Organisations.
The Corporation, acting through the Bank, shall enter into formal arrangements with the United Nations and may enter into such arrangements with other public international organisations having specialised responsibilities in related fields.
Section 8.
Location of Offices.
The principal office of the Corporation shall be in the same locality as the principal office of the Bank. The Corporation may establish other offices in the territories of any member.
Section 9.
Depositories.
Each member shall designate its central bank as a depository in which the Corporation may keep holdings of such member's currency or other assets of the Corporation or, if it has no central bank, it shall designate for such purpose such other institution as may be acceptable to the Corporation.
Section 10.
Channel of Communication.
Each member shall designate an appropriate authority with which the Corporation may communicate in connection with any matter arising under this Agreement.
Section 11.
Publication of Reports and Provision of Information.
(a) The Corporation shall publish an annual report containing an audited statement of its accounts and shall circulate to members at appropriate intervals a summary statement of its financial position and a profit and loss statement showing the results of its operations.
(b) The Corporation may publish such other reports as it deems desirable to carry out its purposes.
(c) Copies of all reports, statements and publications made under this Section shall be distributed to members.
Section 12.
Dividends.
(a) The Board of Governors may determine from time to time what part of the Corporation's net income and surplus, after making appropriate provision for reserves, shall be distributed as dividends.
(b) Dividends shall be distributed pro rata in proportion to capital stock held by members.
(c) Dividends shall be paid in such manner and in such currency or currencies as the Corporation shall determine.
Article V. Withdrawal; Suspension of Membership; Suspension of Operations.
Section 1.
Withdrawal by Members.
Any member may withdraw from membership in the Corporation at any time by transmitting a notice in writing to the Corporation at its principal office. Withdrawal shall become effective upon the date such notice is received.
Section 2.
Suspension of Membership.
(a) If a member fails to fulfill any of its obligations to the Corporation, the Corporation may suspend its membership by decision of a majority of the Governors, exercising a majority of the total voting power. The member so suspended shall automatically cease to be a member one year from the date of its suspension unless a decision is taken by the same majority to restore the member to good standing.
(b) While under suspension, a member shall not be entitled to exercise any rights under this Agreement except the right of withdrawal, but shall remain subject to all obligations.
Section 3.
Suspension or Cessation of Membership in the Bank.
Any member which is suspended from membership in, or ceases to be a member of, the Bank shall automatically be suspended from membership in, or cease to be a member of, the Corporation, as the case may be.
Section 4.
Rights and Duties of Governments Ceasing to be Members.
(a) When a government ceases to be a member it shall remain liable for all amounts due from it to the Corporation. The Corporation shall arrange for the repurchase of such government's capital stock as a part of the settlement of accounts with it in accordance with the provisions of this Section, but the government shall have no other rights under this Agreement except as provided in this Section and in Article VIII (c).
(b) The Corporation and the government may agree on the repurchase of the capital stock of the government on such terms as may be appropriate under the circumstances, without regard to the provisions of paragraph (c) below. Such agreement may provide, among other things, for a final settlement of all obligations of the government to the Corporation.
(c) If such agreement shall not have been made within six months after the government ceases to be a member or such other time as the Corporation and such government may agree, the repurchase price of the government's capital stock shall be the value thereof shown by the books of the Corporation on the day when the government ceases to be a member. The repurchase of the capital stock shall be subject to the following conditions:
(i) payments for shares of stock may be made from time to time, upon their surrender by the government, in such instalments, at such times and in such available currency or currencies as the Corporation reasonably determines, taking into account the financial position of the Corporation;
(ii) any amount due to the government for its capital stock shall be withheld so long as the government or any of its agencies remains liable to the Corporation for payment of any amount and such amount may, at the option of the Corporation, be set off, as it becomes payable, against the amount due from the Corporation;
(iii) if the Corporation sustains a net loss on the investments made pursuant to Article III, Section 1, and held by it on the date when the government ceases to be a member, and the amount of such loss exceeds the amount of the reserves provided therefor on such date, such government shall repay on demand the amount by which the repurchase price of its shares of stock would have been reduced if such loss had been taken into account when the repurchase price was determined.
(d) In no event shall any amount due to a government for its capital stock under this Section be paid until six months after the date upon which the government ceases to be a member. If within six months of the date upon which any government ceases to be a member the Corporation suspends operations under Section 5 of this Article, all rights of such government shall be determined by the provisions of such Section 5 and such government shall be considered still a member of the Corporation for purposes of such Section 5, except that it shall have no voting rights.
Section 5.
Suspension of Operations and Settlement of Obligations.
(a) The Corporation may permanently suspend its operations by vote of a majority of the Governors exercising a majority of the total voting power. After such suspension of operations the Corporation shall forthwith cease all activities, except those incident to the orderly realization, conservation and preservation of its assets and settlement of its obligations. Until final settlement of such obligations and distribution of such assets, the Corporation shall remain in existence and all mutual rights and obligations of the Corporation and its members under this Agreement shall continue unimpaired, except that no member shall be suspended or withdraw and that no distribution shall be made to members except as in this Section provided.
(b) No distribution shall be made to members on account of their subscriptions to the capital stock of the Corporation until all liabilities to creditors shall have been discharged or provided for and until the Board of Governors, by vote of a majority of the Governors exercising a majority of the total voting power, shall have decided to make such distribution.
(c) Subject to the foregoing, the Corporation shall distribute the assets of the Corporation to members pro rata in proportion to capital stock held by them, subject, in the case of any member, to prior settlement of all outstanding claims by the Corporation against such member. Such distribution shall be made at such times, in such currencies, and in cash or other assets as the Corporation shall deem fair and equitable. The shares distributed to the several members need not necessarily be uniform in respect of the type of assets distributed or of the currencies in which they are expressed.
(d) Any member receiving assets distributed by the Corporation pursuant to this Section shall enjoy the same rights with respect to such assets as the Corporation enjoyed prior to their distribution.
Article VI. Status, Immunities and Privileges.
Section 1.
Purposes of Article.
To enable the Corporation to fulfill the functions with which it is entrusted, the status, immunities and privileges set forth in this Article shall be accorded to the Corporation in the territories of each member.
Section 2.
Status of the Corporation.
The Corporation shall possess full juridical personality and, in particular, the capacity:
(i) to contract;
(ii) to acquire and dispose of immovable and movable property;
(iii) to institute legal proceedings.
Section 3.
Position of the Corporation with Regard to Judicial Process.
Actions may be brought against the Corporation only in a court of competent jurisdiction in the territories of a member in which the Corporation has an office, has appointed an agent for the purpose of accepting service or notice of process, or has issued or guaranteed securities. No actions shall, however, be brought by members or persons acting for or deriving claims from members. The property and assets of the Corporation shall, wheresoever located and by whomsoever held, be immune from all forms of seizure, attachment or execution before the delivery of final judgment against the Corporation.
Section 4.
Immunity of Assets from Seizure.
Property and assets of the Corporation, wherever located and by whomsoever held, shall be immune from search, requisition, confiscation, expropriation or any other form of seizure by executive or legislative action.
Section 5.
Immunity of Archives.
The archives of the Corporation shall be inviolable.
Section 6.
Freedom of Assets from Restrictions.
To the extent necessary to carry out the operations provided for in this Agreement and subject to the provisions of Article III, Section 5, and the other provisions of this Agreement, all property and assets of the Corporation shall be free from restrictions, regulations, controls and moratoria of any nature.
Section 7.
Privilege for Communications.
The official communications of the Corporation shall be accorded by each member the same treatment that it accords to the official communications of other members.
Section 8.
Immunities and Privileges of Officers and Employees.
All Governors, Directors, Alternates, officers and employees of the Corporation:
(i) shall be immune from legal process with respect to acts performed by them in their official capacity;
(ii) not being local nationals, shall be accorded the same immunities from immigration restrictions, alien registration requirements and national service obligations and the same facilities as regards exchange restrictions as are accorded by members to the representatives, officials, and employees of comparable rank of other members;
(iii) shall be granted the same treatment in respect of travelling facilities as is accorded by members to representatives, officials and employees of comparable rank of other members.
Section 9.
Immnunities from Taxation.
(a) The Corporation, its assets, property, income and its operations and transactions authorised by this Agreement, shall be immune from all taxation and from all customs duties. The Corporation shall also be immune from liability for the collection or payment of any tax or duty.
(b) No tax shall be levied on or in respect of salaries and emoluments paid by the Corporation to Directors, Alternates, officials or employees of the Corporation who are not local citizens, local subjects, or other local nationals.
(c) No taxation of any kind shall be levied on any obligation or security issued by the Corporation (including any dividend or interest thereon) by whomsoever held:
(i) which discriminates against such obligation or security solely because it is issued by the Corporation; or
(ii) if the sole jurisdictional basis for such taxation is the place or currency in which it is issued, made payable or paid, or the location of any office or place of business maintained by the Corporation.
(d) No taxation of any kind shall be levied on any obligation or security guaranteed by the Corporation (including any dividend or interest thereon) by whomsoever held:
(i) which discriminates against such obligation or security solely because it is guaranteed by the Corporation; or
(ii) if the sole jurisdictional basis for such taxation is the location of any office or place of business maintained by the Corporation.
Section 10.
Application of Article.
Each member shall take such action as is necessary in its own territories for the purpose of making effective in terms of its own law the principles set forth in this Article and shall inform the Corporation of the detailed action which it has taken.
Section 11.
Waiver.
The Corporation in its discretion may waive any of the privileges and immunities conferred under this Article to such extent and upon such conditions as it may determine.
Article VII. Amendments.
(a) This Agreement may be amended by vote of three-fifths of the Governors exercising four-fifths of the total voting power.
(b) Notwithstanding paragraph (a) above, the affirmative vote of all Governors is required in the case of any amendment modifying:
(i) the right to withdraw from the Corporation provided in Article V, Section 1;
(ii) the pre-emptive right secured by Article II, Section 2 (d);
(iii) the limitation on liability provided in Article II, Section 4.
(c) Any proposal to amend this Agreement, whether emanating from a member, a Governor or the Board of Directors, shall be communicated to the Chairman of the Board of Governors who shall bring the proposal before the Board of Governors. When an amendment has been duly adopted, the Corporation shall so certify by formal communication addressed to all members. Amendments shall enter into force for all members three months after the date of the formal communication unless the Board of Governors shall specify a shorter period.
Article VIII. Interpretation and Arbitration.
(a) Any question of interpretation of the provisions of this Agreement arising between any member and the Corporation or between any members of the Corporation shall be submitted to the Board of Directors for its desion. If the question particularly affects any member of the Corporation not entitled to appoint an Executive Director of the Bank, it shall be entitled to representation in accordance with Article IV, Section 4 (g).
(b) In any case where the Board of Directors has given a decision under (a) above, any member may require that the question be referred to the Board of Governors, whose decision shall be final. Pending the result of the reference to the Board of Governors, the Corporation may, so far as it deems necessary, act on the basis of the decision of the Board of Directors.
(c) Whenever a disagreement arises between the Corporation and a country which has ceased to be a member, or between the Corporation and any member during the permanent suspension of the Corporation, such disagreement shall be submitted to arbitration by a tribunal of three arbitrators, one appointed by the Corporation, another by the country involved and an umpire who, unless the parties otherwise agree, shall be appointed by the President of the International Court of Justice or such other authority as may have been prescribed by regulation adopted by the Corporation. The umpire shall have full power to settle all questions of procedure in any case where the parties are in disagreement with respect thereto.
Article IX. Final Provisions.
Section 1.
Entry into Force.
This Agreement shall enter into force when it has been signed on behalf of not less than 30 governments whose subscriptions comprise not less than 75 per cent of the total subscriptions set forth in Schedule A and when the instruments referred to in Section 2 (a) of this Article have been deposited on their behalf, but in no event shall this Agreement enter into force before October 1, 1955.
Section 2.
Signature.
(a) Each government on whose behalf this Agreement is signed shall deposit with the Bank an instrument setting forth that it has accepted this Agreement without reservation in accordance with its law and has taken all steps necessary to enable it to carry out all of its obligations under this Agreement.
(b) Each government shall become a member of the Corporation as from the date of the deposit on its behalf of the instrument referred to in paragraph (a) above except that no government shall become a member before this Agreement enters into force under Section 1 of this Article.
(c) This Agreement shall remain open for signature until the close of business on December 31, 1956, at the principal office of the Bank on behalf of the governments of the countries whose names are set forth in Schedule A.
(d) After this Agreement shall have entered into force, it shall be open for signature on behalf of the government of any country whose membership has been approved pursuant to Article II, Section 1 (b).
Section 3.
Inauguration of the Corporation.
(a) As soon as this Agreement enters into force under Section 1 of this Article the Chairman of the Board of Directors shall call a meeting of the Board of Directors.
(b) The Corporation shall begin operations on the date when such meeting is held.
(c) Pending the first meeting of the Board of Governors, the Board of Directors may exercise all the powers of the Board of Governors except those reserved to the Board of Governors under this Agreement.
Done at Washington, in a single copy which shall remain deposited in the archives of the International Bank for Reconstruction and Development, which has indicated by its signature below its agreement to act as depository of this Agreement and to notify all governments whose names are set forth in Schedule A of the date when this Agreement shall enter into force under Article IX, Section 1 hereof.

1.—San Acht seo—
ciallaíonn “an Comhaontú” an comhaontú, chun comhlacht idirnáisiúnta dá ngairfear an Chorparáid Airgeadais Idirnáisiúnta a bhunú agus a oibriú, a bhfuil téacs a chuid Airteagal leagtha amach sa Sceideal a ghabhann leis an Acht seo;
ciallaíonn “an Chorparáid” an Chorparáid Airgeadais Idirnáisiúnta a bhunaítear faoin gComhaontú.
Formheas ar théarmaí an Chomhaontaithe.
2.—Formheastar leis seo téarmaí an Chomhaontaithe.
Forálacha airgeadais agus forálacha eile.
3.—(1) Tiocfaidh na fo-ailt ina dhiaidh seo den alt seo i ngníomh an lá a shíneofar an Comhaontú thar ceann an Rialtais.
(2) Déanfar na híocaíochtaí seo a leanas, amhail mar agus nuair is iomchuí iad a íoc thar ceann an Rialtais, a íoc as an bPríomh-Chiste nó a thoradh fáis:
(a) íocaíochtaí i leith suibscríobh chun na Corparáide,
(b) íocaíochtaí faoi fho-mhír (iii) de mhír (c) d'alt 4 d'Airteagal V den Chomhaontú.
(3) Féadfaidh an tAire Airgeadais aon suim nó suimeanna is gá faoi chomhair íocaíochtaí faoin alt seo a thógáil ar iasacht ó dhuine ar bith agus féadfaidh Banc na hÉireann an céanna a airleacan chuige agus, chun an céanna a thógáil ar iasacht, féadfaidh an tAire Airgeadais urrúis ar bith a chruthnú agus a eisiúint, agus iad faoi cibé ráta úis agus faoi réir cibé coinníollacha i dtaobh aisíoca, fuascailte nó eile is oiriúnach leis.
(4) Déanfar príomhshuim agus ús aon urrús a eiseofar faoi fho-alt (3) den alt seo, agus na costais faoina rachfar i leith a n-eisiúna, a mhuirearú ar an bPríomh-Chiste nó a thoradh fáis.
(5) Déanfar aon airgead a gheobhaidh an Rialtas ón gCorparáid nó a chruinneofar trí urrúis faoi fho-alt (3) den alt seo a chur chun creidiúna cuntais an Stát-Chiste agus beidh sé ina chuid den Phríomh-Chiste agus beidh sé ar fáil in aon slí ina mbeidh an Príomh-Chiste ar fáil.

(7) Beidh feidhm dlí sa Stát ag forálacha Alt 2, 3, 4, 5, 6, 7, 8, 9 agus 11 d'Airteagal VI den Chomhaontú, ar choinníoll nach ndéanfar aon ní san Alt sin 9 a fhorléiriú mar ní—

AN SCEIDEAL.
AIRTEAGAIL CHOMHAONTAITHE NA CORPARAIDE AIRGEADAIS IDIRNAISIUNTA.
Na Rialtais a bhfuil an Comhaontú seo sínithe thar a gceann comhaontaíonn siad mar leanas:
Airteagal Réamhráiteach.
Tá an Chorparáid Airgeadais Idirnáisiúnta (dá ngairtear “an Chorparáid” anseo feasta) arna bunú agus oibreoidh sí de réir na bhforálacha seo a leanas:
Airteagal I. Cuspóir.
Is é cuspóir na Corparáide forbairt gheilleagrach a chur ar aghaidh trí fhás fiontraíochta príobháidí a ghríosadh i gcomhaltathíortha, go háirithe sna ceantair is lú forbairt, agus forlíonadh a dhéanamh sa tslí sin ar ghníomhachtaí an Bhainc Idirnáisiúnta le haghaidh Athinmhithe agus Forbairte (dá ngairtear an Banc anseo feasta). Ag cur an Chuspóra sin i gcrích di:
(i) tabharfaidh an Chorparáid, i gcomhar le hinfheisteoirí príobháideacha, cabhair airgid ag bunú, ag feabhsú agus ag méadú gnóthas príobháideacha táirge a chabhródh le forbairt a comhalta-thíortha trí infheistíochtaí a dhéanamh, gan ráthaíocht aisíoca ón gcomhalta-rialtas lena mbainfidh, i gcásanna nach bhfuil dóthain caipitil phríobháidigh ar fáil ar théarmaí réasúnacha;
(ii) féachfaidh an Chorparáid le deiseannaí infheistíochta, caipiteal príobháideach, dúchais agus coigríche, agus bainistíocht eolach a thabhairt i gcionn a chéile;
(iii) féachfaidh an Chorparáid le neartú ar an ngluaiseacht, agus féachfaidh sí le staid a chruthú a chabhródh le gluaiseacht, chaipitil phríobháidigh, dúchais agus coigríche, isteach in infheistíocht táirge i gcomhalta-thíortha.

Airteagal II. Comhaltas agus Caipiteal.
Alt 1.
Comhaltas.
(a) Is iad comhaltaí bunaidh na Corparáide na comhaltaí sin den Bhanc atá ar liosta i Sceideal A a ghabhann leis seo agus a ghlacfaidh comhaltas sa Chorparáid ar nó roimh an dáta a shonraítear in Airteagal IX, Alt 2 (c).
(b) Beidh comhaltas ar fáil do chomhaltaí eile den Bhanc cibé trátha agus de réir cibé téarmaí a fhorordóidh an Chorparáid.
Alt 2.
Stoc Caipitil.
(a) Is é stoc caipitil údaraithe na Corparáide $100,000,000, i dtéarmaí dollar na Stát Aontaithe.
(b) Roinnfear an stoc caipitil údaraithe ina 100,000 scair ar míle de dhollair na Stát Aontaithe par-luach gach scaire acu. Beidh aon scaireanna den sórt sin nach mbeidh suibscríofa ó thosach ag comhaltaí bunaidh ar fáil le suibscríobh dá éis sin de réir Ailt 3 (d) den Airteagal seo.
(c) Féadfaidh an Bord Rialtóirí an méid stoic chaipitil a bheidh údaraithe aon tráth áirithe a mhéadú mar leanas:
(i) le tromlach na vótaí a chaithfear, i gcás inar gá an méadú sin chun scaireanna stoic chaipitil a eisiúint ar shuibscríobh tosaigh a dhéanamh ag comhaltaí seachas comhaltaí bunaidh, ar choinníoll nach mó ná 10,000 scair comhiomlán aon mhéaduithe a údarófar de bhun na fo-mhíre, seo;
(ii) In aon chás eile, le tromlach thrí ceathrúna na cumhachta vótála iomláine.

Alt 3.
Suibscríobh.
(a) Suibscríobhfaidh gach comhalta bunaidh i leith an méid scaireanna stoic atá leagtha amach os coinne a ainme i Sceideal A. Cinnfidh an Chorparáid an méid scaireanna stoic a shuibscríobhfaidh comhaltaí eile.
(b) Déanfar na scaireanna stoic a shuibscríobhfaidh comhaltaí bunaidh i dtosach a eisiúint ar par.
(c) Beidh suibscríobh tosaigh gach comhalta bunaidh iníoctha go hiomlán laistigh de 30 lá tar éis an dáta a thosóidh an Chorparáid ar oibríochtaí de bhun Airteagail IX, Alt 3 (b), nó ar an dáta a thiocfaidh an comhalta bunaidh sin chun bheith ina chomhalta, cibé dáta acu sin is déanaí, nó ar cibé dáta dá éis sin a chinnfidh an Chorparáid. Is in ór nó i ndollair na Stát Aontaithe a dhéanfar íocaíocht de fhreagra ar ghlao ón gCorparáid a shonróidh ionad nó ionaid na híocaíochta.
(d) Cinnfidh an Chorparáid praghas agus téarmaí eile suibscríofa scaireanna stoic a shuibscríofar, seachas i gcás suibscríofa thosaigh ag comhaltaí bunaidh.
Alt 4.
Teorainn le dliteanas.
Ní bheidh aon chomhalta faoi dhliteanas, mar gheall ar a chomhaltas, i leith oblagáidí na Corparáide.
Alt 5.
Srian le Scaireanna a Aistriú nó a Chur i nGeall.
Ní chuirfear scaireanna stoic i ngeall ná faoi eire i slí ar bith, agus is chun na Corparáide amháin a bheidh siad inaistrithe.
Airteagal III. Oibríochtaí.
Alt 2.
Oibríochtaí Airgeadasaithe.
Féadfaidh an Chorparáid a cistí a infheistiú i bhfiontair tháirge phríobháideacha i gcríocha a comhaltaí. Ní gá go gcuirfeadh leas rialtais nó leas poiblí eile i bhfiontar den sórt sin an Chorparáid ó infheistiú ann.
Alt 2.
Modhanna Airgeadasaithe.
(a) Ní ar mhodh infheistíochtaí i stoc caipitil a dhéanfar airgeadasú na Corparáide. Faoi réir na méide sin roimhe seo, féadfaidh an Chorparáid a cistí a infheistiú ar cibé modh nó modhanna is dóigh léi is iomchuí sna himthosca, lena n-áirítear (ach gan teorainn) infheistiú in infheistióchtaí a thugann ceart do shealbhóirí an chéanna a bheith páirteach i dtuilleamh agus ceart chun suibscríobh i leith stoic chaipitil nó an infheistíocht a chomhshó ina stoc chaipitil.
(b) Ní fheidhmeoidh an Chorparáid féin aon cheart chun suibscríobh i leith stoic chaipitil nó aon infheistíocht a chomhshó ina stoc caipitil.
Alt 3.
Prionsabail Oibríochta.
Seolfar oibríochtaí na Corparáide de réir na bprionsabal seo a leanas:
(i) ní thabharfaidh an Chorparáid faoi aon airgeadasú ar dóigh léi go bhféadfaí dóthain caipitil phríobháidigh a fháil chuige ar théarmaí réasúnacha;
(ii) ní airgeadasóidh an Chorparáid aon fhiontar i gcríocha aon chomhalta má chuireann an comhalta i gcoinne an airgeadasaithe sin;
(iii) ní chuirfidh an Chorparáid aon choinníollacha gur i gcríocha aon tíre áirithe a chaithfear sochair aon airgeadasaithe aige;
(iv) ní ghlacfaidh an Chorparáid aon fhreagarthacht i leith bainistí aon fhiontair ina mbeidh sí tar éis infheistiú;
(v) déanfaidh an Chorparáid a hairgeadasú ar théarmaí agus coinníollacha is dóigh léi is iomchuí, agus tabharfaidh sí aird ar riachtanais an tionscadail, na fiontair ina mbeidh an Chorparáid ag dul agus na téarmaí agus na coinníollacha is gnáth le hinfheisteoirí príobháideacha a fháil i leith airgeadasaithe den sórt céanna;
(vi) féachfaidh an Chorparáid lena cistí a chur sa timpeall trína hinfheistíochtaí a dhíol le hinfheisteoirí príobháideacha aon uair is féidir léis sin a dhéanamh go hiomchuí ar théarmaí sásúla;
(vii) féachfaidh an Chorparáid chuige gur infheistíochtaí réasúnta éagsúil a hinfheistíochtaí.
Alt 4.
Leasa a Chosaint.
Má tharlaíonn nó más baolach go dtarlóidh teip i gcás aon cheann dá hinfheistíochtaí nó má éiríonn nó más baolach go n-éireoidh an tionscadal dócmhainneach ina mbeidh an infheistíocht sin, nó má tharlaíonn nó más baolach go dtarloídh teagmhais eile is dóigh leis an gCorparáid is baol contúirte don infheistíocht sin, ní choiscfidh aon ní sa Chomhaontú seo ar an gCorparáid cibé beart a dhéanamh agus cibé cirt a fheidhmiú is dóigh léi is gá chun a leasa a chaomhaint.
Alt 5.
Feidhm a bheith ag Sriantachtaí Iomlaoide Coigríche Airithe.
Aon airgead a gheobhaidh an Chorparáid nó is iníoctha léi i leith infheistíochta de chuid na Corparáide a rinneadh i gcríocha aon chomhalta de bhun Ailt 1 den Airteagal seo ní bheidh sé saor, amháin de dhroim aon fhorála sa Chomhaontú seo, ó na sriantachtaí, na rialacháin agus na rialuithe i leith iomlaoide coigríche ag á mbeidh feidhm ghinearálta i gcríocha an chomhalta sin.
Alt 6.
Oibríochtaí Ilghnéitheacha.
I dteannta na n-oibríochtaí a shonraítear in aon áit eile sa Chomhaontú seo, beidh cumhacht ag an gCorparáid:
(i) cistí a thógáil ar iasacht, agus cibé cúl-urrús nó urrús eile a thabhairt ina leith a chinnfidh sí; ar choinníoll ámh, go bhfaghaidh an Chorparáid, sula ndíola sí go poiblí a hoblagáidí ar mhargaí chomhalta, ceadú an chomhalta sin agus ceadú an chomhalta ar ina airgeadra a bheifear chun na hoblagáidí a ainmniú;
(ii) cistí nach mbeidh ag teastáil le haghaidh a hoibríochtaí airgeadasaithe a infheistiú i cibé oblagáidí a chinnfidh sí agus cistí a bheidh aici chun críocha pinsean nó críocha dá samhail a infheistiú in aon urrúis inmhargaidh, agus iad go léir saor ó na sriantachtaí a fhorchuirtear le hailt eile den Airteagal seo;
(iii) urrúis ina mbeidh infheistíochtaí aici a ráthú lena ndíol a éascú;
(iv) urrúis d'eisigh sí nó a ráthaigh sí nó ina bhfuil infheistíochtaí aici a dhíol agus a cheannach;
(v) cibé cumhachtaí eile i ndáil lena gnó a fheidhmiú is gá nó is inmhianaithe chun a gnó a chur i gcrích.
Alt 7.
Luacháil Airgeadraí.
Aon uair a bheidh sé riachtanach faoin gComhaontú seo aon airgeadra a luacháil i dtéarmaí luacha airgeadra eile, is í luacháil í luacháil a chinnfidh an Chorparáid go réasúnach tar éis dul i gcomhairle leis an gCiste Airgeadaíochta Idirnáisiúnta.
Alt 8.
Rabhadh a Chuirfear ar Urrúis.
Gach urrús a eiseoidh nó a ráthóidh an Chorparáid beidh ráiteas feiceálach ar a aghaidh á rá nach oblagáid leis an mBanc é ná, mura mbeidh sin sainráite ar an urrús, le haon rialtas.
Alt 9.
Toirmeasc ar ghníomhacht pholaitíochta.
Ní chuirfidh an Chorparáid ná a hoifigigh isteach ar chúrsaí polaitíochta aon chomhalta; agus, le linn dóibh cinneadh a dhéanamh, ní ghlacfaidh siad aon tionchar ó ghné pholaitíochta an chomhalta nó na gcomhaltaí a bheidh i gceist. Is cúrsaí geilleagair amháin a bheidh mar fhoras le gach cinneadh a dhéanfaidh siad agus breithneofar na cúrsaí sin go neamhchlaon chun na cuspóirí a luaitear sa Chomhaontú seo a bhaint amach.
Airteagal IV. Eagraíocht agus Bainistí.
Alt 1.
Comhdhéanamh na Corparáide.
Beidh ag an gCorparáid Bord Rialtóirí, Bord Stiúrthóirí, Cathaoirleach ar an mBord Stiúrthóirí, Uachtarán agus cibé oifigigh agus foireann eile chun cibé dualgais a dhéanamh a chinnfidh an Chorparáid.
Alt 2.
An Bord Rialtóirí.
(a) Beidh cumhachtaí uile na Corparáide dílsithe sa Bhord Rialtóirí.
(b) Gach Rialtóir agus gach Rialtóir Malartach den Bhanc a cheap comhalta den Bhanc ar comhalta den Chorparáid é freisin beidh sé, ex officio, ina Rialtóir nó ina Rialtóir Malartach, faoi seach, den Chorparáid. Ní fhéadfaidh aon Rialtóir Malartach vótáil ach nuair a bheidh a phríomhaí as láthair. Roghnóidh an Bord Rialtóirí duine de na Rialtóirí chun bheith ina Chathaoirleach ar an mBord Rialtóirí. Scoirfidh aon Rialtóir nó Rialtóir Malartach d'oifig a shealbhú má scoireann an comhalta a cheap é de bheith ina chomhalta den Chorparáid.
(c) Féadfaidh an Bord Rialtóirí údarás a tharmligean chun an Bhoird Stiúrthóirí chun aon chumhacht de chuid an Bhoird Rialtóirí a fheidhmiú, ach amháin an chumhacht chun:
(i) comhaltaí nua a ghlacadh agus coinníollacha a nglactha a chinneadh;
(ii) an stoc caipitil a mhéadú nó a laghdú;
(iii) comhalta a chur ar fionraí;
(iv) cinneadh a dhéanamh ar achomhairc i gcoinne léirithe a dhéanfaidh an Bord Stiúrthóirí ar an gComhaontú seo;
(v) comhshocraíochtaí a dhéanamh chun comhoibriú le heagrais idirnáisiúnta eile (seachas comhshocraíochtaí neamhfhoirmiúla sealadacha agus riaracháin);
(vi) cinneadh ar oibríochtaí na Corparáide a fhionraí go buan agus a sócmhainní a imdháil;
(vii) díbhinní a dhearbhú;
(viii) an Comhaontú seo a leasú.
(d) Beidh cruinniú bliantúil den Bhord Rialtóirí ann agus cibé cruinnithe eile dá ndéanfaidh an Bord Rialtóirí socrú nó a ghairmfidh an Bord Stiúrthóirí.
(e) Comórfar cruinniú bliantúil an Bhoird Rialtóirí i gcomhréim le cruinniú bliantúil Bhord Rialtóirí an Bhainc.
(f) Is é is córam d'aon chruinniú den Bhord Rialtóirí tromlach na Rialtóirí a bhfuil dhá thrian ar a laghad den chumhacht vótála iomlán acu.
(g) Féadfaidh an Chorparáid le rialachán nós imeachta a bhunú trína bhféadfaidh an Bord Stiúrthóirí vóta na Rialtóirí a fháil ar cheist shonrach gan cruinniú den Bhord Rialtóirí a ghairm.
(h) Féadfaidh an Bord Rialtóirí, agus an Bord Stiúrthóirí a mhéid a údaraítear sin, cibé rialacha agus rialacháin a ghlacadh chucu is gá nó is cuí chun gnó na Corparáide a sheoladh.
(i) Fónfaidh na Rialtóirí agus na Rialtóirí Malartacha sa cháil sin gan cúiteamh ón gCorparáid.
Alt 3.
Vótáil.
(a) Beidh ag gach comhalta dhá chéad caoga vóta móide vóta breise amháin in aghaidh gach scaire stoic ina sheilbh.
(b) Ach amháin mar a bhforáltar a mhalairt go sainráiteach, déanfar gach ábhar os comhair na Corparáide a chinneadh le tromlach na vótaí a chaithfear.
Alt 4.
An Bord Stiúrthóirí.
(a) Beidh an Bord Stiúrthóirí freagarthach in oibríochtaí ginearálta na Corparáide a sheoladh agus chuige sin feidhmeoidh sé na cumhachtaí uile a thugtar dó leis an gComhaontú seo nó a tharmligfidh an Bord Rialtóirí chuige.
(b) Beidh Bord Stiúrthóirí na Corparáide comhdhéanta, ex officio, de gach Stiúrthóir Feidhmiúcháin den Bhanc a bheidh (i) arna cheapadh ag comhalta den Bhanc ar comhalta den Chorparáid é freisin nó a bheidh (ii) arna thoghadh i dtoghachán ina ndearnadh vótaí chomhalta amháin ar a laghad den Bhanc ar comhalta den Chorparáid é freisin a áireamh chun a thofa. Beidh Malartach gach Stiúrthóra Fheidhmiúcháin acu sin den Bhanc ina Stiúrthóir Malartach ex officio den Chorparáid. Scoirfidh aon Stiúrthóir d'oifig a shealbhú má scoireann an comhalta a cheap é, nó má scoireann na comhaltaí go léir ar áiríodh a vótaí chun a thofa, de bheith ina gcomhaltaí den Chorparáid.
(c) Beidh teideal ag gach Stiúrthóir a bheifear tar éis a cheapadh ina Stiúrthóir Feidhmiúcháin den Bhanc an méid vótaí a chaitheamh a bheidh de theideal ag an gcomhalta a cheap é amhlaidh a chaitheamh sa Chorparáid. Beidh teideal ag gach Stiúrthóir is Stiúrthóir Feidhmiúcháin tofa ar an mBanc an méid vótaí a chaitheamh a bheidh de theideal ag an gcomhalta nó ag na comhaltaí den Chorparáid ar áiríodh a vótaí chun a thofa sa Bhanc a chaitheamh sa Chorparáid. Is mar aonad a chaithfear na vótaí uile a bheidh teideal ag Stiúrthóir a chaitheamh.
(d) Beidh lán-chumhacht ag Stiúrthóir Malartach gníomhú nuair a bheidh an Stiúrthóir a cheap é as láthair. Nuair a bheidh Stiúrthóir i láthair, féadfaidh a Mhalartach páirt a ghlacadh i gcruinnithe ach ní vótálfaidh sé.
(e) Is é is córam d'aon chruinniú den Bhord Stiúrthóirí tromlach de na Stiúrthóirí a bhfuil leath na cumhachta vótála iomláine ar a laghad acu.
(f) Beidh cruinniú den Bhord Rialtóirí ann a mhinicí is gá le haghaidh gnó an Bhainc.
(g) Glacfaidh an Bord Rialtóirí chucu rialacháin faoina bhféadfaidh comhalta den Chorparáid nach bhfuil teideal aige Stiúrthóir Feidhmiúcháin den Bhanc a cheapadh ionadaí a chur chun freastal ag aon chruinniú de Bhord Stiúrthóirí na Corparáide nuair a bheidh aon iarratas ón gcomhalta sin, nó aon ní a bhainfidh leis go háirithe, á bhreithniú.
Alt 5.
Cathaoirleach, Uachtarán agus Foireann.
(a) Beidh Uachtarán an Bhainc ina Chathaoirleach ex officio ar Bhord Stiúrthóirí na Corparáide, ach ní bheidh aon vóta aige ach amháin vóta réitigh i gcás comhionannais vótála. Féadfaidh sé páirt a ghlacadh i gcruinnithe an Bhoird Rialtóirí, ach ní vótálfaidh sé ag na cruinnithe sin.
(b) Ceapfaidh an Bord Stiúrthóirí Uachtarán na Corparáide ar mholadh an Chathaoirligh. Beidh an tUachtarán ina cheann ar fhoireann oibríochta na Corparáide. Déanfaidh sé, faoi stiúradh an Bhoird Stiúrthóirí agus faoi mhaoirseacht ghinearálta an Chathaoirligh, gnáthghnó na Corparáide a sheoladh agus beidh sé, faoina rialú ginearálta, freagarthach in eagrú, ceapadh agus díbhe na n-oifigeach agus na foirne. Féadfaidh an tUachtarán páirt a ghlacadh i gcruinnithe den Bhord Stiúrthóirí ach ní vótálfaidh sé ag na cruinnithe sin. Scoirfidh an tUachtarán de bheith i seilbh oifige nuair a dhéanfaidh an Bord Stiúrthóirí cinneadh chuige sin lena n-aontóidh an Cathaoirleach.
(c) Ag comhlíonadh a n-oifigí d'Uachtarán, d'oifigigh agus d'fhoireann na Corparáide, dlífidh an Chorparáid a ndualgais go léir díobh agus ní dhlífidh aon údarás eile aon dualgas díobh. Tabharfaidh gach comhalta den Chorparáid d'aitheantas gur dualgas idirnáisiúnta an dualgas sin agus ní dhéanfaidh aon iarracht ar thionchar a imirt ar aon duine acu i gcomhlíonadh a dhualgas dó.
(d) Nuair a bheifear ag ceapadh oifigeach agus foirne na Corparáide, cuirfear san áireamh go cuí, faoi réir a ró-thábhachtaí é na caighdeáin is airde éifeachta agus cumais teicnice a áirithiú, gur ní tábhachtach na daoine a cheapfar a thoghadh as an méid is mó tíortha is féidir.
Alt 6.
Caidreamh leis an mBanc.
(a) Is entitas ar leithligh ón mBanc an Chorparáid agus coimeádfar cistí na Corparáide ar leithligh ó chistí an Bhainc. Ní dhéanfaidh an Chorparáid aon airgead a thabhairt ar iasacht don Bhanc ná a thógáil ar iasacht ón mBanc. Ní choiscfidh forálacha an Ailt seo ar an gCorparáid comhshocraíochtaí a dhéanamh leis an mBanc i dtaobh saoráidí, pearsanra, agus seirbhísí agus comhshocraíochtaí i dtaobh aisíoc caiteachais riaracháin a íocadh sa chéad ásc ag ceachtar eagras thar ceann an eagrais eile.
(b) Ní chuirfidh aon ní sa Chomhaontú seo an Chorparáid faoi dhliteanas i leith gníomhartha nó oblagáidí an Bhainc ná an Banc faoi dhliteanas i leith gníomhartha nó oblagáidí na Corparáide.
Alt 7.
Caidreamh le hEagrais Idirnáisiúnta Eile.
Déanfaidh an Chorparáid, ag gníomhú di tríd an mBanc, comhshocraíochtaí foirmiúla leis na Náisiúin Aontaithe agus féadfaidh sí comhshocraíochtaí den sórt sin a dhéanamh le heagrais idirnáisiúnta phoiblí eile a bhfuil sainfreagarthachtaí saineolacha orthu in earnála coibhneasacha.
Alt 8.
Suíomh Oifigí.
Is sa cheantar céanna a mbeidh príomh-oifig an Bhainc a bheidh príomh-oifig na Corparáide. Féadfaidh an Chorparáid oifigí eile a bhunú i gcríocha aon chomhalta.
Alt 9.
Taisclanna.
Ainmneoidh gach comhalta a bhanc ceannais féin mar thaisclann ina bhféadfaidh an Chorparáid sealúchais d'airgeadra an chomhalta sin nó socmhainní eile de chuid na Corparáide a choimeád nó, mura bhfuil banc ceannais aige, ainmneoidh sé cibé foras eile lena nglacfaidh an Chorparáid.
Alt 10.
Meán Cumarsáide.
Ainmneoidh gach comhalta údarás iomchuí lena bhféadfaidh an Chorparáid dul i gcumarsáid i dtaobh aon ábhair faoin gComhaontú seo.
Alt 11.
Tuarascála a fhoilsiú agus Eolas a Chur ar Fáil.
(a) Foilseoidh an Chorparáid tuarascáil in aghaidh na bliana ina mbeidh ráiteas iniúchóra ar a cuntais agus cuirfidh sí timpeall chun na gcomhaltaí, i gceann tréimhsí iomchuí, ráiteas achomair ar a staid airgeadais agus ráiteas sochair agus dochair ag taispeáint torthaí a hoibríochtaí.
(b) Féadfaidh an Chorparáid cibé tuarascála eile a fhoilsiú is inmholta dar léi chun a cuspóirí a chur i gcrích.
(c) Imdháilfear ar na comhaltaí cóipeanna de na tuarascála, de na ráitis agus de na foilseacháin uile a dhéanfar faoin Alt seo.
Alt 12.
Díbhinní.
(a) Féadfaidh an Bord Rialtóirí a chinneadh ó am go ham cad é an chuid de ghlan-ioncam agus barrachas na Corparáide a imdháilfear mar dhíbhinní tar éis soláthar iomchuí a dhéanamh le haghaidh cúlchistí.
(b) Imdháilfear díbhinní pro rata i gcoimhréir le stoc caipitil na gcomhaltaí.
(c) Íocfar díbhinní i cibé slí agus i cibé airgeadra nó airgeadraí a chinnfidh an Chorparáid.
Airteagal V. Éirí as; Comhaltas a Fhionraí; Oibríochtaí a Fhionraí.
Alt 1.
Comhaltaí d'Éirí As.
Féadfaidh aon chomhalta éirí as comhaltas sa Chorparáid am ar bith trí fhógra i scríbhinn a chur chun na Corparáide chun a príomh-oifige. Tiocfaidh an t-eirí-as in éifeacht an dáta a gheofar an fógra sin.
Alt 2.
Comhaltas a Fhionraí.
(a) Má mhainníonn comhalta aon cheann dá oblagáidí don Chorparáid a chomhlíonadh, féadfaidh an Chorparáid a chomhaltas a fhionraí trí chinneadh ó thromlach na Rialtóirí a fheidhmeoidh tromlach na cumhachta vótála iomláine. An comhalta a fhionrófar amhlaidh scoirfidh sé, air sin, de bheith ina chomhalta bliain ó dháta a fhionraí mura gcinne an tromlach céanna an comhalta a ligean ar ais faoi réim.
(b) An fhad a bheidh comhalta ar fionraí, ní bheidh teideal aige aon chirt faoin gComhaontú seo a fheidhmiú ach amháin an ceart chun éirí as, ach fanfaidh sé faoi réir na n-oblagáidí uile.
Alt 3.
Fionraí Chomhaltais, nó Deireadh le Comhaltas, sa Bhanc.
Aon chomhalta a fhionrófar ó bheith, nó a scoirfidh de bheith, ina chomhalta den Bhanc beidh sé air sin, ar fionraí ó bheith, nó scoirfidh sé de bheith, ina chomhalta den Chorparáid, de réir mar bheidh.
Alt 4.
Cearta agus Dualgais Rialtas a Scoirfidh de bheith ina gComhaltaí.
(a) Nuair a scoirfidh Rialtas de bheith ina chomhalta leanfaidh sé air de bheith faoi dhliteanas i leith na suimeanna uile a bheidh dlite de don Chorparáid. Déanfaidh an Chorparáid socrú i dtaobh stoc caipitil an Rialtais sin a athcheannach mar chuid den tsocraíocht chuntas leis an rialtas sin de réir forálacha an Ailt seo, ach ní bheidh aon chearta eile ag an rialtas faoin gComhaontú seo ach amháin mar fhoráltar san Alt seo agus in Airteagal VIII (c).
(b) Féadfaidh an Chorparáid agus an rialtas comhaontú ar stoc caipitil an Rialtais a athcheannach, ar cibé téarmaí is iomchuí sna himthosca gan aird ar fhorálacha míre (c) thíos. Féadfar socrú a bheith sa chomhaontú sin le haghaidh socraíochta deiridh ar oblagáidí uile an Rialtais don Chorparáid, i dteannta nithe eile.
(c) Mura ndéantar comhaontú den sórt sin laistigh de shé mhí tar éis don rialtas scor de bheith ina chomhalta nó de cibé tréimhse eile ar a gcomhaontóidh an Chorparáid agus an rialtas sin, is é praghas athcheannaigh stoic chaipitil an rialtais luach an chéanna de réir leabhar na Corparáide an lá a scoirfidh an rialtas de bheith ina chomhalta. Beidh athcheannach an stoic chaipitil faoi réir na gcoinníollacha seo a leanas:
(i) nuair a thabharfaidh an rialtas scaireanna stoic suas, féadfar íocaíochtaí a dhéanamh ina leith ó am go ham i cibé tráthchodanna, cibé trátha agus i cibé airgeadra nó airgeadraí a bheidh ar fáil, a chinnfidh an Chorparáid go réasúnach, ag cuimhneamh di ar staid airgeadais na Corparáide;
(ii) déanfar aon suim a bheidh dlite don rialtas i leith a stoic chaipitil a choimeád siar an fhad a dhlífidh an rialtas nó aon cheann dá ghníomhaireachtaí aon suim a íoc leis an gCorparáid agus féadfar, más rogha leis an gCorparáid é, an tsuim sin a fhritháireamh, de réir mar is iníoctha í, i gcoinne na suime a bheidh dlite den Chorparáid;
(iii) má bhaineann glan-chaillteanas don Chorparáid i ndáil leis na hinfheistíochtaí a rinneadh de bhun Airteagail III, Alt 1, agus a bheidh ar seilbh aici ar an dáta a scoirfidh an rialtas de bheith ina chomhalta, agus gur mó méid an chaillteanais sin ná méid na gcúlchistí a bheidh in áirithe faoina chomhair ar an dáta sin, aisíocfaidh an rialtas sin, ar éileamh, an méid a laghdófaí praghas athcheannaigh a scaireanna stoic dá n-áirítí an caillteanas sin nuair a cinneadh an praghas athcheannaigh.
(d) Ní dhéanfar in aon chás aon suim a bheidh dlite do rialtas i leith a stoic chaipitil faoin Alt seo a íoc go dtí sé mhí tar éis an dáta a scoirfidh an rialtas de bheith ina chomhalta. Má tharlaíonn laistigh de shé mhí ón dáta a scoirfidh rialtas de bheith ina chomhalta go bhfionróidh an Chorparáid oibríochtaí faoi Alt 5 den Airteagal seo, beidh cearta uile an rialtais sin arna bhforceannadh le forálacha an Ailt sin 5 agus measfar an rialtas sin a bheith fós ina chomhalta den Chorparáid chun críocha an Ailt sin 5, ach amháin nach mbeidh aon chearta vótála aige.
Alt 5.
Fionraí Oibríochtaí agus Socrú Oblagáidi.
(a) Féadfaidh an Chorparáid a hoibríochtaí a bhuanfhionraí trí vóta thromlach na Rialtóirí a fheidhmeoidh tromlach na cumhachta vótála iomláine. Tar éis oibríochtaí a fhionraí amhlaidh, scoirfidh an Chorparáid láithreach de gach gníomhacht ach amháin gníomhachtaí a bhainfidh lena sócmhainní a imchoimeád agus a chaomhnadh agus a réadú go hordúil agus lena hoblagáidí a shocrú. Go dtí go mbeifear críochnaithe le socrú na n-oblagáidí sin agus le himdháil na sócmhainní sin, leanfaidh an Chorparáid de bheith ann agus leanfaidh comhchearta agus comh-oblagáidí uile na Corparáide agus a chomhaltaí faoin gComhaontú seo gan oirbhearnadh ach amháin nach bhfionrófar aon chomhalta agus nach n-éireoidh aon chomhalta as agus nach ndéanfar aon imdhháil chun comhaltaí ach amháin mar fhoráltar san Alt seo.
(b) Ní dhéanfar aon imdháil chun comhaltaí ar chuntas a suibscríobh chun stoic chaipitil na Corparáide go dtí go nglanfar a mbeidh dlite do chreidiúnaithe nó go dtí go ndéanfar soláthar ina leith agus go dtí go gcinnfidh an Bord Rialtóirí, trí vóta thromlach na Rialtóirí a fheidhmeoidh tromlach na cumhachta vótála iomláine, an imdháil sin a dhéanamh.
(c) Faoi réir na méide sin roimhe seo, imdháilfidh an Chorparáid sócmhainní na Corparáide ar na comhaltaí pro rata i gcomhréir leis an stoc caipitil a bheidh acu, faoi réir, i gcás aon chomhalta, socrú a bheith déanta ar gach éileamh ag an gCorparáid ar an gcomhalta sin. Déanfar an imdháil sin cibé trátha, i cibé airgeadraí, agus ina airgead nó sócmhainní eile mar mheasfaidh an Chorparáid a bheith cóir cothrom. Na scaireanna a imdháilfear ar na comhaltaí uile ní gá iad a bheith comhréireach ó thaobh an chiníl shócmhainní a imdháilfear nó na n-airgeadraí ina dtabharfar iad.
(d) Aon chomhalta a gheobhaidh sócmhainní a imdháilfidh an Chorparáid de bhun an Ailt seo, beidh na cearta céanna aige maidir leis na sócmhainní sin a bhí ag an gCorparáid sular imdháileadh iad.
Airteagal VI. Stádas, Díolúintí agus Pribhléidí.
Alt 1.
Cuspóirí an Airteagail.
Ionas go bhféadfaidh an Chorparáid na feidhmeanna atá á gcur de chúram uirthi a chomhlíonadh, déanfar an stádas, na díolúintí agus na pribhléidí atá leagtha amach san Airteagal seo a thabhairt don Chorparáid i gcríocha gach comhalta.
Alt 2.
Stádas na Corparáide.
Is duine lán-dlíthiúnach an Chorparáid, agus, go háirithe, tá cumas inti:
(i) conradh a dhéanamh;
(ii) maoin dochorraithe agus maoin shochorraithe a fháil agus a dhiúscairt;
(iii) imeachtaí dlíthiúla a thionscnamh.
Alt 3.
Seasamh na Corparáide Maidir le Próis Bhreithiúnach.
Ní fhéadfar caingin a thionscnamh i gcoinne na Corparáide ach amháin i gcúirt dlínse inniúla i gcríocha chomhalta ina bhfuil oifig ag an gCorparáid, ina bhfuil gníomhaire ceaptha aici chun glacadh le seirbheáil nó fógra próise, nó ina bhfuil sí tar éis urrúis a eisiúint nó a ráthú. Ní dhéanfaidh comhaltaí ná daoine thar ceann comhaltaí nó a dhíorthóidh éilithe ó chomhaltaí aon chaingin a thionscnamh. Is cuma cibé áit a mbeidh maoin agus sócmhainní de chuid na Corparáide, agus cibé duine ag a mbeidh an céanna, beidh díolúine acu ó gach saghas urghabhála, astaithe nó forghníomhaithe sula dtabharfar an breithiúnas deiridh i gcoinne na Corparáide.
Alt 4.
Díolúine Sócmhainní ó Urghabháil.
Beidh ag maoin agus sócmhaínní na Corparáide, cibé áit a mbeidh an céanna agus cibé duine ag a mbeidh an céanna, díolúine ó chuardach, foréileamh coigistiú, díshealbhú nó aon sórt eile urghabhála trí ghníomhú feidhmiúcháin nó gníomhú reachtach.
Alt 5.
Díolúine ag Cairtlanna.
Beidh cairtlanna na Corparáide do-sháraithe.
Alt 6.
Sócmhainní a Bheith Saor ó Shriantachtaí.
A mhéid is gá sin chun na hoibríochtaí a dhéanamh dá bhforáltar sa Chomhaontú seo agus faoi réir forálacha Airteagail III, Alt 5 beidh maoin agus sócmhainní uile na Corparáide saor ó shriantachtaí, rialacháin, rialuithe agus mortchairde d'aon sórt.
Alt 7.
Pribhléidí Cumarsáide.
Gheobhaidh cumarsáidí oifigiúla na Corparáide an chóir chéanna ó gach comhalta a thugann sé do chumarsáidí oifigiúla chomhaltaí eile.
Alt 8.
Díolúintí agus Pribhléidí Oifigeach agus Fostaithe.
Maidir le Rialtóirí, Stiúrthóirí, Malartaigh, oifigigh agus fostaithe uile na Corparáide:
(i) beidh díolúine acu ó phróis dlíthiúil i leith gníomhartha a dhéanfaidh siad ina gcáil oifigiúil;
(ii) muran náisiúnaigh áitiúla iad, tabharfar dóibh na díolúintí céanna ó shriantachtaí inimirce, ceanglais chlárúcháin d'eachtrannaigh agus oblagáidí seirbhíse náisiúnta, maraon leis na saoráidí céanna i leith sriantachtaí iomlaoide, a thugann na comhaltaí d'ionadaithe, d'oifigigh agus d'fhostaithe comhchéime de chuid na gcomhaltaí eile;
(iii) tabharfar an chóir chéanna dóibh i leith saoráidí taistil a thugann comhaltaí d'ionadaithe, d'oifigigh agus d'fhostaithe comhchéime de chuid na gcomhaltaí eile.
Alt 9.
Díolúine ó Cháin.
(a) Beidh an Chorparáid, a sócmhainní, a maoin, a hioncam agus na hoibríochtaí agus na hidirbhearta a údaraítear leis an gComhaontú seo saor ó gach cáin agus ó gach dleacht chustam. Beidh an Chorparáid saor freisin ó gach dliteanas maidir le bailiú nó íoc aon chánach nó dleachta.
(b) Ní dhéanfar aon cháin a thobhach ar thuarastail agus sochar, ná i leith tuarastal agus sochar, a íocfaidh an Chorparáid le Stiúrthóirí, Malartaigh, oifigigh nó fostaithe eile de chuid na Corparáide nach saoránaigh áitiúla, géillsinigh áitiúla, ná náisiúnaigh áitiúla eile.
(c) Ní thoibheofar cáin d'aon saghas ar aon oblagáid ná urrús a eiseoidh an Chorparáid (lena n-áirítear aon díbhinn nó ús air sin) cibé duine a shealbhóidh an céanna:
(i) más cáin í a dhéanann idirdhealú i gcoinne na hoblagáide nó an urrúis sin ar an aon-ábhar gurb í an Chorparáid d'eisigh an céanna; nó
(ii) más é an t-aon-bhonn dlínsiúil atá leis an gcáin sin an áit nó an t-airgeadra ina mbeidh sí arna heisiúint nó ina mbeidh sí le híoc nó ina n-íocfarí, nó suíomh aon oifige nó áite gnó atá á cothabháil ag an gCorparáid.
(d) Ní thoibheofar aon cháin ar aon oblagáid ná urrús a ráthóidh an Chorparáid (lena n-áirítear aon díbhinn nó ús ar an gcéanna) cibé duine a shealbhóidh an céanna—
(i) más cáin í a dhéanann idirdhealú i gcoinne na hoblagáide nó an urrúis sin ar an aon-ábhar gurb í an Chorparáid a ráthaigh an céanna; nó
(ii) más é an t-aon-bhonn dlínsiúil atá leis an gcáin sin suíomh aon oifige nó áite gnó atá á cothabháil ag an gCorparáid.
Alt 10.
An tAirteagal a Chur i bhFeidhm.
Déanfaidh gach comhalta cibé beart is gá ina chríocha féin chun éifeacht i dtéarmaí a dhlí féin a thabhairt do na prionsabail atá leagtha amach san Airteagal seo agus tabharfaidh sé mionchuntas don Chorparáid ar an mbeart a rinne sé.
Alt 11.
Tarscaoileadh.
Féadfaidh an Chorparáid aon phribhléid agus díolúine a thugtar leis an Airteagal seo a tharscaoileadh a mhéid, agus ar cibé coinníollacha, a chinnfidh sí.
Airteagal VII. Leasuithe.
(a) Féadfar an Comhaontú seo a leasú le vóta trí chúigiú na Rialtóirí a fheidhmeoidh ceithre chúigiú na cumhachta vótála iomláine.
(b) D'ainneoin míre (a) thuas, ní mór vótaí na Rialtóirí go léir a bheith le haon leasú a mhodhnóidh:
(i) an ceart chun éirí as an gCorparáid a fhoráltar in Airteagal V, Alt 1;
(ii) an ceart réamhcheannaigh a áirithítear le hAirteagal II, Alt 2 (d);
(iii) an teorainn le dliteanas a fhoráltar in Airteagal II, Alt 4.
(c) Aon togra chun an Comhaontú seo a mhodhnú, cibé acu ó chomhalta, ó Rialtóir nó ón mBord Stiúrthóirí é, cuirfear faoi bhráid Chathaoirligh an Bhoird Rialtóirí é agus cuirfidh seisean an togra os comhair an Bhoird Rialtóirí. Nuair a ghlacfar go cuí le leasú deimhneoidh an Chorparáid é sin go cuí trí scríbhinn fhoirmiúil a dhíreofar chun na gcomhaltaí uile. Tiocfaidh leasuithe i bhfeidhm i leith gach comhalta trí mhí tar éis dáta na scríbhinne foirmiúla, mura sonróidh an Bord Rialtóirí tréimhse níos giorra.
Airteagal VIII. Léiriú agus Eadráin.
(a) Aon cheist faoi léiriú forálacha an Chomhaontaithe seo a éireoidh idir aon chomhalta agus an Chorparáid, nó idir aon chomhaltaí den Chorparáid cuirfear faoi bhráid an Bhoird Stiúrthóirí í lena cinneadh. Má bhaineann an cheist go sonrach le haon chomhalta den Chorparáid nach bhfuil teideal aige Stiúrthóir Feidhmiúcháin den Bhanc a cheapadh beidh teideal aige chun ionadaíochta de réir Airteagail IV, Alt 4 (g).
(b) In aon chás ina mbeidh an Bord Stiúrthóirí tar éis cinneadh a dhéanamh faoi (a) thuas, féadfaidh aon chomhalta a chur faoi deara go ndéanfar an cheist a tharchur chun an Bhoird Rialtóirí agus is cinneadh críochnaitheach cinneadh an Bhoird Rialtóirí. Féadfaidh an Chorparáid gníomhú a mhéid is dóigh léi is gá ar chinneadh an Bhoird Stiúrthóirí nó go mbeidh toradh ar an tarchur chun an Bhoird Rialtóirí.
(c) Aon uair a éireoidh aighneas idir an Chorparáid agus tír a bheidh tar éis scor de bheith ina comhalta nó idir an Chorparáid agus aon chomhalta le linn don Chorparáid a bheith ar buan-fhionraí cuirfear an t-aighneas sin faoi eadráin bhínse ar a mbeidh triúr eadránaithe arb í an Chorparáid a cheapfaidh duine díobh, arb í an tír lena mbainfidh a cheapfaidh duine díobh agus moltóir a cheapfar, mura gcomhaontóidh na páirtithe ina thaobh, ag Uachtarán na Cúirte Ceartais Idirnáisiúnta nó ag cibé údarás eile a bheidh forordaithe le rialachán ar ghlac an Chorparáid leis. Beidh lán-chumhacht ag an moltóir gach ceist faoi nós imeachta a shocrú in aon chás nach réiteoidh na páirtithe ina leith.
Airteagal IX. Forálacha Deiridh.
Alt 1.
Teacht i bhFeidhm.
Tiocfaidh an Comhaontú seo i bhfeidhm nuair a bheidh sé arna shíniú thar ceann 30 rialtas ar a laghad nach lú a suibscríobh ná 75 faoin gcéad den suibscríobh iomlán atá leagtha amach i Sceideal A agus nuair a bheidh na hionstraimí dá dtagartar in Alt 2 (a) den Airteagal seo taiscthe thar a gceann, ach in aon chás ní thiocfaidh an Comhaontú seo i bhfeidhm roimh an 1 Deireadh Fómhair, 1955.
Alt 2.
Síniú.
(a) Gach rialtas a síneofar an Comhaontú seo thar a cheann, taiscfidh sé leis an mBanc ionstraim á rá go bhfuil glactha aige, gan agús, leis an gComhaontú seo de réir a dhlí féin agus go bhfuil gach beart déanta aige is gá chun a chur ar a chumas a oblagáidí uile faoin gComhaontú seo a chomhlíonadh.
(b) Beidh gach rialtas ina chomhalta den Chorparáid amhail ón dáta a thaiscfear thar a cheann an ionstraim dá dtagartar i mír (a) thuas, ach ní bheidh aon rialtas ina chomhalta sula dtiocfaidh an Comhaontú seo i bhfeidhm faoi Alt 1 den Airteagal seo.
(c) Fanfaidh an Comhaontú seo ar oscailt, go dtí deireadh gnó an 31 Nollaig, 1956, chun a shínithe i bpríomhoifig an Bhainc thar ceann rialtas na dtíortha a bhfuil a n-ainmneacha leagtha amach i Sceideal A.
(d) Tar éis an Comhaontú seo a theacht i bhfeidhm, beidh sé ar oscailt chun a shínithe thar ceann rialtais aon tíre a bhformheasfar a comhaltas de bhun Airteagail II, Alt 1 (b).
Alt 3.
Tionscnamh na Corparáide.
(a) A luaithe a thiocfaidh an Comhaontú seo i bhfeidhm faoi Alt 1 den Airteagal seo gairfidh Cathaoirleach an Bhoird Stiúrthóirí cruinniú den Bhord Stiúrthóirí.
(b) Tosóidh an Chorparáid ar oibríochtaí ar an dáta a chomórfar an cruinniú sin.
(c) Go dtí go mbeidh an chéad chruinniú den Bhord Rialtóirí ann, féadfaidh an Bord Stiúrthóirí cumhachtaí uile an Bhoird Rialtóirí a fheidhmiú ach amháin na cumhachtaí a fhorcoimeádtar don Bhord Rialtóirí faoin gComhaontú seo.
Arna Dhéanamh i Washington in aon chóip amháin a fhanfaidh i dtaisce i gcairtlanna an Bhainc Idirnáisiúnta le haghaidh Athinmhithe agus Forbairte, a chuireann in iúl trína shíniú anseo thíos go gcomhaontaíonn sé gníomhú mar thaisclann don Chomhaontú seo agus go ndéanfaidh sé an dáta a thiocfaidh an Comhaontú seo i bhfeidhm, faoi Airteagal IX. Alt 1 de seo, a chur in iúl do na rialtais uile a bhfuil a n-ainmneacha leagtha amach i Sceideal A.
