AN tACHT UM CHOMHLACHTAÍ IDIRNÁISIÚNTA SLÁINTE (STÁDAS CORPRAITHE), 1971

An tAire.
1.—San Acht seo ciallaíonn “an tAire” an tAire Sláinte.
Comhlachtaí lena mbaineann an tAcht seo.
2.—Baineann an tAcht seo le haon chomhlacht idirnáisiúnta arb iad, go hiomlán nó go formhór, a fheidhmeanna faoina bhunreacht gach ceann nó aon cheann acu seo a leanas, is é sin, breithniú a dhéanamh ar shláinte daoine, ar árachas sláinte, ar aireachas agus cóireáil daoine breoite nó daoine easlána, ar riaradh seirbhísí sláinte, nó ar thaighde leighis (lena n-áirítear taighde déadeolaíochta), nó taighde den sórt sin a sheoladh.
Ordú um stádas corpraithe.
3.—(1) Féadfaidh an tAire, ar iarratas a fháil ó chomhlacht lena mbaineann an tAcht seo, ordú (dá ngairtear ordú um stádas corpraithe san Acht seo) a dhéanamh maidir leis an gcomhlacht tar éis dul i gcomhairle leis an Aire Tionscail agus Tráchtála.
(2) Aon uair a bheartóidh an tAire ordú a dhéanamh faoin alt seo, foilseoidh an tAire dréacht den ordú san Iris Oifigiúil.
(3) Aon chomhlacht lena mbaineann ordú um stádas corpraithe, tabharfar air agus gairfear de, amhail ón lá a thiocfaidh an t-ordú i bhfeidhm, an teideal a shonrófar san ordú arb é teideal é an teideal a d'úsáid an comhlacht díreach sula ndearnadh an t-ordú nó cibé teideal eile ar a gcomhaontóidh an tAire agus an comhlacht.
(4) Comhlacht corpraithe ag a mbeidh síorchomharbas, cumhacht agra a dhéanamh agus bheith inagartha ina ainm corpraithe agus talamh a theachtadh a bheidh, de bhua an orduithe i gcomhlacht lena mbaineann ordú um stádas corpraithe.
(5) Déantar leis seo comhlacht lena mbaineann ordú um stádas corpraithe a chur leis an liosta de dhaoine cáilithe atá in alt 45 den Acht Talún, 1965.
(6) Féadfaidh an tAire, le toiliú an chomhlachta lena mbainfidh, an teideal a shonrófar in ordú um stádas corpraithe a leasú le hordú.
(7) Féadfaidh an tAire, más oiriúnach leis, ceanglas a chur in ordú um stádas corpraithe á cheangal go bhfíordheimhneofar i slí shonraithe séala an chomhlachta lena mbaineann an t-ordú, agus má bhíonn ceanglas den sórt sin in ordú um stádas corpraithe déanfaidh an comhlacht lena mbaineann an t-ordú an ceanglas a chomhlíonadh.
(8) Tabharfar aird bhreithiúnach ar shéala comhlachta lena mbaineann ordú um stádas corpraithe agus gach doiciméad a airbheartóidh gur ionstraim é a rinne an comhlacht agus a bheith séalaithe lena shéala (a airbheartóidh a bheith fíordheimhnithe go cuí) glacfar i bhfianaise é agus measfar gurb é an ionstraim sin é gan chruthúnas mura suífear a mhalairt.
Oifig a bheith sa Stát ag comhlachtaí áirithe.
4.—Aon chomhlacht lena mbaineann ordú um stádas corpraithe beidh, amhail ón lá a thiocfaidh an t-ordú i ngníomh nó cibé lá is déanaí ná sin a shonrófar san ordú, aige sa Stát oifig a bhféadfar gach comhfhreagras a dhíriú chuici agus ina bhféadfar doiciméad a sheirbheáil ar an gcomhlacht trína fhágáil san oifig nó é a chur leis an bpost dírithe chun an chomhlachta chun na hoifige.
Clár.
5.—(1) Coimeádfaidh an tAire clár de chomhlachtaí lena mbaineann orduithe um stádas corpraithe.
(2) Beidh éifeacht ag na forálacha seo a leanas maidir leis an gclár faoin alt seo:
(a) coimeádfar an clár ar oscailt le hiniúchadh ag an bpobal le linn uaire oifige,
(b) i dteannta an chláir, coimeádfar ar fáil le hiniúchadh ag an bpobal cóipeanna de bhunreachtanna (lena n-áirítear leasuithe) na gcomhlacht cláraithe agus maille leis sin, muran i mBéarla nó i nGaeilge atá bunreacht nó leasú den sórt sin scríofa, tiontú air,
(c) taifeadfar sa chlár seoladh na hoifige a choimeádann an comhlacht cláraithe de réir alt 4 den Acht seo, agus
(d) déanfaidh gach comhlacht cláraithe, chun críocha mhír (b) den fho-alt seo, cóip dá bhunreacht (lena n-áirítear leasuithe) agus, ina theannta sin i gcás inar gá sin, tiontú ar an gcéanna a thabhairt don Aire.
Eolas.
6.—(1) Déanfaidh comhlacht lena mbaineann ordú um stádas corpraithe cibé eolas (lena n-áirítear cóipeanna de chuntais bhliantúla nó de chuntais chuí-iniúchta eile) a thabhairt don Aire a theastóidh uaidh le réasún.
(2) I gcás ina mbeartóidh an tAire ordú cúlghairme faoi alt 7 den Acht seo a dhéanamh mar gheall ar é á mheas gurb é leas an phobail déanamh amhlaidh, féadfaidh sé, sula ndéanfaidh sé an t-ordú, a cheangal ar an gcomhlacht, lena mbaineann an t-ordú um stádas corpraithe a bheartaíonn sé a chúlghairm, cibé eolas a thabhairt dó a mheasfaidh sé is gá chun a chumasú dó a chinneadh ar cheart aon fhoráil a luaitear i mír (b), (c) nó (d) d'alt 7 (2) den Acht seo, nó aon fhoráil iarmartach eile, a chur san ordú cúlghairme.
(3) Déanfar de réir ceanglais ón Aire faoi fho-alt (2) den alt seo.
Ordú um stádas corpraithe a chúlghairm.
7.—(1) Más rud é—
(a) gurb oiriúnach leis an Aire déanamh amhlaidh ar iarratas a fháil ó chomhlacht lena mbaineann ordú um stádas corpraithe, nó
(b) go measfaidh an tAire, i gcás nach ndéanfar iarratas den sórt sin, gurb é leas an phobail déanamh amhlaidh,
féadfaidh an tAire le hordú, faoi réir fho-alt (4) den alt seo, ordú um stádas corpraithe a chúlghairm.
(2) Faoi réir an choinníll a ghabhann leis an bhfo-alt seo, beidh cibé forálacha in ordú cúlghairme a mheasfaidh an tAire is gá nó is foirsteanach de dhroim na cúlghairme agus, go háirithe, féadfaidh foráil a bheith ann—
(a) chun an comhlacht a dhíscaoileadh lena mbaineann an t-ordú um stádas corpraithe a chúlghairfear leis an ordú cúlghairme sin,
(b) chun maoin, cearta nó dliteanais an chomhlachta sin a aistriú nó a dháileadh,
(c) chun conarthaí leanúnacha a rinne an comhlacht sin a bhuanchoimeád.
(d) chun imeachtaí dlíthiúla atá ar feitheamh a choimeád ar marthain.
ar choinníoll, má bhíonn ordú cúlghairme le déanamh mar gheall ar iarratas ó chomhlacht lena mbaineann ordú um stádas corpraithe, go rachaidh an tAire, sula ndéanfaidh sé an t-ordú cúlghairme, i gcomhairle leis an gcomhlacht sin maidir leis na forálacha a bheidh san ordú.
(3) Nuair a bheartóidh an tAire ordú cúlghairme a dhéanamh cuirfidh sé faoi deara fógra go bhfuil sé chun an t-ordú a dhéanamh a fhoilsiú i dhá nuachtán laethúla ar a laghad a fhoilsítear sa Stát.
(4) Féadfaidh duine ar bith, laistigh de thréimhse ceithre lá dhéag dar tosach an dáta ar a gcomhlíonfar forálacha fho-alt (3) den alt seo, iarratas a dhéanamh chun an Aire maidir le haon ábhar a mbeidh sé beartaithe baint a bheith leis ag ordú a dhéanfar faoin alt seo agus tabharfaidh an tAire breith ar an iarratas, agus cuirfidh sé a bhreith in iúl don duine, a luaithe is féidir.
Tuarascáil Bhliantúil.
8.—A luaithe is féidir tar éis an 1ú lá d'Eanáir gach bliain, ullmhóidh an tAire agus cuirfidh faoi deara go leagfar faoi bhráid gach Tí den Oireachtas tuarascáil bhliantúil ar fheidhmiú a fheidhmeanna faoin Acht seo.
Orduithe a leagan.
9.—(1) I gcás ina mbeartófar ordú a dhéanamh faoi alt 3 den Acht seo, leagfar dréacht den ordú faoi bhráid gach Tí den Oireachtas agus ní dhéanfar an t-ordú go dtí go rithfidh gach Teach acu sin rún ag ceadú an dréachta.
(2) Déanfar gach ordú faoin Acht seo, seachas ordú a dhéanfar faoi alt 3, a leagan faoi bhráid gach Tí den Oireachtas a luaithe is féidir tar éis a dhéanta agus, má dhéanann ceachtar Teach acu sin, laistigh den lá is fiche a shuífidh an Teach sin tar éis an t-ordú a leagan faoina bhráid, rún a rith ag neamhniú an ordaithe, beidh an t-ordú ar neamhní dá réir sin ach sin gan dochar do bhailíocht aon ní a rinneadh roimhe sin faoin ordú.
Caiteachais an Aire.
10.—Déanfar aon chaiteachais a thabhóidh an tAire ag riaradh an Achta seo a íoc, a mhéid a cheadóidh an tAire Airgeadais, as airgead a sholáthróidh an tOireachtas.
Gearrtheideal.
11.—Féadfar an tAcht um Chomhlachtaí Idirnáisiúnta Sláinte (Stádas Corporaithe), 1971, a ghairm den Acht seo.

INTERNATIONAL HEALTH BODIES (CORPORATE STATUS) ACT, 1971
Minister.
1.—In this Act “the Minister” means the Minister for Health.
Bodies to which Act applies.
2.—This Act applies to any international body the functions of which under its constitution consist wholly or mainly of all or any of the following, namely, deliberation of the health of persons, of health insurance, of the care and treatment of the sick or infirm, of administration of health services, or of medical (including dental) research, or the conduct of such research.
Corporate status order.
3.—(1) The Minister may, on application by a body to which this Act applies, make, after consultation with the Minister for Industry and Commerce, an order (in this Act referred to as a corporate status order) in relation to the body.
(2) Whenever the Minister proposes to make an order under this section, the Minister shall publish a draft of the order in the Iris Oifigiúil.
(3) A body to which a corporate status order relates shall, as from the day on which the order comes into force, be called and known by the title specified in the order which shall be either the title used by the body immediately before the making of the order or such other title as may be agreed on by the Minister and the body.
(4) A body to which a corporate status order relates shall, by virtue of the order, be a body corporate with perpetual succession and with power to sue and be sued in its corporate name and to hold land.
(5) A body to which a corporate status order relates is hereby added to the list of qualified persons contained in section 45 of the Land Act, 1965.
(6) The Minister may, with the consent of the body to which it relates, by order amend the title specified in a corporate status order.
(7) The Minister may, if he thinks fit, include in a corporate status order a requirement that the seal of the body to which the order relates shall be authenticated in a specified manner, and in case a corporate status order includes such a requirement, the requirement shall be complied with by the body to which the order relates.
(8) Judicial notice shall be taken of the seal of a body to which a corporate status order relates and every document purporting to be an instrument made by the body and to be sealed with its seal (purporting to be duly authenticated) shall be received in evidence and be deemed to be such instrument without proof unless the contrary is shown.
Certain bodies to have office in State.
4.—A body to which a corporate status order relates shall, as from the day on which the order comes into force or from such later day as may be specified in the order, have an office in the State to which all communications may be addressed and at which a document may be served on the body either by leaving it at the office or by sending it by post addressed to the body at the office.
Register.
5.—(1) The Minister shall maintain a register of bodies to which corporate status orders relate.
(2) The following provisions shall have effect in relation to the register under this section:
(a) the register shall be kept open for public inspection during office hours,
(b) with the register, there shall also be kept available for public inspection copies of the constitutions (including amendments) of the registered bodies together with, in case any such constitution or amendment is not written in the English or Irish language, a translation thereof,
(c) there shall be entered in the register the address of the office kept by a registered body in accordance with section 4 of this Act, and
(d) every registered body shall for the purposes of paragraph (b) of this subsection supply to the Minister a copy of its constitution (including amendments) together with, where necessary, a translation thereof.
Information.
6.—(1) A body to which a corporate status order relates shall supply the Minister with such information (including copies of annual or other duly audited accounts) as he may reasonably require.
(2) In case the Minister proposes to make a revoking order under section 7 of this Act because he thinks it is in the public interest to do so, he may, before making the order, require the body, to which the corporate status order which he proposes to revoke relates, to supply him with such information as he considers necessary to enable him to determine whether any provision mentioned in paragraph (b, (c) or (d) of section 7 (2) of this Act, or any other consequential provision, should be included in the revoking order.
(3) A requirement of the Minister under subsection (2) of this section shall be complied with.
Revocation of corporate status order.
7.— (1) If—
(a) on the application of a body to which a corporate status order relates, the Minister so thinks fit, or
(b) there is not such an application but the Minister considers that it is in the public interest to do so,
the Minister may, subject to subsection (4) of this section, by order revoke a corporate status order.
(2) Subject to the proviso to this subsection, a revoking order shall contain such provisions as the Minister considers necessary or expedient consequential on the revocation and, in particular, may provide for—
(a) the dissolution of the body to which the corporate status order to be thereby revoked relates,
(b) the transfer or distribution of the property, rights or liabilities of such body,
(c) the preservation of continuing contracts made by such body,
(d) the continuance of pending legal proceedings,
provided that in case the revoking order falls to be made because of an application by a body to which a corporate status order relates, the Minister shall, before making the revoking order, consult that body with regard to the provisions to be contained in the order.
(3) In case the Minister proposes to make a revoking order he shall cause to appear in at least two daily newspapers published in the State a notice of his intention to make the order.
(4) Any person may, within the period of fourteen days beginning on the date on which the requirements of subsection (3) of this section are complied with, make an application to the Minister in respect of any matter to which an order to be made under this section is intended to relate and the Minister shall, as soon as may be, decide the application and notify the person of his decision.
Annual Report.
8.—As soon as may be after the 1st day of January in each year, the Minister shall prepare and cause to be laid before both Houses of the Oireachtas an annual report on the exercise of his functions under this Act.
Laying of orders.
9.—(1) Where an order under section 3 of this Act is proposed to be made, a draft of the order shall be laid before each House of the Oireachtas and the order shall not be made until a resolution approving of the draft has been passed by each such House.
(2) Every order under this Act, other than an order made under section 3, shall be laid before each House of the Oireachtas as soon as may be after it is made and, if a resolution annulling the order is passed by either such House within the next twenty-one days on which that House has sat after the order is laid before it, the order shall be annulled accordingly but without prejudice to the validity of anything previously done thereunder.
Expenses of Minister.
10.—Any expenses incurred by the Minister in the administration of this Act shall, to such extent as may be sanctioned by the Minister for Finance, be paid out of moneys provided by the Oireachtas.
Short title.
11.—This Act may be cited as the International Health Bodies. (Corporate Status) Act, 1971.
