Reamhraiteach agus Ginearalta.

1.—Féadfar an tAcht um Bord Rásaíochta agus Rás-Chúrsaí, 1945, do ghairm den Acht so.
Mínithe.
2.—San Acht so—
ciallaíonn an abairt “oifigeach údaraithe don Bhord” duine arna cheapadh i scríbhinn ag an mBord chun bheith ina oifigeach údaraithe chun críocha Coda III den Acht so;
ciallaíonn an abairt “rás-chúrsa údaraithe” rás-chúrsa ar a mbíonn rás-chruinnithe ar siúil le ceadú comhluchta amháin nó an dá chomhlucht de na Comhluchta Rialúcháin;
ciallaíonn an abairt “an Bord” an Bord Rásaíochta a bunaítear leis an Acht so;
ciallaíonn an abairt “geall cúrsa” geall a dhéanfaidh geallghlacadóir ceadúnaithe, ar rás-chúrsa údaraithe nó ina mhaighin le linn rás-chruinniú do bheith ar siúl ar an rás-chúrsa údaraithe sin, ar rás capall is ceann de na rásanna ag an rás-chruinniú san;
ciallaíon an abairt “cead gealltóireachta cúrsa” cead arna dheonadh ag an mBord fá alt 24 den Acht so;
ciallaíonn an abairt “an chuideachta scortha” an chuideachta ar a dtugtar Bord Urlámhais na Gealltóireachta Meicniúla in Éirinn agus a scortar leis an Acht so;
ciallaíonn an abairt “dáta an bhunuithe” an dáta ceapfar chun bheith ina dháta bhunuithe chun críocha an Achta so le hordú ón Aire arna dhéanamh fá alt 3 den Acht so;
ciallaíonn an focal “feadhmannach”, maidir le rás-chúrsa údaraithe, an duine ar leis an rás-chúrsa san nó a stiúraíos é;
ciallaíonn an abairt “Comhlucht Rialúcháin” aon chomhlucht gurb é atá ann—
(a) an Irish Turf Club, nó
(b) an Irish National Hunt Steeplechase Committee;
ciallaíonn an focal “dleacht” dleacht is iníoctha fá alt 27 den Acht so;
ciallaíonn an abairt “geall-ghlacadóir ceadúnaithe” duine is sealbhóir de thuras na huaire ar cheadúnas geall-ghlacadóra do tugadh amach dó fán Acht um Gheall-Chur, 1931 (Uimh. 27 de 1931);
ciallaíonn an abairt “an tAire” an tAire Airgeadais;
ciallaíonn an focal “maighean”, maidir le rás-chúrsa údaraithe, aon áit in aice an rás-chúrsa san a ghnáthaíonn an phoiblíocht chun bheith ag féachaint ar rásaíocht;
ciallaíonn rud a bheith “ordaithe” é bheith ordaithe le rialacháin arna ndéanamh ag an mBord fán Acht so;
ciallaíonn an abairt “ceadúnas suimitheora” ceadúnas arna dheonadh fá Acht na Suimitheoirí, 1929 (Uimh. 22 de 1929);
ciallaíonn an abairt “dáta an aistrithe” an dáta a ceapfar chun bheith ina dháta aistrithe chun críocha an Achta so le hordú ón Aire arna dhéanamh fá alt 3 den Acht so.

3.—(1) Féadfaidh an tAire, le hordú, lá do cheapadh chun bheith ina dháta bunuithe chun críocha an Achta so.
(2) Féadfaidh an tAire, le hordú, lá do cheapadh chun bheith ina dháta aistrithe chun críocha an Achta so.
CUID II.
An Bord Rasaiochta.
An Bord do bhunú.
4.—(1) Déanfar, de bhuaidh an ailt seo, bord ar a dtabharfar mar ainm agus mar theideal an Bord Rásaíochta do bhunú ar dháta an bhunuithe chun na feadhma a ceaptar dó leis an Acht so do chomhlíonadh.
(2) Beidh an Bord ina chomhlucht chorpraithe agus síor-chomharbas aige agus séala oifigiúil (ar a dtabharfar aird i gcúrsaí breithiúntais) agus féadfaidh sé dul chun dlí agus féadfar dul chun dlí leis fána ainm corpraithe agus féadfaidh talamh do shealbhú.
Comhdhéanamh an Bhuird.
5.—(1) Beidh an Bord comhdhéanta d'aon chomhalta déag.
(2) Gach duine a ceapfar ina chomhalta den Bhord is duine é bheas, dar leis an Aire, ionadathach do rásaíocht (lena n-áirítear cleachtadh ar bhainistí rás-chúrsaí) nó únaeracht nó síolrú capall folaíochta, nó geall-ghlacadóireachta, nó gnótha eile dá samhail sin, nó a mbeidh feadhma aige maidir leis an gcéanna nó a mbeidh baint aige ar shlí eile leis an gcéanna.
Forála maidir le ceapadh téarmaí oifige, etc., comhaltaí an Bhuird.
6.—(1) San alt so ciallaíonn an focal “Gobharnóir” duine is comhalta de cheann de na Comhluchta Rialúcháin.
(2) Déanfaidh an tAire, roimh dháta an bhunuithe, aon duine dhéag (ar Gobharnóirí seisear díobh) do cheapadh chun bheith ina gcomhaltaí den Bhord agus tosnóidh téarma oifige gach duine a ceapfar amhlaidh ar dháta an bhunuithe agus, i gcás aon duine acu san d'éag roimh dháta an bhunuithe, is tuigthe, chun críocha fo-ailt (5) den alt so, é d'éag ar dháta an bhunuithe.
(3) Déanfaidh an tAire, i ngach cúigiú bliain tar éis na bliana ina dtuitfidh dáta an bhunuithe, aon duine dhéag (ar Gobharnóirí seisear díobh) do cheapadh chun bheith ina gcomhaltaí den Bhord agus tosnóidh téarma oifige gach duine a ceapfar amhlaidh an lá díreach i ndiaidh dáta a cheaptha.
(4) Gach comhalta den Bhord a ceapfar fá fho-alt (2) nó fá fho-alt (3) den alt so beidh sé, mura dtarlaí roimhe sin é d'éag nó d'éirí as oifig, i seilbh oifige go dtí deireadh an chéad lae eile ar a ndéanfaidh an tAire, de bhun fo-ailt (3) den alt so, aon duine dhéag do cheapadh chun bheith ina gcomhaltaí den Bhord.
(5) Aon uair éagfas comhalta den Bhord nó a éireos sé as oifig déanfaidh an tAire, a luaithe is caothúil, duine eile (is Gobharnóir má ba Ghobharnóir, ar dháta a cheaptha, an duine d'éag nó d'éirigh as oifig amhlaidh) do cheapadh chun bheith ina chomhalta den Bhord, agus an duine a ceapfar amhlaidh beidh sé, mura dtarlaí roimhe sin é d'éag nó d'éirí as oifig, i seilbh oifige go dtí deireadh an chéad lae eile ar a ndéanfaidh an tAire, de bhun fo-ailt (3) den alt so, aon duine dhéag do cheapadh chun bheith ina gcomhaltaí den Bhord.
(6) Comhalta den Bhord a dtiocfaidh deireadh lena théarma oifige le himeacht aimsire, beidh sé inathcheaptha.
(7) Féadfaidh comhalta den Bhord éirí as a oifig tráth ar bith trí litir arna díriú chun an Aire agus beidh éifeacht ag an éirí-as san amhail ar an dáta agus ón dáta ar a bhfaghaidh an tAire an litir sin.
(8) I gcás comhalta den Bhord, ba Ghobharnóir ar dháta a cheaptha, do scor de bheith ina Ghobharnóir, is tuigthe, chun críocha an ailt seo, é d'éirí as a oifig mar chomhalta den Bhord le héifeacht amhail ar dháta agus ó dháta an scortha san nó, i gcás é bheith arna cheapadh fá fho-alt (2) den alt so agus an scor san do tharlachtain roimh dháta an bhunuithe, amhail ar dháta agus ó dháta an bhunuithe.
(9) Raghaidh an tAire i gcomhairle leis an Aire Talmhaíochta sar a bhfeidhmeoidh sé na cumhachta do bheirtear dó leis an alt so.
(10) Féadfaidh an Bord, más oiriúnach leis é, aon chostais-aspóca fána raghaidh comhaltaí iarbhfír maidir le gnó an bhuird d'aisíoc leis na comhaltaí sin.
Cruinnithe den Bhord.
7.—(1) Beidh a chéad chruinniú ag an mBord ar dháta an bhunuithe nó a luaithe is caothúil tar éis an dáta san.
(2) Gach bliain a thosnós tar éis an chéad-chruinniú do thionól beidh cruinniú (dá ngairmtear an cruinniú bliantúil san Acht so) ag an mBord ar pé dáta a cheapfaidh an Bord.
(3) Fá réir forál an ailt seo, beidh ag an mBord pé cruinnithe agus pé méid cruinnithe is gá chun a dhualgais do chomhlíonadh go cuibhe.
Cathaoirleach an Bhuird.
8.—(1) Déanfaidh an Bord, ag á chéad chruinniú agus fós ag gach cruinniú bliantúil, duine dá chomhaltaí do thoghadh chun bheith ina chathaoirleach ar an mBord.
(2) Gach duine a toghfar chun bheith ina chathaoirleach ar an mBord beidh sé, mura dtarlaí roimhe sin é d'éag nó d'éirí as oifig nó do theacht fá dhí-cháilíocht, i seilbh oifige mar chathaoirleach go dtí an chéad chruinniú bliantúil eile den Bhord tar éis a thofa amhlaidh, ach beidh sé inatofa.
(3) Aon uair a thiocfas oifig an chathaoirligh chun bheith folamh toisc an cathaoirleach d'éag nó d'éirí as oifig nó do theacht fá dhí-cháilíocht, déanfaidh an Bord, ag an gcéad chruinniú tar éis an folúntas san do theacht, duine dá chomhaltaí do thoghadh chun bheith ina chathaoirleach agus, mura dtarlaí roimhe sin é d'éag nó d'éirí as oifig nó do theacht fá dhí-cháilíocht, beidh an comhalta a toghfar amhlaidh i seilbh oifige mar chathaoirleach go dtí an chéad chruinniú bliantúil eile den Bhord.
(4) Féadfaidh cathaoirleach an Bhuird éirí as a oifig mar chathaoirleach tráth ar bith trí litir arna díriú chun an Bhuird, agus raghaidh gach éirí-as den tsórt san in éifeacht i dtosach an chéad chruinnithe a bheas ag an mBord tar éis don Bhord an litir sin d'fháil.
(5) Má scoireann cathaoirleach an Bhuird, le linn a théarma oifige mar chathaoirleach, de bheith ina chomhalta den Bhord, beidh sé dí-cháilithe chun bheith, agus scoirfidh láithreach de bheith, ina chathaoirleach ar an mBord.
(6) Aon uair a tharlós, agus cathaoirleach á thoghadh ar an mBord, na vótaí do bhéarfar do bheirt nó níos mó do bheith comhionann, toghfar duine de na daoine sin le crannchur.
An nós imeachta ag cruinnithe an Bhuird.
9.—(1) Ag cruinniú den Bhord—
(a) is é cathaoirleach an Bhuird, má bhíonn i láthair, a bheas ina chathaoirleach ar an gcruinniú;
(b) má bhíonn agus faid a bheas cathaoirleach an Bhuird gan bheith i láthair nó má bhíonn oifig an chathaoirligh folamh, déanfaidh na comhaltaí den Bhord a bheas i láthair duine dhíobh féin do roghnú chun bheith ina chathaoirleach ar an gcruinniú.
(2) Déanfar gach ceist a éireos ag cruinniú den Bhord do chinneadh le tromlach vótaí na gcomhaltaí a bheas i láthair agus a vótálfas ar an gceist agus, i gcás comhionannas vótaí, beidh an dara vóta nó vóta réitigh ag cathaoirleach an chruinnithe, ach amháin nuair is é toghadh cathaoirligh an Bhuird an cheist a bheas le cinneadh.
(3) Féadfaidh an Bord gníomhú d'ainneoin folúntas nó folúntais do bheith i measc a chomhaltaí.
(4) Seachtar is córam don chéad chruinniú den Bhord, agus is é is córam do gach cruinniú den Bhord ina dhiaidh sin ná pé uimhir (nach lú ná cúigear) a cheapfaidh an Bord ó am go ham nó, mura mbeidh aon chóram ceaptha amhlaidh de thuras na huaire, cúigear.
(5) Fá réir forál an Achta so rialálfaidh an Bord, le buanorduithe nó ar shlí eile, nós imeachta agus gnó an Bhuird.
Coistí den Bhord.
10.—(1) Féadfaidh an Bord pé coistí agus pé méid coistí a mheasfaidh sé is ceart do cheapadh ó am go ham.
(2) Féadfaidh an Bord aon chuid dá fheadhma, dá chumhachta agus dá dhualgais, is dóigh leis is fearr nó is caothúla a d'fhéadfaí a fheidhmiú nó a chomhlíonadh ag coiste, do thairmligean chun coiste den Bhord agus féadfaidh nós imeachta aon choiste den tsórt san do rialáil.
(3) Beidh coiste den Bhord comhdhéanta de pé méid comhaltaí a mheasfaidh an Bord is ceart agus féadfaidh sé, do réir mar is rogha leis an mBord, bheith comhdhéanta ar fad de dhaoine is comhaltaí den Bhord nó go leathrannach de dhaoine is comhaltaí den Bhord agus go leathrannach de dhaoine is oifigigh don Bhord.
(4) Beidh gníomhartha coiste den Bhord fá réir a ndaingnithe ag an mBord ach amháin i gcás ina gcinnfidh an Bord nach gá an daingniú san.
Séala an Bhuird.
11.—(1) Déanfaidh an Bord, a luaithe is féidir tar éis a bhunuithe, séala do sholáthar dó féin.
(2) Déanfar séala an Bhuird do dhílse-dheimhniú le síniú chathaoirleach an Bhuird nó chomhalta éigin eile dhe go n-údarás aige ón mBord gníomhú chuige sin, maraon le síniú oifigigh don Bhord go n-údarás aige ón mBord gníomhú chuige sin.
Oifigigh agus seirbhísigh an Bhuird.
12.—(1) Fá réir fo-ailt (2) den alt so, féadfaidh an Bord pé oifigigh agus seirbhísigh agus pé méid díobh do cheapadh a mheasfaidh ó am go ham is ceart.
(2) I gcaitheamh na tréimhse de chúig bliana dar tosach dáta an bhunuithe, is fá réir cheadú an Aire a ceapfar duine chun poist phríomh-oifigigh an Bhuird.
(3) Íocfaidh an Bord lena oifigigh agus lena sheirbhísigh an luach saothair agus na liúntais a chinnfidh an Bord.
Oifigí an Bhuird.
13.—(1) Chun oifigí agus áitreabhacha do sholáthar is gá chun a fheadhma do chomhlíonadh go cuibhe, féadfaidh an Bord—
(a) aon talamh do cheannach nó do thógaint ar léas,
(b) oifigí agus áitreabhacha do thógáil, do ghléasadh agus do chothabháil.
(2) Féadfaidh an Bord aon oifigí nó áitreabhacha a bheas ar seilbh aige, agus nach gá a thuilleadh chun a fheadhma do chomhlíonadh go cuibhe, do dhíol nó do chur ar léas.
Cumhacht an Bhuird chun rás-chúrsaí do bhunú.
14.—(1) Féadfaidh an Bord, le toiliú na gComhlucht Rialúcháin, agus tar éis fógra do thabhairt d'fheadhmannach aon rás-chúrsa údaraithe láithrigh ar dóigh leis an mBord go bhféadfadh difir bheith ann dó, rás-chúrsaí do bhunú, do ghléasadh agus do chothabháil, agus chun na críche sin féadfaidh aon talamh (lena n-áirítear aon rás-chúrsa) do thógaint trí chomhaontú nó ar léas.
(2) Féadfaidh an Bord, le toiliú na gComhlucht Rialúcháin, rás-chruinnithe d'eagrú agus do chur ar siúl ar aon rás-chúrsa a bheas á chothabháil aige fán alt so.
(3) Féadfaidh an Bord, le toiliú na gComhlucht Rialúcháin, aon rás-chúrsa a bunófar fán alt so do chur ar léas.
(4) Féadfaidh an Bord aon talamh a thógfaidh fán alt so, agus nach gá a thuilleadh chun na gcríoch chun ar tógadh é, do dhíol nó do chur ar léas.
Cumas an Bhuird chun ceadúnas suimitheora do shealbhú.
15.—Féadfaidh an Bord ceadúnas suimitheora d'iarraidh agus do shealbhú.
Cistí an Bhuird d'úsáid.
16.—(1) Féadfaidh an Bord a chistí d'úsáid chun gach críche nó aon chríche acu so leanas, sé sin le rá:—
(a) chun costais fána raghaidh sé i bhfeidhmiú agus i gcomhlíonadh a chumhacht agus a dhualgas fán Acht so d'íoc,
(b) chun aon airgead d'íoc do réir téarmaí aon cheadúnais suimitheora a bheas ar seilbh aige,
(c) chun íocaíochta, deontais nó iasachta do thabhairt chun gach críche nó aon chríche nó críocha acu so leanas—
(i) chun an scar-airgead agus na duaiseanna ag rásanna capall a bheas ar siúl ar rás-chúrsaí údaraithe do mhéadú;
(ii) chun táillí iontrála agus éilithe dá samhail maidir le rásanna capall den tsórt san do laghdú,
(iii) chun capaill a bheas ag coimhlint ag rás-chruinnithe den tsórt san d'iompar,
(iv) chun na héilithe ar an bpoiblíocht do ligean isteach chun rás-chúrsaí údaraithe do laghdú,
(v) chun rás-chúrsaí údaraithe agus a soighnis d'fheabhsú,
(vi) chun aon chríche eile, arna ceadú ag an tAire, do raghadh chun rásaíocht chapall d'fheabhsú,
(vii) chun aon chríocha, arna gceadú ag an tAire, do raghadh chun síolrú capall d'fheabhsú nó chun an trádáil onnmhuirithe chapall d'fhorbairt.
(2) Féadfaidh an Bord pé coinníollacha a mheasfaidh an Bord is ceart do chur ag gabháil le haon deontas nó iasacht a bhéarfaidh sé nó a bheartóidh sé a thabhairt fán alt so.
Cumhacht an Bhuird chun airgead d'fháil ar iasacht.
17.—Féadfaidh an Bord pé suimeanna d'fháil ar iasacht a theastós uaidh chun críche a chumhacht agus a dhualgas ach, mura dtoilí an tAire leis, ní mó ná fiche míle punt an tsuim iomlán a bheas dlite tráth ar bith i leith na n-iasacht san.
Cistí an Bhuird do shuncáil.
18.—Féadfaidh an Bord airgead a bheas ar láimh aige ó am go ham do shuncáil in aon tslí ina n-údaraítear le dlí airgead le Banc Taisce an Phoist do shuncáil.
Cuntas agus tuarascála an Bhuird.
19.—(1) Coimeádfaidh an Bord cuntais mar is ceart agus mar is gnáth ar an airgead go léir a gheobhaidh nó a chaithfidh sé.
(2) Bhéarfaidh an Bord don Aire, laistigh de nócha lá tar éis deireadh gach tréimhse cuntaisaíochta fá leith nó laistigh de pé tréimhse is sia ná san a cheadóidh an tAire in aon chás áirithe,—
(a) cuntais an Bhuird don tréimhse chuntasaíochta san, agus na cuntais sin i pé foirm (más ann) a ordóidh an tAire agus iad iniúchta ag iniúchóir cuibhe-cháilithe a cheapfaidh an Bord, agus
(b) tuarascáil ar a imeachta i gcaitheamh na tréimhse cuntasaíochta san.
(3) Déanfaidh an tAire cóipeanna de chuntais agus de thuarascáil an Bhuird do thréimhse chuntasaíochta do leagadh fá bhráid gach Tighe den Oireachtas a luaithe is féidir tar éis dó iad d'fháil.
(4) Bhéarfaidh an Bord don Aire pé eolas maidir le feidhmiú a chumhacht agus a dhualgas a iarrfaidh an tAire ó am go ham.
Fianaise ar rialacháin agus ar thoiliú an Aire le rialacháin.
20.—I ngach imeacht dlí—
(a) is leor-fhianaise ar aon rialachán a bheas déanta ag an mBord fán Acht so scríbhinn do thabhairt ar aird a bhéarfas le tuigsint í bheith ina cóip den rialachán agus í bheith deimhnithe bheith ina cóip dhílis ag cathaoirleach an Bhuird nó ag príomh-oifigeach an Bhuird agus ní gá aon chruthúnas ar láimhscríbhneoireacht ná ar phost oifigiúil an duine do dheimhnigh an scríbhinn;
(b) is leor-fhianaise gur le toiliú an Aire do rinneadh aon rialachán áirithe a bheas déanta ag an mBord fán Acht so scríbhinn do thabhairt ar aird a bhéarfas le tuigsint i bheith sínithe ag oifigeach don Aire agus a dheimhneos gur le toiliú an Aire do rinneadh an rialachán agus ní gá aon chruthúnas ar láimhscríbhneoireacht ná ar phost oifigiúil an duine do shínigh an scríbhinn.

21.—Tiocfaidh na forála atá i gCaibidle II agus III den Chuid seo den Acht so i ngníomh pé lá a ceapfar chuige sin le hordú ón Aire, go ginearálta nó maidir le haon fhoráil áirithe, agus féadfar laethanta difriúla do cheapadh i gcóir forál difriúla de na Caibidle sin.
Ciontaí fá Chuid III do chúiseamh.
22.—Féadfaidh an Bord cionta fá aon alt dá bhfuil sa Chuid seo den Acht so do chúiseamh.
Caibidil II.
Srianta le gnó do bheith ar síúl ag geall-ghlacadóirí ar rás-chúrsaí údaraithe nó ina maighin, agus na táillí ar gheall-ghlacadóirí do ligean isteach chun rás-chúrsaí údaraithe.
Toirmeasc ar ghealltóireacht chúrsa ag geallghlacadóirí ná beidh ceada ón mBord acu.
23.—(1) Ní dleathach do dhuine ar bith gnó geall-ghlacadóra do bheith ar siúl aige ar aon rás-chúrsa údaraithe ná ina mhaighin muran sealbhóir ar chead gealltóireachta cúrsa an duine sin.
(2) Má dhéanann duine ar bith éinní contrártha don alt so beidh an duine sin ciontach i gcionta fán alt so agus ar a chiontú ann ar an slí achomair dlífear fíneáil nach mó ná céad punt do chur air.
(3) Má gheibhtear duine nach sealbhóir ar chead gealltóireachta cúrsa agus gnó geall-ghlacadóra ar siúl aige ar aon rás-chúrsa údaraithe, féadfaidh duine ar bith a bheas ag gníomhú fá stiúrú an Bhuird nó fheadhmannaigh an rás-chúrsa údaraithe sin an duine sin a céad-luaitear do chur amach as agus chuige sin féadfaidh pé neart d'imirt is gá do réir réasúin.
Ceada gealltóireachta cúrsa.
24.—(1) Féadfaidh an Bord, más oiriúnach leis é as a chomhairle féin amháin, cead do dheonadh d'aon gheall-ghlacadóir cheadúnaithe á údarú dhó gnó geall-ghlacadóra do bheith ar siúl aige ar rás-chúrsaí údaraithe nó ina maighin.
(2) Féadfaidh an Bord tráth ar bith, as a chomhairle féin amháin, cead gealltóireachta chúrsa d'fhionnraí go ceann pé thréimhse is oiriúnach leis nó é do chúlghairm.
(3) Aon uair a dhiúltós an Bord, i bhfeidhmiú a chumhacht fán alt so, cead gealltóireachta cúrsa do dheonadh do gheall-ghlacadóir cheadúnaithe nó a dhéanfaid amhlaidh cead gealltóireachta cúrsa a bheas ag geall-ghlacadóir ceadúnaithe d'fhionnraí nó do chúlghairm, beidh éifeacht ag na forála so leanas—
(a) déanfaidh an Bord an diúltú, an fhionnraí nó an chúl ghairm sin do chur in iúl i scríbhinn don gheallghlacadóir cheadúnaithe,
(b) féadfaidh an geall-ghlacadóir ceadúnaithe, laistigh de sheacht lá tar éis san do chur in iúl dó, a iarraidh ar an mBord caoi do thabhairt dó cúis-aithris, ó bhéal nó i scríbhinn, do dhéanamh leis an mBord maidir leis an diúltú, an fhionnraí nó an chúlghairm sin, agus géillfidh an Bord d'aon iarratas den tsórt san.
(4) I gcás duine dá ndeonfar cead gealltóireachta cúrsa do scor de bheith ina gheall-ghlacadóir cheadúnaithe, is tuigthe chun críocha an Achta so an cead gealltóireachta cúrsa do bheith arna chúlgairm, de bhuaidh an fho-ailt seo, ar an scor san.
Ceada gealltóireachta cúrsa do thaspáint ar san d'iarraidh.
25.—(1) Féadfaidh aon oifigeach údaraithe don Bhord a iarraidh ar dhuine ar bith a bhfeicfidh sé gnó geall-ghlacadóra á dhéanamh nó ar siúl aige ar aon rás-chúrsa údaraithe nó ina mhaighin a chead gealltóireachta cúrsa do thaspáint, agus má dhiúltaíonn nó má mhainníonn an duine sin an cead san do thaspáint nó má thaspánann an cead san ach go ndiúltóidh nó go mainneoidh a cheadú don oifigeach údaraithe sin é léamh beidh sé ciontach i gcionta fán alt so.
(2) Aon uair a hiarrfar go dleathach fán alt so ar dhuine ar bith a chead gealltóireachta cúrsa do thaspáint agus a dhiúltós nó a mhainneos sé an cead san do thaspáint nó a thaspánfas sé an cead san ach go ndiúltóidh nó go mainneoidh a cheadú don oifigeach údaraithe don Bhord a iarrfas san air an cead san do léamh agus do scrúdú, féadfaidh an t-oifigeach údaraithe sin a ainm agus a sheoladh d'fhiafraí den duine sin agus má dhiúltaíonn an duine sin a ainm a thabhairt nó má mhainníonn nó má dhiúltaíonn a sheoladh do thabhairt nó má thugann ainm nó seoladh a bheas bréagach nó mí-threorach, beidh sé ciontach i gcionta fán alt so.
(3) Duine ar bith a bheas ciontach i gcionta fán alt so dlífear, ar a chiontú ann ar an slí achomair, fíneáil nach mó ná fiche punt do chur air.
(4) Duine ná déanfaidh, nuair a hiarrfar air go dleathach fán alt so a chead gealltóireachta cúrsa do thaspáint, an cead san do thaspáint toisc nach sealbhóir ar chead gealltóireachta cúrsa é, is tuigthe é do mhainniú a chead gealltóireachta cúrsa do thaspáint do réir bhrí an ailt seo.

26.—(1) Féadfaidh an Bord rialacháin do dhéanamh ag ceapadh na dtáillí is inéilithe ag feadhmannaigh rás-chúrsaí údaraithe ar aon gheall-ghlacadóir cheadúnaithe nó ar chúntóirí leis a bheas ina chuideachtain as iad a ligean isteach chun rás-chúrsaí údaraithe agus féadfar táillí difriúla do cheapadh maidir le rás-chúrsaí údaraithe difriúla agus maidir le páirteanna difriúla den ráschúrsa údaraithe chéanna.
(2) Nuair a bheas an Bord ag déanamh rialachán fán alt so maidir le haon rás-chúrsa údaraithe, ní dhéanfaidh an Bord—
(a) táille do cheapadh, chun geall-ghlacadóir ceadúnaithe do ligean isteach in aon pháirt den rás-chúrsa san, is mó ná cúig oiread na táille a bheas á héileamh an tráth san ar dhuine den phoiblíocht as é do ligean isteach sa pháirt sin, ná
(b) táille do cheapadh, chun cúntóir a bheas i gcuideachtain gheall-ghlacadóra cheadúnaithe do ligean isteach in aon pháirt den rás-chúrsa san, is mó ná an táille a bheas á héileamh an tráth san ar dhuine den phoiblíocht as é do ligean isteach sa pháirt sin.
(3) I gcás rialacháin fán alt so a bhainfeas le haon rás-chúrsa údaraithe do bheith i bhfeidhm—
(a) an táille is inéilithe ar aon gheall-ghlacadóir ceadúnaithe as é do ligean isteach in aon pháirt den rás-chúrsa san ní bheidh sí, mura dtoilí an geall-ghlacadóir ceadúnaithe chuige, níos mó ná an táille a bheas ceaptha leis na rialacháin sin chun geall-ghlacadóir ceadúnaithe do ligean isteach sa pháirt sin, agus
(b) an táille is inéilithe ar aon chúntóir a bheas i gcuideachtain gheall-ghlacadóra cheadúnaithe as é do ligean isteach in aon pháirt den rás-chúrsa san ní bheidh sí, mura dtoilí an geall-ghlacadóir ceadúnaithe chuige, níos mó ná an táille a bheas ceaptha leis na rialacháin sin chun cúntóir a bheas i gcuideachtain gheallghlacadóra cheadúnaithe do ligean isteach sa pháirt sin.
(4) Déantar leis seo fo-alt (6) d'alt 3 d'Acht na Suimitheoirí, 1929 (Uimh. 22 de 1929), do leasú trí gach focal ó na focail “agus an méid a héileofar ar aon gheall-ghlacadóir cheadúnaithe den tsórt san” go dtí deireadh an fho-ailt sin do scrios.
Caibidil III.
Dleachta ar Gheall-ghlacadóirí i leith Geall Cúrsa.
Dleachta is iníoctha ag geallghlacadóirí ceadúnaithe ar ghill chúrsa.
27.—(1) Gach duine a dhéanfas, mar gheall-ghlacadóir cheadúnaithe, geall cúrsa i dtosach feidhme an ailt seo nó dá éis sin, íocfaidh leis an mBord dleacht arna áireamh do réir an chéad chodáin a bheas ordaithe de thuras na huaire de mhéid an ghill chúrsa san.
(2) Chun críocha an ailt seo is tuigthe gurb é is méid do gheall chúrsa ná an tsuim a mbeidh an geall-ghlacadóir a dhéanfas é i dteideal, do réir téarmaí an ghill, í d'fháil nó í do choinneáil nó creidiúint do ghlacadh inti má cinntear ina fhábhar an ní is abhar don gheall.
(3) Aon uair a cuirfear ina luighe ar an mBord geall cúrsa a mbeidh dleacht iníoctha air do bheith ó bhrí, ar aon chúis seachas comhaontú na bpáirtithe ann, nó nár chruinnigh agus nach dócha go gcruinneoidh an geall-ghlacadóir méid an ghill chúrsa a mbeidh dleacht iníoctha air, féadfaidh an Bord, fá réir pé coinníollacha is oiriúnach leis d'fhorchur, an dleacht do híocadh ar an ngeall cúrsa san d'aisíoc nó an dleacht is inéilithe air do mhaitheamh (pé acu is gá sa chás).
(4) Gach duine a mhaineos nó a fhaileos aon tsuim is iníoctha aige i leith dleachta d'íoc, beidh sé (gan dochar d'imeachta fá fho-alt (5) den alt so) ciontach i gcionta fán alt so agus ar a chiontú ann ar an slí achomair dlífear fíneáil nách mó ná céad punt do chur air.
(5) Gach dleacht is iníoctha ag duine ar bith, féadfaidh an Bord (gan dochar d'imeachta fá fho-alt (4) den alt so) é do bhaint den duine sin mar fhiacha ghnáth-chonnartha in aon chúirt dlínse inniúla.
(6) Féadfaidh an Bord, le toiliú an Aire, rialacháin do dhéanamh maidir leis an gcéadchodán (nach mó ná cúig fán gceád) dá dtagartar san alt so mar chéadchodán ordaithe.
Rialacháin i dtaobh dleachta d'íoc ar ghill chúrsa.
28.—(1) Féadfaidh an Bord, le toiliú an Aire, rialacháin do dhéanamh chun a áirithiú go n-íocfar dleachta agus go ginearálta chun éifeacht do thabhairt do na forála den Chaibidil seo a bhaineas le dleachta agus, go sonnruch—
(a) chun a cheangal ar gheall-ghlacadóirí a dhlíos dleachta d'íoc—
(i) sonnraí ar gach geall cúrsa d'iontráil, sa tslí a hordófar agus ag an am a hordófar, sna breacacháin a hordófar,
(ii) na breacacháin sin do choinneáil ar feadh na tréimse a hordófar,
(iii) na breacacháin sin do chur chun an Bhuird chun a n-iniúchta, ar an mBord dá iarraidh sin,
(iv) cóipeanna de na breacacháin sin do thabhairt don Bhord pé tráth nó trátha a hordófar;
(b) i dtaobh leatháin ghealltóireachta dleachtíochta do sholáthar, d'úsáid, agus do mhaoirsiú agus i dtaobh aisíocanna do thabhairt i leith leathán den tsórt san ná beidh úsáite nó ná beidh úsáite go hiomlán;
(c) chun an Bord do dhéanamh socruithe le geall-ghlacadóirí agus do ghlacadh urrús ó gheall-ghlacadóirí lenar mian dleachta d'íoc do réir tuairisceán a bhéarfaid uathu;
(d) chun an Bord do thabhairt maithimh nó aisíoca (pé acu is gá sa chás) do gheall-ghlacadóirí i ndleacht i gcásanna ina gcuirfear ina luighe ar an mBord iomlán fiachais teagmhaisigh gheall-ghlacadóra nó aon chuid den chéanna i leith gill chúrsa do chuir nó do leag sé nó do rinne sé ar aon tslí eile do bheith aistrithe chun geall-ghlacadóra eile trí gheall nua do cuireadh, do leagadh, nó do rinneadh ar aon tslí eile ag an gcéad gheall-ghlacadóir leis an dara geall-ghlacadóir.
(2) Má dhéanann duine ar bith—
(a) rialachán fán alt so do shárú nó mainneachtain do thabhairt ina chomhlíonadh, nó
(b) aon iontráil bhréagach maidir le geall cúrsa in aon bhreacachán a bheas á choimeád de bhun aon rialacháin fán alt so,
beidh an duine sin ciontach i gcionta fán alt so agus ar a chiontú ann ar an slí achomair dlífear fíneáil nach mó ná céad punt do chur air.

29.—(1) Féadfaidh oifigeach údaraithe don Bhord (ach é do thaspáint, má hiarrtar air é, a údaráis i scríbhinn mar oifigeach údaraithe den tsórt san) dul isteach tráth ar bith in aon áitreabh ina mbíonn gnó geall-ghlacadóireachta ar siúl agus aon scríbhinní do gheobhfar ann agus a bhainfeas le gill chúrsa nó a chreidfeas an t-oifigeach údaraithe sin a bhainfeas le gill chúrsa, do rinne an duine a bheas ag déanamh an ghnótha san, do lorg agus cóipeanna do dhéanamh dhíobh nó sleachta do thógaint astu san áitreabh san agus féadfaidh a cheangal ar dhuine ar bith do gheobhfar san áitreabh san gach scríbhinn san áitreabh san a bhainfeas le gill chúrsa den tsórt san do thaspáint.
(2) Gach duine a chuirfeas i gcoinne oifigigh údaraithe don Bhord nó choiscfeas nó bhacfas é agus é ag feidhmiú aon chumhachta dá dtugtar dó leis an alt so nó a dhiúltós gan leithscéal dleathach nó dóthanach aon scríbhinn a thaspáint a cheanglós oifigeach údaraithe don Bhord air a thaspáint fán alt so beidh sé ciontach i gcionta fán alt so agus, ar a chiontú ann ar an slí achomair, dlífear fíneáil nach mó ná caoga punt do chur air.

30.—(1) Má chíonn oifigeach údaraithe gnó geall-ghlacadóra á dhéanamh nó ar siúl ag duine ar aon rás-chúrsa údaraithe nó ina mhaighin, féadfaidh sé (ach é do thaspáint, má hiarrtar air é, a cheapacháin mar oifigeach údaraithe den tsórt san) a cheangal ar an duine sin aon scríbhinn a bheas an tráth san i seilbh an duine sin agus á húsáid chun críche an ghnótha san do thaspáint dó láithreach agus a cheadú dhó í do scrúdú, agus cóipeanna do dhéanamh dhi nó sleachta do thógaint aisti.
(2) Gach duine a mhainneos nó a dhiúltós éinní do dhéanamh a cheanglóidh oifigeach údaraithe don Bhord air a dhéanamh fá fho-alt (1) den alt so beidh sé ciontach i gcionta fán alt so agus ar a chiontú ann ar an slí achomair dlífear fíneáil nach mó ná caoga punt do chur air.

An chuideachta scortha do scor.
31.—(1) Fá réir na bhforál atá leagtha amach sa Sceideal a ghabhas leis an Acht so, beidh an chuideachta scortha arna scor, de bhuaidh an ailt seo, ar dháta an aistrithe.
(2) Beidh feidhm maidir leis an gcuideachtain scortha ag na forála atá leagtha amach sa Sceideal a ghabhas leis an Acht so.
Maoin na cuideachtan scortha d'aistriú chun an Bhuird.
32.—(1) An mhaoin uile, réalta nó pearsanta (agus rudaí-arfionnraí d'áireamh), a bhí, díreach roimh dháta an aistrithe, dílsithe sa chuideachtain scortha nó dá cuid féin aici nó ar seilbh ar iontaoibh di agus gach ceart, cumhacht agus príbhléid a gheobhas nó a bhainfeas le haon mhaoin den tsórt san, tiocfaidh chun bheith agus beidh, ar dháta an aistrithe agus gan leithliú ná sannadh ar bith ach fá réir a n-aistrithe i leabhair aon bhainc nó corparáide nó cuideachtan más gá san, dílsithe, fá réir forál an ailt seo, sa Bhord nó dá chuid féin aige nó ar seilbh ar iontaoibh dó (mar is gá sa chás) chun an eastáit, an téarma nó an leasa uile chun a raibh an céanna, díreach roimh dháta an aistrithe, dílsithe sa chuideachtain scortha nó dá cuid féin aici nó ar seilbh ar iontaoibh di.
(2) An mhaoin uile a haistrítear leis an alt so agus a bhí, díreach roimh dháta an aistrithe ar seasamh i leabhair aon bhainc, nó cláraithe i leabhair aon bhainc nó corparáide nó cuideachtan, aistreoidh an banc nó an chorparáid nó an chuideachta san í sna leabhair sin chun ainm an Bhuird arna iarraidh sin don Bhord ar dháta an aistrithe nó aon uair ina dhiaidh sin.
(3) Gach rud-ar-fionnraí a haistrítear leis an alt so chun an Bhuird féadfaidh an Bord, ar dháta an aistrithe agus dá éis, dul chun dlí mar gheall air nó é bhaint amach nó é d'fhorfheidhmiú ina ainm féin agus ní gá don Bhord fógra i dtaobh an aistrithe a déantar leis an alt so do thabhairt don té ar a mbeidh an rud-arfionnraí sin in a cheangal.

33.—Ar dháta an aistrithe beidh gach ceadúnas suimitheora do bhí, díreach roimh an lá ceaptha, ag an gcuideachtain scortha, arna aistriú, de bhuaidh an ailt seo, chun an Bhuird agus, ar dháta an bhunuithe agus dá éis, beidh éifeacht aige fé is dá gcuirtí ainm an Bhuird ann in ionad ainm na cuideachtan scortha.
Dliteanais na cuideachtan scortha d'aistriú.
34.—Na fiacha agus na dliteanais eile go léir (lena n-áirítear dliteanais neamhleachtaithe de dhruim torta nó sáruithe connartha) a bheas, díreach roimh dháta an aistrithe, dlite ar an gcuideachtain scortha agus gan íoc aici nó dlite uirthi agus gan comhlíonadh aici, tiocfaid chun bheith agus beid, ar dháta an aistrithe, ina bhfiacha nó ina ndliteanais ar an mBord agus íocfaidh nó comhlíonfaidh an Bord iad agus féadfar iad do bhaint de nó d'fhorfheidhmiú ina choinne dá réir sin.

35.—Gach banna, ráthaíocht, nó úrrus eile de shaghas leanúnach do thug an chuideachta scortha do dhuine ar bith nó do thug duine ar bith don chuideachtain scortha san agus a bheas i bhfeidhm díreach roimh dháta an aistrithe, agus gach connradh nó comhaontú i scríbhinn a bheas déanta idir an chuideachta scortha agus duine eile agus ná beidh feidhmithe agus comhlánaithe go hiomlán roibh dháta an aistrithe, leanfaidh, d'ainneoin an chuideachta scortha do scor, de bheith i bhfeidhm ar dháta an aistrithe agus dá éis, ach léireofar é agus beidh éifeacht aige fé is dá gcuirtí ainm an Bhuird ann in ionad ainm na cuideachtan scortha agus beidh an t-urrús, an connradh, nó an comhaontú san infhorfheidhmithe ag an mBord nó ina choinne dá réir sin.

36.—Tiocfaidh an Bord chun bheith agus beidh, ar dháta an aistrithe, ina pháirtí in ionad na cuideachtan scortha i ngach aicsean nó agra nó imeacht a bheas ar feitheamh ar dháta an aistrithe in aon chúirt nó binse agus ina mbeidh an chuideachta scortha ina páirtí, agus leanfar den imeacht san idir an Bord agus na páirtithe eile ann dá réir sin agus ní thuitfidh aon imeacht den tsórt san ar lár ná ní thiocfaidh deireadh leis ná ní déanfar dochar dó de dhruim an chuideachta scortha do scor.

37.—Gach connradh seirbhíse, follas nó folaithe, do rinneadh roimh an 1ú lá d'Eanáir, 1945, agus a bheas i bhfeidhm díreach roimh dháta an aistrithe idir an chuideachta scortha agus duine ar bith is oifigeach tuarastail nó fostaí don chuideachtain scortha, leanfaidh i bhfeidhm ar dháta an aistrithe agus dá éis, ach léireofar é agus beidh éifeacht aige fé is dá gcuirtí an Bord ann in ionad na cuideachtan scortha agus beidh gach connradh den tsórt san infhorfheidhmithe ag an mBord nó ina choinne dá réir sin.

38.—(1) Ní oibreoidh alt 12 den Finance Act, 1895, chun a cheangal ar an mBord cóip den Acht so do sheachadadh do na Coimisinéirí Ioncaim ná aon diúité stampa d'íoc fán alt san ar aon chóip den Acht so.
(2) Ní bheidh diúité stampa inéilithe ar aon aistriú, leithliú, nó ionstraim eile a comhlánófar chun dílsiú sócmhainní na cuideachtan scortha sa Bhord d'fhorlíonadh nó chun éifeacht do thabhairt don dílsiú san.

39.—(1) Féadfaidh Comhlucht Rialúcháin, le hordú (dá ngairmtear ordú eiscthe san alt so), a thoirmeasc ar dhuine (dó réir mar is rogha leis an gComhlucht Rialúcháin sin) bheith ar aon cheann de na rás-chúrsaí, ar a mbíonn rásanna ar siúl ar gá ceadú an Chomhluchta Rialúcháin sin chun iad do chur ar siúl, nó bheith ar pé rás-chúrsaí acu san is oiriúnach leis an gComhlucht Rialúcháin sin agus a shonnróid san ordú.
(2) Féadfaidh Comhlucht Rialúcháin aon ordú eiscthe a bheas déanta acu do chúlghairm.
(3) Má dhéanann Comhlucht Rialúcháin ordú eiscthe bhéarfaid go gcuirfear fógra i dtaobh an orduithe do dhéanamh leis an bpost cláraithe chun an duine lena mbainfidh an t-ordú agus chun feadhmannaigh gach rás-chúrsa fá leith lena mbainfidh an t-ordú.
(4) Má déantar ordú eiscthe agus go bhfaghfar duine ar bith lena mbainfidh an t-ordú ar aon rás-chúrsa lena mbainfidh an t-ordú, féadfaidh duine ar bith a bheas ag gníomhú fá stiúrú fheadhmannaigh an rás-chúrsa san an duine sin a céad-luaitear do chur amach as agus chuige sin féadfaidh pé neart d'imirt is gá do réir réasúin.

40.—(1) Féadfaidh an Bord le rialacháin, tar éis dul i gcomhairle leis na Comhluchta Rialúcháin, foráil do dhéanamh chun an tslí ina déanfar rás-chúrsaí údaraithe do bhainistí agus do stiúrú ag á bhfeadhmannaigh do rialáil.
(2) Féadfaidh an Bord, le rialacháin, foráil do dhéanamh—
(a) chun a cheangal ar fheadhmannaigh rás-chúrsaí údaraithe na leabhair, na cuntais, agus na breacacháin a hordófar do choimeád,
(b) chun a cheangal ar fheadhmannaigh rás-chúrsaí údaraithe na tuairisceáin agus an t-eolas a hordófar do thabhairt don Bhord,
(c) chun feadhmannaigh rás-chúrsaí údaraithe do thaspáint leabhar, cuntas, agus breacachán a bhainfeas leis na ráschúrsaí údaraithe sin,
(d) chun leabhair, cuntais agus breacacháin a bheas á gcoimeád ag feadhmannaigh rás-chúrsaí údaraithe do scrúdú agus sleachta do thógaint astu.
(3) Féadfar rialacháin fán alt so do dhéanamh i slí go mbainfid le feadhmannaigh rás-chúrsaí údaraithe go ginearálta nó le feadhmannach aon rás-chúrsa nó rás-chúrsaí údaraithe áirithe, agus féadfar rialacháin difriúla do dhéanamh maidir le feadhmannaigh rás-chúrsaí údaraithe difriúla.
(4) Más dóigh leis an mBord sárú (trí ghníomh nó trí fhaillí) do bheith déanta ar aon rialachán dá ndéanfar fán alt so ag feadhmannach rás-chúrsa údaraithe lena mbainfidh an rialachán san, féadfaidh an Bord an sárú san do thuairisciú don Chomhlucht Rialúcháin iomchuibhe, agus air sin déanfaidh an Comhlucht Rialúcháin sin maidir le feadhmannach an rás-chúrsa údaraithe sin pé gníomh smachta do chur i bhfeidhm agus pé éagumais agus pionóis d'fhorchur is dóigh leo is ceart fá na Rialacha Rásaíochta in Éirinn agus fá Rialacha an Irish National Hunt Steeplechase Committee.

1. Chun críocha an Sceidil seo, ach ní chun aon chríche eile ná ar aon tslí eile, is tuigthe an chuideachta scortha do leanúin ar marthain ar dháta an aistrithe agus dá éis.
2. Ar an mBord dá iarraidh sin, comhlánfaidh an chuideachta scortha na hionstraimí sin uile agus déanfaidh na nithe sin uile is gá chun a chumasú don Bhord aon stoic, scaireanna nó urrúis a bheas i seilbh na cuideachtan scortha díreach roimh dháta an aistrithe do chur á n-aistriú chun ainme an Bhuird, agus chuige sin is tuigthe na daoine is stiúrthóirí ar an gcuideachtain scortha díreach roimh dháta an aistrithe do leanúin in oifig.
3. (1) Sa mhír seo ciallaíonn an abairt “an dáta ceaptha”—
(a) i gcás dáta an aistrithe do thuitim ar an 5ú lá d'Aibreán, dáta an aistrithe;
(b) in aon chás eile, an 5ú lá d'Aibreán is túisce thiocfas i ndiaidh dáta an aistrithe.

RACING BOARD AND RACECOURSES ACT, 1945.
PART I.
Preliminary and General.
Short title.
1.—This Act may be cited as the Racing Board and Racecourses Act, 1945.
Definitions.
2.—In this Act—
the expression “authorised officer of the Board” means a person appointed in writing by the Board to be an authorised officer for the purposes of Part III of this Act;
the expression “authorised racecourse” means a racecourse at which race meetings are held with the sanction of either or both of the Governing Bodies;
the expression “the Board” means the Racing Board established by this Act;
the expression “course bet” means a bet entered into by a licensed bookmaker, during a race meeting held on an authorised racecourse and at that authorised racecourse or in the precincts thereof, on a horse race forming an item at that race meeting;
the expression “course-betting permit” means a permit granted by the Board under section 24 of this Act;
the expression “the dissolved company” means the company known as the Board of Control for Mechanical Betting in Ireland dissolved by this Act;
the expression “the establishment date” means the date appointed to be the establishment date for the purposes of this Act by order of the Minister made under section 3 of this Act;
the word “executive”, in relation to an authorised racecourse means the person who owns or exercises control over that racecourse;
the expression “Governing Body” means any body being—
(a) the Irish Turf Club, or
(b) the Irish National Hunt Steeplechase Committee;
the word “levy” means a levy payable under section 27 of this Act;
the expression “licensed bookmaker” means a person who is for the time being the holder of a bookmaker's licence issued to him under the Betting Act, 1931 (No. 27 of 1931);
the expression “the Minister” means the Minister for Finance;
the word “precincts”, in relation to an authorised racecourse, means any place adjacent to that racecourse to which the public habitually resort for the purpose of watching racing;
the word “prescribed” means prescribed by regulations made by the Board under this Act;
the expression “totalisator licence” means a licence granted under the Totalisator Act, 1929 (No. 22 of 1929);
the expression “the transfer date” means the date appointed to be the transfer date for the purposes of this Act by order of the Minister made under section 3 of this Act.
Establishment date and transfer date.
3.—(1) The Minister may by order appoint a day to be the establishment date for the purposes of this Act.
(2) The Minister may by order appoint a day to be the transfer date for the purposes of this Act.
PART II.
The Racing Board.
Establishment of the Board.
4.—(1) There shall, by virtue of this section, be established on the establishment date a board to be styled and known as the Racing Board to fulfil the functions assigned to it by this Act.
(2) The Board shall be a body corporate with perpetual succession and an official seal (which shall be judicially noticed) and power to sue and be sued in its corporate name and to hold land.
Constitution of the Board.
5.—(1) The Board shall consist of eleven members.
(2) Each person appointed a member of the Board shall be a person who, in the opinion of the Minister, is representative of, or has functions in relation to, or is otherwise connected with, racing (including practical experience in the management of racecourses) or the ownership or breeding of bloodstock, or bookmaking, or other like pursuits.
Provisions in relation to appointment, terms of office, etc., of members of the Board.
6.—(1) In this section the word “Governor” means a person who is a member of one or other of the Governing Bodies.
(2) The Minister shall, before the establishment date, appoint eleven persons (of whom six shall be Governors) to be members of the Board and the term of office of every person so appointed shall commence on the establishment date, and if any such person dies before the establishment date he shall, for the purposes of subsection (5) of this section, be deemed to have died on the establishment date.
(3) The Minister shall, in each fifth successive year following the year in which the establishment date falls, appoint eleven persons (of whom six shall be Governors) to be members of the Board and the term of office of every person so appointed shall commence on the day next following the date of his appointment.
(4) Every member of the Board appointed under subsection (2) or subsection (3) of this section shall unless he sooner dies, or resigns, hold office until the expiration of the day on which the Minister next appoints, in pursuance of subsection (3) of this section, eleven persons to be members of the Board.
(5) Whenever a member of the Board dies or resigns, the Minister shall, as soon as conveniently may be, appoint another person (who shall, in case the person so dying or resigning was at the date of his appointment a Governor, be a Governor) to be a member of the Board, and the person so appointed shall, unless he sooner dies or resigns, hold office until the expiration of the day on which the Minister next appoints, in pursuance of subsection (3) of this section, eleven persons to be members of the Board.
(6) A member of the Board whose term of office expires by effluxion of time shall be eligible for reappointment.
(7) A member of the Board may at any time resign his office by letter addressed to the Minister and such resignation shall take effect as on and from the date of the receipt of such letter by the Minister.
(8) Where a member of the Board, who at the date of his appointment was a Governor, ceases to be a Governor, he shall, for the purposes of this section, be deemed to have resigned his office as a member of the Board with effect as on and from the date of such cesser or, if he was appointed under subsection (2) of this section and such cesser occurs before the establishment date, the establishment date.
(9) The Minister shall consult the Minister for Agriculture before exercising the powers conferred on him by this section.
(10) The Board may, if it thinks fit, reimburse members for any actual out-of-pocket expenses incurred by them in connection with the business of the Board.
Meetings of the Board.
7.—(1) The Board shall hold its first meeting on, or as soon as conveniently may be after, the establishment date.
(2) The Board shall, in every year commencing after the holding of the first meeting, hold a meeting (in this Act referred to as the annual meeting) on such date as the Board may appoint.
(3) Subject to the provisions of this section, the Board shall hold such and so many meetings as may be necessary for the due execution of its duties.
Chairman of the Board.
8.—(1) The Board shall, at its first meeting and also at every annual meeting, elect one of its members to be chairman of the Board.
(2) Every person elected to be chairman of the Board shall, unless he sooner dies, resigns or becomes disqualified, hold office as chairman until the next annual meeting of the Board following his said election, but shall be eligible for re-election.
(3) Whenever the office of chairman becomes vacant through the death, resignation or disqualification of the chairman, the Board shall, at the next meeting after such vacancy, elect one of its members to be chairman, and the member so elected shall, unless he sooner dies, resigns or becomes disqualified, hold office as chairman until the next annual meeting of the Board.
(4) The chairman of the Board may at any time resign his office as chairman by letter addressed to the Board and every such resignation shall take effect at the commencement of the meeting of the Board held next after the receipt of such letter by the Board.
(5) Whenever the chairman of the Board ceases during his term of office as chairman to be a member of the Board he shall be disqualified from being and shall forthwith cease to be such chairman.
(6) Whenever at the election of chairman of the Board, there is an equality of votes for two or more persons, one of those persons shall be elected by lot.
Procedure at meetings of the Board.
9.—(1) At a meeting of the Board—
(a) the chairman of the Board shall, if present, be chairman of the meeting;
(b) if and so long as the chairman of the Board is not present or if the office of chairman is vacant, the members of the Board who are present shall choose one of their number to be chairman of the meeting.
(2) Every question at a meeting of the Board shall be determined by a majority of the votes of the members present and voting on the question, and, in case of an equal division of votes, the chairman of the meeting shall have a second or casting vote, save where the question is the election of the chairman of the Board.
(3) The Board may act notwithstanding one or more vacancies amongst its members.
(4) The quorum for the first meeting of the Board shall be seven, and the quorum for each subsequent meeting of the Board shall be such number (not less than five) as the Board may from time to time fix or, if no quorum is for the time being so fixed, five.
(5) Subject to the provisions of this Act, the Board shall regulate, by standing orders or otherwise, the procedure and business of the Board.
Committees of the Board.
10.—(1) The Board may from time to time appoint such and so many committees as it thinks proper.
(2) The Board may delegate to a committee of the Board any of its functions, powers and duties which, in its opinion, can be better or more conveniently exercised or performed by a committee, and may regulate the procedure of any such committee.
(3) A committee of the Board shall consist of such number of members as the Board thinks proper and may, at the discretion of the Board, consist exclusively of persons who are members of the Board or partly of persons who are members of the Board and partly of persons who are officers of the Board.
(4) The acts of a committee of the Board shall be subject to confirmation by the Board save where the Board dispenses with the necessity for such confirmation.
Seal of the Board.
11.—(1) The Board shall as soon as may be after its establishment provide itself with a seal.
(2) The seal of the Board shall be authenticated by the signature of the chairman of the Board or some other member thereof authorised by the Board to act in that behalf and the signature of an officer of the Board authorised by the Board to act in that behalf.
Officers and servants of the Board.
12.—(1) Subject to subsection (2) of this section, the Board may appoint such and so many officers and servants as it shall from time to time think proper.
(2) During the period of five years commencing on the establishment date, the appointment of any person to the post of chief officer of the Board shall be subject to the sanction of the Minister.
(3) There shall be paid by the Board to its officers and servants such remuneration and allowances as the Board shall determine.
Offices of the Board.
13.—(1) For the purpose of providing offices and premises necessary for the due performance of its functions, the Board may—
(a) purchase or take on lease any land,
(b) build, equip and maintain offices and premises.
(2) The Board may sell or lease any offices or premises held by it which are no longer required for the due performance of its functions.
Power of the Board to establish racecourses.
14.—(1) The Board may, with the consent of the Governing Bodies, and after giving notice to the executive of any existing authorised racecourse which in the opinion of the Board may be affected, establish, equip and maintain racecourses, and for this purpose may acquire by agreement or lease any land (including any racecourse).
(2) The Board may, with the consent of the Governing Bodies, organise and hold race meetings at any racecourse maintained by it under this section.
(3) The Board may, with the consent of the Governing Bodies, lease any racecourse established under this section.
(4) The Board may sell or lease any land acquired by it under this section which is no longer required for the purposes for which it was acquired.
Capacity of the Board to hold a totalisator licence.
15.—The Board may apply for and hold a totalisator licence.
Application of funds of the Board.
16.—(1) The Board may apply its funds for all or any of the following purposes, that is to say:—
(a) the payment of expenses incurred by it in the exercise and performance of its powers and duties under this Act,
(b) the payment of any moneys in accordance with the terms of any totalisator licence held by it,
(c) the making of payments, grants or loans for all or any one or more of the following purposes—
(i) the increase of stake-money and prizes at horse races held at authorised racecourses,
(ii) the reduction of entrance fees and similar charges in respect of such horse races,
(iii) the carriage of horses competing at such race meetings,
(iv) the reduction of the charges to the public for admission to authorised racecourses,
(v) the improvement of authorised racecourses and the amenities thereof,
(vi) any other purpose, approved by the Minister, conducive to the improvement of horse-racing,
(vii) any purposes, approved by the Minister, conducive to the improvement of the breeding of horses or to the development of the export trade in horses.
(2) The Board may attach to any grant or loan made or proposed to be made by it under this section such conditions as the Board thinks proper.
Power of Board to borrow.
17.—The Board may borrow such sums as it may require for the purpose of its powers and its duties, but the total amount due at any time in respect of such loans shall not, without the consent of the Minister, exceed twenty thousand pounds.
Investment of funds of the Board.
18.—The Board may invest moneys in its hands from time to time in any manner in which moneys of the Post Office Savings Bank are authorised by law to be invested.
Accounts and reports of the Board.
19.—(1) The Board shall keep proper and usual accounts of all moneys received or expended by it.
(2) The Board shall, within ninety days after the end of each accounting period or such longer time as the Minister shall in any particular case allow, furnish to the Minister—
(a) the accounts of the Board for that accounting period, which accounts shall be in such form (if any) as the Minister may direct and shall be audited by a duly qualified auditor appointed by the Board, and
(b) a report of its proceedings during that accounting period.
(3) The Minister shall lay copies of the accounts and report of the Board for an accounting period before each House of the Oireachtas as soon as may be after they have been received by him.
(4) The Board shall furnish to the Minister such information with regard to the exercise of its powers and duties as the Minister may from time to time require.
Evidence of regulations and of consent of Minister to regulations.
20.—In all legal proceedings—
(a) the production of a document purporting to be a copy of any regulation made by the Board under this Act and to be certified to be a true copy by the chairman of the Board or the chief officer of the Board shall be sufficient evidence of the regulation and no proof shall be required of the handwriting or official position of the person certifying the document;
(b) the production of a document purporting to be signed by an officer of the Minister and certifying that any specified regulation made by the Board under this Act was made with the consent of the Minister shall be sufficient evidence that the regulation was made with the consent of the Minister and no proof shall be required of the handwriting or official position of the person signing the document.
PART III.
Provisions Applicable to Bookmakers.
Chapter I.
Preliminary and General.
Commencement of Chapters II and III of Part III.
21.—The provisions contained in Chapters II and III of this Part of this Act shall come into operation on such day as may be fixed for that purpose by order of the Minister, either generally or with reference to any particular provision, and different days may be fixed for different provisions of the said Chapters.
Prosecution of offences under Part III.
22.—An offence under any section contained in this Part of this Act may be prosecuted by the Board.
Chapter II.
Restrictions on bookmakers carrying on business at authorised racecourses or in the precincts thereof, and charges for admission of bookmakers to authorised racecourses.
Prohibition of course betting by bookmakers not holding permits from the Board.
23.—(1) It shall not be lawful for any person to carry on the business of a bookmaker at any authorised racecourse or in the precincts thereof, unless such person is the holder of a course-betting permit.
(2) If any person acts in contravention of this section, that person shall be guilty of an offence under this section and shall be liable on summary conviction thereof to a fine not exceeding one hundred pounds.
(3) Where a person who is not the holder of a course-betting permit is found carrying on the business of a bookmaker at any authorised racecourse, any person acting under the direction of the Board or the executive of that authorised racecourse may remove such first-mentioned person therefrom and for this purpose may use such force as may be reasonably necessary.
Course-betting permits.
24.—(1) The Board may, if in its absolute discretion it so thinks fit, grant to any licensed bookmaker a permit authorising him to carry on the business of a bookmaker at authorised racecourses or in the precincts thereof.
(2) The Board, in its absolute discretion, may, at any time, suspend for such time as it thinks fit or revoke a course-betting permit.
(3) Whenever the Board, in the exercise of its powers under this section, refuses to grant a course-betting permit to a licensed bookmaker or suspends or revokes a course-betting permit held by a licensed bookmaker, the following provisions shall have effect—
(a) the Board shall inform the licensed bookmaker in writing of such refusal, suspension or revocation,
(b) the licensed bookmaker may, within seven days after being so informed, request the Board to afford him an opportunity of making to the Board, in relation to such refusal, suspension or revocation, representations, oral or written, and the Board shall grant any such request.
(4) Where a person to whom a course-betting permit is granted ceases to be a licensed bookmaker, the course-betting permit shall, for the purposes of this Act, be deemed, by virtue of this subsection, to have been revoked upon such cesser.
Production of course-betting permits on demand.
25.—(1) Any authorised officer of the Board may demand of any person, whom he observes to be engaged in or carrying on the business of a bookmaker at any authorised racecourse or in the precincts thereof, the production of his course-betting permit, and if that person refuses or fails to produce such permit or produces such permit, but refuses or fails to permit such authorised officer to read it, he shall be guilty of an offence under this section.
(2) Whenever any person of whom the production of his course-betting permit is lawfully demanded under this section refuses or fails to produce such permit or produces such permit, but fails or refuses to permit the authorised officer of the Board making the demand to read and examine such permit, such authorised officer may demand of such person his name and address and if such person refuses to give his name or fails or refuses to give his address or gives a name or address which is false or misleading, he shall be guilty of an offence under this section.
(3) Any person guilty of an offence under this section shall be liable on summary conviction thereof to a fine not exceeding twenty pounds.
(4) A person who, when the production of his course-betting permit is lawfully demanded of him under this section, does not produce such permit because he is not the holder of a course-betting permit shall be deemed to fail to produce his course-betting permit within the meaning of this section.
Charge for admission of bookmakers to authorised racecourses.
26.—(1) The Board may make regulations fixing the charges to be made by executives of authorised racecourses to any licensed bookmaker or his assistants accompanying him for admission to authorised racecourses and different charges may be fixed in respect of different authorised racecourses and in respect of different parts of the same authorised racecourse.
(2) In making regulations under this section in relation to any authorised racecourse, the Board shall not—
(a) fix, for the admission of a licensed bookmaker to any part of that racecourse, a charge exceeding five times the charge then made to a member of the public for admission to that part, or
(b) fix, for the admission of an assistant accompanying a licensed bookmaker to any part of that racecourse, a charge exceeding the charge then made to a member of the public for admission to that part.
(3) Where regulations under this section applicable to any authorised racecourse are in force—
(a) the charge to be made to any licensed bookmaker for admission to any part of that racecourse shall not, except with the consent of the licensed bookmaker, exceed that fixed by those regulations for the admission of a licensed bookmaker to that part, and
(b) the charge to be made to any assistant accompanying a licensed bookmaker for admission to any part of that racecourse shall not, except with the consent of the licensed bookmaker, exceed that fixed by those regulations for the admission of an assistant accompanying a licensed bookmaker to that part.
(4) Subsection (6) of section 3 of the Totalisator Act, 1929 (No. 22 of 1929), is hereby amended by the deletion of all words from the words “and the charge to any such licensed bookmaker” to the end of the said subsection.
Chapter III.
Levies on Bookmakers in Respect of Course Bets.
Levies payable by licensed bookmakers on course bets,
27.—(1) Every person who, as a licensed bookmaker, enters into a course bet on or after the commencement of this section shall pay to the Board a levy calculated at the rate of the prescribed percentage for the time being of the amount of such course bet.
(2) For the purposes of this section the amount of a course bet shall be taken to be the sum which, by the terms of the bet, the bookmaker by whom it is entered into, will be entitled to receive, retain or take credit for if the event the subject of the bet is determined in his favour.
(3) Whenever it is proved to the satisfaction of the Board that a course bet in respect of which a levy is payable has become void for any reason other than the mutual consent of the parties thereto or that the amount of the course bet in respect of which a levy is payable has not been and is not likely to be collected by the bookmaker, the Board may, subject to such conditions as it thinks fit to impose, either (as the case may require) repay the levy paid or remit the levy chargeable in respect of such course bet.
(4) Every person who fails or neglects to pay any sum payable by him in respect of a levy shall (without prejudice to proceedings under subsection (5) of this section) be guilty of an offence under this section and shall be liable on summary conviction thereof to a fine not exceeding one hundred pounds.
(5) Every levy payable by any person shall (without prejudice to proceedings under subsection (4) of this section) be recoverable from that person by the Board as a simple contract debt in any court of competent jurisdiction.
(6) The Board may, with the consent of the Minister, make regulations in relation to the percentage (which shall not exceed five per cent.) referred to in this section as prescribed.
Regulations for payment of levies on course bets.
28.—(1) The Board may, with the consent of the Minister, make regulations for securing the payment of levies and generally for carrying the provisions of this Chapter in relation to levies into effect and in particular for—
(a) requiring bookmakers who are liable to pay levies—
(i) to enter, in the prescribed manner and at the prescribed time, particulars of all course bets in the prescribed records,
(ii) to retain such records for the prescribed time,
(iii) to send, on the request of the Board, such records to the Board for their inspection,
(iv) to furnish copies of such records to the Board at such time or times as may be prescribed;
(b) the supply, use and supervision of levy paid betting sheets and the making of refunds in respect of unused or partly used such sheets;
(c) entering into arrangements by the Board with and taking security from bookmakers desiring to pay levies on the basis of returns furnished by them;
(d) the granting to bookmakers by the Board of remissions or refunds (as the case may require) of a levy in cases in which the whole or any part of the contingent liability of a bookmaker in respect of a course bet made, laid or otherwise entered into by him is shown to the satisfaction of the Board to have been transferred to another bookmaker by means of a fresh bet made, laid or otherwise entered into by the first-mentioned bookmaker with the second-mentioned bookmaker.
(2) If any person—
(a) contravenes or fails to comply with a regulation under this section, or
(b) makes, in any record kept in pursuance of any regulation under this section, any false entry with regard to a course bet,
that person shall be guilty of an offence under this section and shall be liable on summary conviction thereof to a fine not exceeding one hundred pounds.
Inspection of documents in bookmakers' premises.
29.—(1) An authorised officer of the Board may (subject to the production by him if so required of his authority in writing as such authorised officer) at any time enter any premises in which the business of bookmaking is carried on and there search for, inspect and take copies of or extracts from any documents there found relating or believed by such authorised officer to relate to course bets entered into by the person engaged in the said business and may require any person found in such premises to produce all documents in such premises relating to such course bets.
(2) Every person who resists, obstructs or impedes an authorised officer of the Board in the exercise of any power conferred on him by this section or refuses without lawful or sufficient excuse to produce any document which he is required by an authorised officer of the Board under this section to produce shall be guilty of an offence under this section and shall be liable on summary conviction thereof to a fine not exceeding fifty pounds.
Inspection of books, etc., of bookmakers on authorised racecourses.
30.—(1) Where an authorised officer of the Board observes that a person is engaged in or carrying on the business of bookmaker on any authorised racecourse or in the precincts thereof, he may (subject to the production by him if so required of his appointment as such authorised officer) require that person to produce to him forthwith, and permit him to inspect and take copies of, or extracts from, any document then in that person's possession and used for the purpose of such business.
(2) Every person who fails or refuses to do anything which he is required under subsection (1) of this section by an authorised officer of the Board to do shall be guilty of an offence under this section and shall be liable on summary conviction thereof to a fine not exceeding fifty pounds.
PART IV.
Dissolution of the Board of Control for Mechanical Betting in Ireland and transfer of its assets and liabilities to the Racing Board.
Dissolution of the dissolved company.
31.—(1) On the transfer date the dissolved company shall, subject to the provisions set out in the Schedule to this Act, be, by virtue of this section, dissolved.
(2) The provisions set out in the Schedule to this Act shall apply in respect of the dissolved company.
Transfer of property of the dissolved company to the Board.
32.—(1) Subject to the provisions of this section, all property, whether real or personal (including choses-in-action) which immediately before the transfer date was vested in, or belonged to, or was held in trust for, the dissolved company and all rights, powers and privileges relating to or connected with any such property shall, on the transfer date and without any conveyance or assignment but subject where necessary to transfer in the books of any bank, corporation, or company, become and be vested in or the property of or held in trust for (as the case may require) the Board for all the estate, term or interest for which the same immediately before the transfer date was vested in or belonged to or was held in trust for the dissolved company.
(2) All property transferred by this section which, immediately before the transfer date, was standing in the books of any bank or was registered in the books of any bank, corporation, or company shall, upon the request of the Board made on or at any time after the transfer date, be transferred in such books by such bank, corporation, or company into the name of the Board.
(3) On and after the transfer date, every chose-in-action transferred by this section to the Board may be sued upon, recovered, or enforced by the Board in its own name and it shall not be necessary for the Board to give notice to the person bound by such chose-in-action of the transfer effected by this section.
Transfer of totalisator licences.
33.—On the transfer date every totalisator licence which was immediately before the appointed day held by the dissolved company shall, by virtue of this section, be transferred to the Board and shall, on and after the establishment date, have effect as if the name of the Board were substituted therein for that of the dissolved company.
Transfer of liabilities of the dissolved company.
34.—Every debt and other liability (including unliquidated liabilities arising from torts or breaches of contract) which immediately before the transfer date is owing and unpaid or has been incurred and is undischarged by the dissolved company shall, on the transfer date, become and be the debt or liability of the Board and shall be paid or discharged by and may be recovered from or enforced against the Board accordingly.
Preservation of continuing contracts of the dissolved company.
35.—Every bond, guarantee, or other security of a continuing nature made or given by the dissolved company to any person, or by any person to such dissolved company, and in force immediately before the transfer date, and every contract or agreement in writing made between the dissolved company and another person and not fully executed and completed before the transfer date shall, notwithstanding the dissolution of the dissolved company, continue in force on and after the transfer date, but shall be construed and have effect as if the name of the Board were substituted therein for the name of the dissolved company, and such security, contract, or agreement shall be enforceable by or against the Board accordingly.
Continuance of pending legal proceedings.
36.—In every action, suit or proceedings which is pending on the transfer date in any court or tribunal and to which the dissolved company is a party, the Board shall on the transfer date become and be a party in the place of the dissolved company and such proceedings shall be continued between the Board and the other parties thereto accordingly and no such proceedings shall abate or be discontinued or prejudicially affected by reason of the dissolution of the dissolved company.
Preservation of contracts of service.
37.—Every contract of service express or implied which was entered into before the 1st day of January, 1945, and is in force immediately before the transfer date between the dissolved company and any person being a salaried officer or employee of the dissolved company shall continue in force on and after the transfer date, but shall be construed and have effect as if the Board were substituted therein for the dissolved company, and every such contract shall be enforceable by or against the Board accordingly.
Exemption from stamp duties.
38.—(1) Section 12 of the Finance Act, 1895, shall not operate so as to require the Board to deliver to the Revenue Commissioners a copy of this Act or to pay any stamp duty under that section on any copy of this Act.
(2) Stamp duty shall not be chargeable on any transfer, conveyance or other instrument executed for the purpose of supplementing or giving effect to the vesting of the assets of the dissolved company in the Board.
PART V.
Miscellaneous Provisions.
Exclusion of certain persons from racecourses.
39.—(1) A Governing Body may by order (in this section referred to as an exclusion order) prohibit a person from being (at the election of that Governing Body) either on any of the racecourses, at which are held races the holding of which requires the sanction of that Governing Body, or on such of those racecourses as that Governing Body think fit and specify in the order.
(2) A Governing Body may revoke any exclusion order made by them.
(3) Where a Governing Body make an exclusion order they shall cause notice of the making of the order to be sent by registered post to the person to whom the order applies and to the executive of each racecourse to which the order relates.
(4) Where an exclusion order is made and any person to whom the order applies is found on any racecourse to which the order applies, any person acting under the direction of the executive of that racecourse may remove such first-mentioned person therefrom and for this purpose may use such force as may be reasonably necessary.
Regulations in relation to executives of authorised racecourses.
40.—(1) The Board, after consultation with the Governing Bodies, may by regulations provide for regulating the manner in which authorised racecourses are to be managed and controlled by the executives thereof.
(2) The Board may by regulations provide—
(a) for requiring executives of authorised racecourses to keep such books, accounts, and records as may be prescribed,
(b) for requiring executives of authorised racecourses to furnish to the Board such returns and information as may be prescribed,
(c) for the production of books, accounts, and records relating to authorised racecourses by the executives thereof,
(d) for the inspection of and taking extracts from books, accounts and records kept by executives of authorised racecourses.
(3) Regulations under this section may be so made as to apply either to the executives of authorised racecourses generally or to the executive of any particular authorised racecourse or racecourses, and different regulations may be made in relation to the executives of different authorised racecourses.
(4) If the Board is of opinion that the executive of an authorised racecourse to which any regulation made under this section is applicable has contravened (by act or omission) that regulation, the Board may report such contravention to the appropriate Governing Body, and thereupon the said Governing Body shall in respect of the executive of such authorised racecourse take such disciplinary action and impose such disabilities and penalties as they consider proper under the Rules of Racing in Ireland and the Irish National Hunt Steeplechase Rules.
SCHEDULE.
Transitory Provisions in Relation to the Dissolved Company.
Continuance of dissolved company for certain purposes.
1. For the purposes of this Schedule but not further or otherwise, the dissolved company shall be deemed to continue in existence on and after the transfer date.
Transfer of stocks, shares and securities.
2. The dissolved company shall, at the request of the Board, execute all such instruments and do all such acts as may be necessary to enable the Board to have transferred into its name any stocks, shares or securities held by the dissolved company immediately before the transfer date, and for this purpose the persons who are immediately before the transfer date the directors of the dissolved company shall be deemed to continue in office.
Provisions in relation to income tax chargeable on the dissolved company.
3. (1) In this paragraph the expression “the appointed date” means—
(a) in case the transfer date falls on the 5th day of April, the transfer date;
(b) in any other case, the 5th day of April next following the transfer date.
(2) The dissolved company shall, on and after the transfer date, continue to be liable under the Income Tax Acts to prepare and deliver any statement, return or particulars required for the purposes of those Acts for any year of assessment ending on or before the appointed date.
(3) Assessments to income tax for any year of assessment ending on or before the appointed date may be made on the dissolved company on or after the transfer date, and income tax in respect of any such assessment so made, which shall have become final and conclusive, shall, when it becomes due and payable, be deemed to have become due and payable before the transfer date.
(4) For the purposes of subparagraphs (2) and (3) of this paragraph, the chief officer of the Board or other officer performing the duties of chief officer of the Board shall be deemed to be secretary of the dissolved company or other officer performing the duties of secretary of the dissolved company.
