Mínithe.
1.—San Acht seo—
ciallaíonn “an Chuideachta” an chuideachta a beartaítear a chomhdhéanamh agus a chlárú sa Stát faoi na hAchta Cuideachtan, 1908 go 1924, agus ar a dtabharfar “Allmhuireoirí Tae (1958) Tóranta”;
ciallaíonn “mór-reacaire tae láithreach” duine a bhfuil, ar dháta an Achta seo a rith,—
(a) díbhuilciú, cumasc, pacáil agus díol tae le haghaidh athdhíola á sheoladh aige mar ghnó in áitreabh sa Stát, agus
(b) a bhfuil ceadúnas aige a heisíodh faoi alt 7 den Acht Tae (Allmhuiriú agus Imdháil), 1956 (Uimh. 20 de 1956), nó ceadúnas a meastar, de bhuaidh fo-ailt (6) den alt sin 7, é a bheith arna eisiúint faoin alt sin 7;

2.—(1) D'ainneoin aon ní sna hAchta Cuideachtan, 1908 go 1924, ní bheidh aon athrú a déanfar ar Mheabhrán Comhlachais nó Airteagail Chomhlachais na Cuideachtan gan ceadú an Aire bailí ná éifeachtach.
(2) D'ainneoin ailt 16 den Acht um Chleachtais Srianta Trádála, 1953 (Uimh. 14 de 1953), bainfidh forála an Achta sin le hoibríochtaí na Cuideachtan.
An Clár de Thrádálaithe Tae.
3.—Ar an Acht seo a rith, bunóidh an tAire agus cothabhálfaidh dá éis sin clár dá ngairmfear agus ar a dtabharfar an Clár de Thrádálaithe Tae.
Trádálaithe tae a chlárú.
4.—(1) Nuair a iarrfas mór-reacaire tae láithreach do réir an Achta seo ar an Aire go gclárófar é, cláróidh an tAire an t-iarratasóir sa Chlár.
(2) Más rud é—
(a) go mbeidh beartaithe ag duine is saoránach Éireannach a bhfuil cónaí rialta air sa Stát nó cuideachta nó comhpháirtíocht Éireannach ar saoránaigh Éireannacha a comhaltaí uile gnó díola tae a sheoladh ar chuntas an duine sin féin agus go n-iarrfaidh sé, do réir an Achta seo, ar an Aire go gclárófar é, agus,
(b) gur deimhin leis an Aire—
(i) nach bhfuil cabhair airgid á fháil ag an duine sin ó dhuine ar a bhfuil gnáth-chónaí lasmuigh den Stát nó ó aon chuideachta a corpraíodh lasmuigh den Stát agus nach gcomhlíonann alt 22 den Acht Arachais, 1936 (Uimh. 45 de 1936), nó alt 42 d'Acht an Bhainc Cheannais, 1942 (Uimh. 22 de 1942), agus
(ii) más cuideachta an t-iarratasóir—go bhfuil scaireanna uile na cuideachtan ar únaeracht tairbhiúil ag saoránaigh Éireannacha, agus
(iii) go mbeidh an gnó á bhainistí agus á rialú ag saoránach Éireannach ar a bhfuil cónaí rialta sa Stát nó ag beirt shaoránach Éireannacha nó níos mó a bhfuil cónaí rialta ar gach duine acu sa Stát,
cláróidh an tAire an t-iarratasóir sa Chlár.
(3) Ní clárófar aon duine ach amháin do réir fo-ailt (1) nó (2) den alt seo.
(4) Is i pé foirm a ordós an tAire a déanfar iarratas ar chlárú sa Chlár agus bhéarfar ann pé sonraí a ordós sé maidir le húnaeracht agus airgeadasú an ghnótha lena mbainfidh an t-iarratas.
(5) Nuair a chlárós an tAire aon duine sa Chlár cuirfidh sé an clárú sin in iúl don Chuideachta.
Clárá a chealú
5.—(1) I gcás inar deimhin leis an Aire, maidir le duine atá cláraithe de bhun fo-ailt (1) d'alt 4 den Acht seo, go bhfuil an duine sin tar éis scor de ghnó mar thrádálaí tae a bheith á sheoladh aige, féadfaidh an tAire, faoi réir fo-ailt (3) den alt seo, clárú an duine sin sa Chlár a chealú.
(2) I gcás inar deimhin leis an Aire, maidir le duine atá cláraithe de bhun fo-ailt (2) d'alt 4 den Acht seo—
(a) go bhfuil an duine sin tar éis scor de ghnó trádálaí tae a bheith á sheoladh aige, nó
(b) go bhfuil airgead á fháil ag an duine sin ó aon duine ar a bhfuil gnáth-chónaí lasmuigh den Stát nó ó aon chuideachta a corpraíodh lasmuigh den Stát agus nach gcomhlíonann alt 22 den Acht Arachais, 1936 (Uimh. 45 de 1936), nó alt 42 d'Acht an Bhainc Cheannais, 1942 (Uimh. 22 de 1942), nó
(c) más cuideachta an duine sin—nach bhfuil scaireanna uile na cuideachtan ar únaeracht tairbhiúil ag saoránaigh Éireannacha, nó
(d) nach bhfuil an gnó á bhainistí agus á rialú ag saoránach Éireannach ar a bhfuil cónaí rialta sa Stát nó ag beirt shaoránach Éireannacha nó níos mó a bhfuil cónaí rialta ar gach duine acu sa Stát, nó

féadfaidh an tAire, faoi réir fo-ailt (3) den alt seo, clárú an duine sin sa Chlár a chealú.
(3) Beidh feidhm ag na forála seo a leanas maidir le clárú dhuine sa Chlár a chealú—
(a) ní chealóidh an tAire an clárú sin mura dtuga agus go dtuga sé, tríd an bpost cláraithe, don duine sin fógra coicíse ar a laghad i scríbhinn á insint go bhfuil an cealú sin á bhreithniú ag an Aire agus ag insint na bhforas ar a bhfuil an cealú sin á bhreithniú amhlaidh,
(b) breithneoidh an tAire aon uiríolla i dtaobh an chealuithe sin a chuirfeas an duine sin faoina bhráid sara mbeidh deireadh leis an bhfógra sin.
(4) I gcás ina gcealóidh an tAire clárú dhuine faoin alt seo, cuirfidh sé an cealú sin in iúl don Chuideachta.
Oblagáidí thrádálaithe tae cláraithe áirithe.
6.—(1) Ní bhaineann an t-alt seo ach amháin le trádálaí tae cláraithe atá cláraithe faoi fho-alt (2) d'alt 4 den Acht seo.
(2) Aon trádálaí tae cláraithe lena mbaineann an t-alt seo cuirfidh sé in iúl i scríbhinn don Aire é laistigh d'ocht lá fhichead má bhíonn aon athrú ábhartha tagtha ar na sonraí maidir le húnaeracht nó airgeadasú a ghnótha mar thrádálaí tae a tugadh ina iarratas ar chlárú.
(3) Féadfaidh an tAire fógra a sheirbheáil, tríd an bpost cláraithe, ar aon trádálaí tae cláraithe lena mbaineann an t-alt seo á cheangal air tuairisceán ina mbeidh pé eolas a sonrófar sa bhfógra maidir le húnaeracht, airgeadasú agus rialú an ghnótha a bhfuil an trádálaí tae sin cláraithe ina leith a chur chun an Aire laistigh de cheithre lá déag tar éis na seirbheála sin.
Srianta le halímhuiriú agus ceannach tae.
7.—(1) (a) Faoi réir míre (b) den fho-alt seo, tiocfaidh fo-ailt (2), (3), (4) agus (5) den alt seo i ngníomh an lú lá d'Iúil, 1958.
(b) Féadfaidh an tAire le hordú, más oiriúnach leis, dáta nach luaithe ná an 1ú lá d'Iúil, 1958, a shocrú mar an dáta a thiocfas fo-ailt (2), (3), (4) agus (5) den alt seo i ngníomh, agus má dhéanann sé sin, ansin, tiocfaidh an fo-alt sin i ngníomh ar an dáta a socrófar amhlaidh.
(2) Ní dhéanfaidh aon duine ach amháin an Chuideachta tae d'allmhuiriú.
(3) Ní allmhuireoidh an Chuideachta tae mura ndéana an Chuideachta—
(a) é d'allmhuiriú díreach ón tír inar táirgeadh é, nó
(b) é d'allmhuiriú faoi réim agus do réir údaráis ón Aire.
(4) Ní cheannóidh aon duine tae lena allmhuiriú mura rud é—
(a) gurb í an Chuideachta nó trádálaí tae cláraithe an duine sin, agus
(b) (i) gur cheannaigh an duine sin an tae sin sa tír inar táirgeadh í, nó
(ii) go bhfuil an tAire tar éis a údarú don Chuideachta é a cheannach in áit seachas an tír inar táirgeadh é.
(5) Ní bhaineann fo-alt (2), (3) ná (4)—
(a) le tae a suífear chun sástachta na gCoimisinéirí Ioncaim gur mar shampla a hallmhuiríodh é, ná
(b) le tae—
(i) a suífear chun sástachta na gCoimisinéirí Ioncaim gur chun úsáide pearsanta an allmhuireora nó a lín tí a hallmhuiríodh é, agus
(ii) má tá níos mó ná cúig puint meáchain ann, a hallmhuiríodh faoi réim agus do réir cheadúnais a dheoin an tAire.
An Chuideachta do ghníomhú mar ghníomhaire do thrádálaithe tae cláraithe.
8.—Gníomhóidh an Chuideachta, ar iarratas ó thrádálaí tae cláraithe, mar ghníomhaire chun tae d'allmhuiriú a cheannaigh an trádálaí tae cláraithe sin sa tír inar táirgeadh an tae agus a hallmhuireofar díreach ón tír sin.
Cionta.
9.—Aon duine—
(a) a shárós (trí ghníomh nó neamhghníomh) aon cheann d'fhorála an Achta seo,
(b) a chuirfeas, in aon iarratas ar chlárú a dhéanfas an duine sin faoi alt 4 den Acht seo, aon ráiteas a bheas bréagach nó míthreorach i bponc ábhartha, nó
(c) más trádalaí tae cláraithe é atá cláraithe faoi fho-alt (2) d'alt 4 den Acht seo—a mhainneos déanamh do réir fógra a seirbheáladh air faoi fho-alt (3) d'alt 6 den Acht seo nó a chuirfeas, in aon tuairisceán uaidh de bhun aon fhógra den tsórt sin, aon ráiteas a bheas bréagach nó míthreorach i bponc ábhartha,
beidh an duine sin ciontach i gcion agus ar a chiontú ann go hachomair dlífear fíneáil nach mó ná caoga punt a chur air.
Inchúiseamh ag an Aire.
10.—Féadfar cion faoin Acht seo d'inchúiseamh ar agra an Aire.
Forála idirlinne maidir le tae i seilbh Allmhuireoirí Tae, Tóranta, a dhiúscairt.
11.—I gcás trádálaí tae cláraithe (dá ngairmtear an ceannaitheoir san alt seo) dá iarraidh, roimh an 30ú lá de Mheán Fómhair, 1959, ar an gCuideachta, faoi alt 8 den Acht seo, gníomhú mar ghníomhaire i ndáil le coinsíneacht áirithe tae (dá ngairmtear coinsíneacht an cheannaitheora san alt seo) d'allmhuiriú, cuirfidh an Chuideachta an t-iarratas in iúl láithreach d'Allmhuireoirí Tae, Tóranta (dá ngairmtear an Chuideachta láithreach san alt seo), agus, air sin, d'ainneoin aon ní san alt sin 8, beidh éifeacht ag na forála seo a leanas—
(a) ní dhéanfaidh an Chuideachta do réir iarratas an cheannaitheora mura dtuga agus go dtuga an Chuideachta láithreach údarás di é sin a dhéanamh,
(b) d'fhonn stoic tae ina seilbh nó faoina hurláimh an tráth sin a dhiúscairt, féadfaidh an Chuideachta láithreach, laistigh de thréimhse cheithre lá déag dar tosach an dáta a cuireadh iarratas an cheannaitheora in iúl di amhlaidh, fógra a sheirbheáil, tríd an bpost cláraithe, ar an gceannaitheoir á cheangal ar an gceannaitheoir cainníocht shonraithe de na stoic sin a cheannach uaithi laistigh de thréimhse shonraithe agus ar phraghas sonraithe, is cainníocht ar dóigh leis an gCuideachta láithreach gur cainníocht chothromach í ag féachaint do chainníocht choinsíneachta an cheannaitheora agus do chainníocht na stoc sin,
(c) má seirbheáltar an fógra sin ar an gceannaitheoir agus go ndéanfaidh an ceannaitheoir dá réir, údaróidh an Chuideachta láithreach gan aon mhoill don Chuideachta déanamh do réir iarratais an cheannaitheora,
(d) má chinneann an Chuideachta láithreach gan gníomhú faoi mhír (b) den alt seo, údaróidh an Chuideachta láithreach, a luaithe is féidir é tar éis di cinneadh amhlaidh, don Chuideachta déanamh do réir iarratais an cheannaitheora.

TEA (PURCHASE AND IMPORTATION) ACT, 1958.
Definitions.
1.—In this Act—
“the Company” means the company intended to be formed and registered in the State under the Companies Acts, 1908 to 1924, and to be named “Tea Importers (1958) Limited”;
“existing tea wholesaler” means a person who, at the date of the passing of this Act,—
(a) carries on, at premises in the State, the business of breaking, blending, packing and selling tea for re-sale, and
(b) is the holder of a licence issued under section 7 of the Tea (Importation and Distribution) Act, 1956 (No. 20 of 1956), or a licence deemed, by virtue of subsection (6) of the said section 7, to have been issued under the said section 7;
“Irish company” means a Company registered in the State under the Companies Acts, 1908 to 1924;
“the Minister” means the Minister for Industry and Commerce;
“the Register” means the Register of Tea Traders established under section 3 of this Act;
“registered” means registered in the Register;
“registered tea trader” means a person who is for the time being registered;
“tea trader” means a person who carries on, at premises in the State, the business of purchasing and selling tea.
Provisions relating to the Company.
2.—(1) Notwithstanding anything contained in the Companies Acts, 1908 to 1924, no alteration in the Memorandum of Association or Articles of Association of the Company which is made without the approval of the Minister shall be valid or effective.
(2) Notwithstanding section 16 of the Restrictive Trade Practices Act, 1953 (No. 14 of 1953), the provisions of that Act shall apply to the operations of the Company.
The Register of Tea Traders.
3.—On the passing of this Act the Minister shall establish and thereafter maintain a register to be called and known as the Register of Tea Traders.
Registration of tea traders.
4.—(1) Where an existing tea wholesaler applies, in accordance with this Act, to the Minister to be registered, the Minister shall register the applicant in the Register.
(2) Where—
(a) a person, being an Irish citizen who normally resides in the State or an Irish company or a partnership all the members of which are Irish citizens, purposes to carry on the business of selling tea on that person's own account, and applies, in accordance with this Act, to the Minister to be registered, and
(b) the Minister is satisfied that—
(i) the applicant is not financially assisted by a person ordinarily resident outside the State or by any company incorporated outside the State which does not comply with section 22 of the Insurance Act, 1936 (No. 45 of 1936), or section 42 of the Central Bank Act, 1942 (No. 22 of 1942), and
(ii) in case the applicant is a company—all the shares of the company are in the beneficial ownership of Irish citizens, and
(iii) the business will be managed and controlled by an Irish citizen who normally resides in the State or by two or more Irish citizens each of whom normally resides in the State,
the Minister shall register the applicant in the Register.
(3) No person shall be registered save in accordance with subsection (1) or (2) of this section.
(4) An application for registration in the Register shall be in such form and contain such particulars as regards the ownership and financing of the business to which the application relates as the Minister may direct.
(5) Where the Minister registers any person in the Register, he shall inform the Company of such registration.
Cancellation of registration.
5.—(1) Where, in respect of a person who is registered in pursuance of subsection (1) of section 4 of this Act, the Minister is satisfied that such person has ceased to carry on business as a tea trader, the Minister may, subject to subsection (3) of this section, cancel the registration of that person in the Register.
(2) Where, in respect of a person who is registered in pursuance of subsection (2) of section 4 of this Act, the Minister is satisfied that—
(a) such person has ceased to carry on the business of a tea trader, or
(b) that such person is financially assisted by any person ordinarily resident outside the State or by any company incorporated outside the State which does not comply with section 22 of the Insurance Act, 1936 (No. 45 of 1936), or section 42 of the Central Bank Act, 1942 (No. 22 of 1942), or
(c) in case such person is a company—all the shares of the company are not in the beneficial ownership of Irish citizens, or
(d) the business is not managed and controlled by an Irish citizen who normally resides in the State or by two or more Irish citizens each of whom normally resides in the State, or
(e) such person has been convicted of an offence under this Act,
the Minister may, subject to subsection (3) of this section, cancel the registration of that person in the Register.
(3) The following provisions shall apply in relation to the cancellation of the registration of a person in the Register—
(a) the Minister shall not cancel such registration unless and until he has given by registered post to such person at least one fortnight's notice in writing stating that the Minister has under consideration such cancellation and stating the grounds on which such cancellation is so under consideration,
(b) the Minister shall consider any representations in relation to such cancellation made to him by such person before the expiration of the said notice.
(4) Where the Minister cancels the registration of a person under this section, he shall inform the Company of such cancellation.
Obligations of certain registered tea traders.
6.—(1) This section applies only to a registered tea trader who is registered under subsection (2) of section 4 of this Act.
(2) A registered tea trader to whom this section applies shall notify the Minister in writing within twenty-eight days in the event of there being any material alteration in the particulars as regards ownership or financing of his business as a tea trader furnished in the application for registration.
(3) The Minister may serve by registered post on any registered tea trader to whom this section applies a notice requiring him to send to the Minister within fourteen days after such service a return containing such information, in relation to the ownership, financing and control of the business in respect of which such tea trader is registered, as may be specified in the notice.
Restrictions on importation and purchase of tea.
7.—(1) (a) Subject to paragraph (b) of this subsection, subsections (2), (3), (4) and (5) of this section shall come into operation on the 1st day of July, 1958.
(b) The Minister, if he so thinks fit, may by order fix a date, earlier than the 1st day of July, 1958, as the date on which subsections (2), (3), (4) and (5) of this section shall come into operation, and if he does so, then, the said subsection shall come into operation on the date so fixed.
(2) No person except the Company shall import tea.
(3) The Company shall not import tea unless the Company either—
(a) imports it direct from the country in which it was produced, or
(b) imports it under and in accordance with an authorisation given by the Minister.
(4) No person shall purchase tea for importation unless—
(a) such person is the Company or a registered tea trader, and
(b) either—
(i) such tea was purchased by such person in the country in which it was produced, or
(ii) the Minister has authorised the Company to purchase it at a place other than the country in which it was produced.
(5) Subsections (2), (3) and (4) of this section do not apply to—
(a) tea which is shown to the satisfaction of the Revenue Commissioners to be imported as a sample, or
(b) tea—
(i) which is shown to the satisfaction of the Revenue Commissioners to be imported for the personal use of the importer or his household, and
(ii) which, if it exceeds five pounds in weight, is imported under and in accordance with a licence granted by the Minister.
Company to act as agent for registered tea traders.
8.—The Company shall, at the request of a registered tea trader, act as agent for the importation of tea which is purchased by such registered tea trader in the country in which the tea is produced and is imported direct from that country.
Offences.
9.—If any person—
(a) contravenes (by act or omission) any of the provisions of this Act,
(b) makes, in any application for registration made by that person under section 4 of this Act, any statement which is false or misleading in a material respect, or
(c) being a registered tea trader who is registered under subsection (2) of section 4 of this Act—fails to comply with a notice served on him under subsection (3) of section 6 of this Act or makes, in any return sent by him in pursuance of any such notice, any statement which is false or misleading in a material respect,
such person shall be guilty of an offence and shall be liable on summary conviction thereof to a fine not exceeding fifty pounds.
Prosecutions by the Minister.
10.—An offence under this Act may be prosecuted at the suit of the Minister.
Transitory provisions in relation to disposal of tea held by Tea Importers, Limited.
11.—Where, before the 30th day of September, 1959, a registered tea trader (in this section referred to as the purchaser) requests, under section 8 of this Act, the Company to act as agent for the importation of a particular consignment of tea (in this section referred to as the purchaser's consignment), the Company shall forthwith inform Tea Importers, Limited (in this section referred to as the existing Company) of the request, and thereupon, notwithstanding anything in the said section 8, the following provisions shall have effect—
(a) the Company shall not comply with the request of the purchaser unless and until authorised by the existing Company to do so,
(b) the existing Company, for the purpose of disposing of stocks of tea then held by it or in its control, may, before the expiration of the period of fourteen days commencing on the date on which it was so informed of the request of the purchaser, serve by registered post on the purchaser a notice requiring the purchaser to purchase from it within a specified time and at a specified price a specified quantity of such stocks, being a quantity which is, in the opinion of the existing Company, equitable having regard to the quantity of the purchaser's consignment and the quantity of such stocks,
(c) if the said notice is served on the purchaser and the purchaser complies therewith, the existing Company shall forthwith authorise the Company to comply with the request of the purchaser,
(d) if the existing Company decide not to proceed under paragraph (b) of this section, the existing Company shall, as soon as may be after so deciding, authorise the Company to comply with the request of the purchaser.
Short title.
12.—This Act may be cited as the Tea (Purchase and Importation) Act, 1958.
