CUID II.
Airgeadas.
Caipital na Corparáide do roinnt.
2.—(1) D'ainneoin éinní atá sa Phríomh-Acht, beidh sé dleathach don Chorparáid, fé réir na dteorann a forchuirtar tríd an alt so, a caipital do roinnt ina “scaireanna A” agus ina “scaireanna B” agus an roinnt sin do dhéanamh éifeachtúil am leith-roinnte na scair sin agus ón am san amach agus, chun na gcrícheanna san, pé atharuithe is gá do dhéanamh ar a memorandum agus ar a hairtiogail chomhlachais.
(2) Ní déanfar caipital na Corparáide do roinnt fén alt so, gan cead an Aire, ar aon tslí ach do réir chúig céad agus cúig cinn fhichead de scaireanna A in aghaidh gach ceithre chéad agus cúig cinn sheachtód de scaireanna B.
(3) Ar aon roinnt den tsórt san do bheith á déanamh ar chaipital na Corparáide ní cuirfar imeasc scaireanna B aon scair a bheidh ar seilbh ag duine seachas an tAire agus an roinnt sin á déanamh.
Caipital na Corparáide do mhéadú.
3.—(1) D'ainneoin éinní contrárdha dho san atá sa Phríomh-Acht beidh sé dleathach don Chorparáid a caipital do mhéadú go dtí £1,000,000 (milleon punt) ar fad a bheidh roinnte ina mhilleon scair de phunt an scair agus, chuige sin, pé atharuithe is gá do dhéanamh ar a memorandum agus ar a hairtiogail chomhlachais agus go sonnrách pé atharuithe do dhéanamh ar a memorandum agus ar a hairtiogail chomhlachais is gá chun a údarú do sna stiúrthóirí cúig céad míle scair (dá ngairmtear scaireanna nua san Acht so) de phunt an ceann do thabhairt amach do réir an ailt seo agus iad ar aon chéim pari passu leis na scaireanna (dá ngairmtear seana-scaireanna san Acht so) do tugadh amach fén bPríomh-Acht roimh rith an Achta so.
(2) Má roinntear caipital na Corparáide ina scaireanna A agus ina scaireanna B roimh thabhairt-amach na scaireanna nua, roinnfar na scaireanna nua san ina scaireanna A agus ina scaireanna B do réir an chothruim chéanna ina mbeidh na seanascaireanna roinnte amhlaidh agus sa chás san tabharfar amach iad mar scaireanna A agus mar scaireanna B dá réir sin.
(3) Tairgfar na scaireanna nua ar an aon am amháin i pé slí is oiriúnach leis na stiúrthóirí chun go gceannódh sealbhóirí na seana-scaireanna iad, agus féadfar, más oiriúnach leis na stiúrthóirí é, agus déanfar, má éilíonn an tAire é, gach ceann no aon cheann de sna scaireanna nua ná ceannóidh na sealbhóirí sin do thairisgint ar an aon am amháin, i pé slí is oiriúnach leis na stiúrthóirí, chun go gceannódh daoine den phuiblíocht ghenerálta iad.
(4) Déanfidh an tAire na scaireanna nua uile ná ceannóidh sealbhóirí seana-scaireanna ná daoine den phuiblíocht ghenerálta (má tairgtar iad le ceannach ag na daoine sin) do cheannach i gceann na haimsire a bheidh ceaptha le haontú an Aire do sna ceannaigh sin no don cheannach is déanaí dhíobh (fé mar a bheidh).
(5) An tsuim sin de phunt is iníoctha ar gach ceann de sna scaireanna nua beidh sí iníoctha, maidir le cúig scillinge dhi, ar iarraidh na scaire, agus, maidir le cúig scillinge eile dhi, ar dháta nách luatha ná fiche lá ná nách déanaí ná dachad lá tar éis an leith-roinneacháin agus, maidir leis an gcuid eile dhi, an uair a ceaptar san Acht so ina dhiaidh seo.

4.—(1) D'ainneoin éinní atá sa Companies (Consolidation) Act, 1908, beidh sé dleathach don Chorparáid, le rún speisialta, socrú ar shuim deich scillinge den tsuim sin de phunt is iníoctha ar gach scair (agus scaireanna nua d'áireamh chó maith le seanascaireanna) sa Chorparáid do bheith iníoctha má ghlaoidhtear agus nuair a ghlaodhfar isteach í ach ná féadfar í do ghlaoch isteach ach amháin i gcás gnó na Corparáide do bheith á chríochnú agus chun na gcrícheanna bhaineas leis sin.
(2) Má dhineann agus nuair a dhéanfidh an Chorparáid socrú den tsórt a luaidhtear sa bhfo-alt san roimhe seo i dtaobh a caipitail nea-ghlaoidhte, scuirfidh fo-alt (2) d'alt 4 den Phríomh-Acht d'éifeacht do bheith aige, pé méid de le n-a n-achtuítear deich scillinge den tsuim is iníoctha ar gach scair sa Chorparáid do bheith iníoctha fé mar a ghlaodhfidh agus nuair a ghlaodhfidh na stiúrthóirí air.
(3) Ní laigheadú ar chaipital na Corparáide do réir bhrí na nAchtanna Cuideachtan, 1908 go 1924, socrú den tsórt a luaidhtear i bhfo-alt (1) den alt so do dhéanamh.
Fiachas an Stáit i gcaipital na Corparáide.
5.—(1) Bainfidh alt 6 (alt i dtaobh fiachas an Stáit i gcaipital na Corparáide) den Phríomh-Acht leis na scaireanna nua chó maith leis na seana-scaireanna.
(2) Léireofar an abairt “caipital íoctha” in alt 6 den Phríomh-Acht mar abairt a fholuíonn caipital a híocfar do réir ghlaoigh a déanfar i gcás gnó na Corparáide do bheith á chríochnú agus chun na gcrícheanna bhaineas leis sin.
Comhachta an Aire maidir le scaireanna a bheidh ar seilbh aige.
6.—Bainfidh alt 20 (alt i dtaobh comhachta an Aire maidir le scaireanna a bheidh ar seilbh aige) den Phríomh-Acht le scaireanna nua a cheannóidh an tAire fén Acht so sa tslí chéanna ina mbaineann sé le seana-scaireanna do cheannuigh sé fén bPríomh-Acht.
Fiachas an Stáit i ndividenda ar chaipital na Corparáide.
7.—(1) Fé réir na bhforálacha den Acht so i dtaobh proifití na Corparáide do chur chun críche agus gan dochar do sna forálacha san, íocfidh an Chorparáid le n-a baill dividenda do réir an ráta shocruithe de chúig per cent. per annum ar an méid dá caipital a bheidh íoctha de thurus na huaire agus is go leathbhliantúil, ar pé dátaí a cheapfidh na stiúrthóirí chuige sin le haontú an Aire, a íocfidh an Chorparáid na dividenda san.
(2) Más rud é, aon lá dá gceapfar fén alt so chun íoctha dividenda leath-bhliantúla, ná beidh aon airgead no ná beidh a dóthin airgid ar fáil ag an gCorparáid agus ionchurtha chun na dividenda d'íoc is iníoctha amhlaidh an lá san ar na scaireanna uile de chuid na Corparáide a bheidh ar seilbh ag daoine eile seachas an tAire an lá san, deimhneoidh an Chorparáid láithreach don Aire cadé an tsuim is gá, i dteanta an airgid (más ann do) a bheidh ar fáil agus ionchurtha amhlaidh, chun an dividendum san ar na scaireanna san uile d'íoc agus ar fháil an deimhnithe sin do íocfidh an tAire leis an gCorparáid an tsuim do dheimhnigh an Chorparáid amhlaidh agus déanfidh na stiúrthóirí láithreach an t-airgead a híocfar amhlaidh leis an gCorparáid do chur chun no mar chabhair chun na dividenda san ar na scaireanna san d'íoc.
(3) Má dintar agus nuair a déanfar gnó na Corparáide do chríochnú beidh teideal ag an Aire, sa chríochnú ghnótha san, chun an deifríocht idir na suimeanna so a leanas d'íoc leis as sócmhainní na Corparáide tar éis lán-íoc do bheith déanta le fiach-éilitheoirí na Corparáide, sé sin le rá:—
(a) iomlán an airgid uile d'íoc an tAire (pe'ca roimh rith an Achta so é no dá éis sin) leis an gCorparáid fé alt 7 den Phríomh-Acht no fén alt so chun dividenda ar scaireanna ná raibh ar seilbh ag an Aire d'íoc, maraon le hiomlán an mhéide fé bhun cúig per cent. per annum do bhí in easnamh ar na suimeanna d'íoc an Chorparáid (pe'ca roimh rith an Achta so é no dá éis sin) leis an Aire ar scór dividenda ar scaireanna do bhí ar seilbh aige do thurus na huaire, maraon le hiomlán an airgid uile d'íoc an tAire go dtí san fé aon urraíocht do thug sé uaidh fé alt 15 den Phríomh-Acht, agus
(b) iomlán na mbonus uile no na ndividenda breise uile d'íoc an Chorparáid ar scaireanna B.
Íocfar isteach sa Stát-Chiste gach airgead a híocfar leis an Aire fén alt so i gcríochnú gnótha na Corparáide.
(4) Tiocfidh an t-alt so i bhfeidhm díreach tar éis caipital na Corparáide do bheith roinnte ina scaireanna A agus ina scaireanna B fén údarás chuige sin a bronntar leis an Acht so, agus ar theacht i bhfeidhm don alt so athghairmfar alt 7 den Phríomh-Acht agus beidh an athghairm sin i bhfeidhm an 5adh lá d'Abrán, 1928 (eadhon, lá tosnuithe gnótha na Corparáide) agus ón lá san amach agus tuigfar an t-alt so do theacht i bhfeidhm an 5adh lá san d'Abrán, 1928 agus beidh éifeacht aige an lá san agus ón lá san amach agus an t-airgead do roimh-íoc an tAire leis an gCorparáid fé fho-alt (2) den alt san 7 roimh theacht i bhfeidhm don alt so, pé méid de do roimh-íocadh amhlaidh chun dividenda ar scaireanna do bhí ar seilbh ag an Aire d'íoc i bpáirt no go hiomlán agus do cuireadh chun a n-íoctha san, tuigfar chun crícheanna an Achta so agus chun crícheanna cuntaisí na Corparáide nár roimh-íocadh amhlaidh riamh é agus pé méid de sna dividenda san do híocadh leis an airgead san tuigfar chun na gcrícheanna roimhráite nár híocadh riamh é.
Cad déanfar le proifití na Corparáide.
8.—(1) Má roinneann an Chorparáid a caipital ina scaireanna A agus ina scaireanna B fén údarás chuige sin a bronntar leis an Acht so, beidh sé dleathach don Chorparáid a hairtiogail chomhlachais d'atharú i slí go dtuigfar go raibh agus go mbeidh proifití glan na Corparáide, in aghaidh na tréimhse leath-bhliantúla cuntasaíochta dar thosach an 1adh lá de Mhí na Samhna, 1928, agus in aghaidh gach tréimhse leath-bhliantúla no tréimhse eile cuntasaíochta ina dhiaidh sin, gan bheith ionchurtha ach chun no mar chabhair chun na gcrícheanna so a leanas san ord so a leanas chó fada is raghaidh na proifití sin, sé sin le rá:—
(a) sa chéad áit, chun pé suim do chur i leataoibh is oiriúnach leis na stiúrthóirí agus nách mó, in aghaidh tréimhse cuntasaíochta a chríochnóidh roimh an 1adh lá de Mhí na Samhna, 1939, ná an cúigiú cuid de phroifití glan na tréimhse sin agus nách mó, in aghaidh aon tréimhse cuntasaíochta ina dhiaidh sin, ná pé cion de phroifití glan na tréimhse cuntasaíochta san is oiriúnach leis na stiúrthóirí le haontú an Aire,
(b) sa dara háit, chun dividendum do réir ráta cúig per cent. per annum d'íoc ar an suim do híocadh ar na scaireanna A,
(c) sa tríú háit, chun dividendum do réir ráta cúig per cent. per annum d'íoc ar an suim do híocadh ar na scaireanna B,
(d) sa cheathrú háit, chun pé suim do chur i leataoibh is oiriúnach leis na stiúrthóirí agus nách mó, in aon tréimhse chuntasaíochta, ná an deichiú cuid den iarmhéid de phroifití glan san na tréimhse sin a bheidh fágtha tar éis na soláthairtí agus na híocaíochtaí a luaidhtear thuas do dhéanamh,
(e) sa chúigiú háit, chun pé dividendum breise no bonus d'íoc ar na scaireanna B is oiriúnach leis na stiúrthóirí agus nách mó, in aon tréimhse chuntasaíochta, ná pé suim a bheidh, i dteanta gach suime do híocadh go dtí san mar dhividendum bhreise no mar bhonus den tsórt san, chó mór le hiomlán an airgid go léir le chéile d'íoc an tAire leis an gCorparáid go deire na tréimhse cuntasaíochta san chun dividenda ar scaireanna A d'íoc maraon le hiomlán an mhéide, fé bhun cúig per cent. per annum, do bhí in easnamh ar na suimeanna d'íoc an Chorparáid leis an Aire go dtí san ar scór dividenda ar scaireanna A do bhí ar seilbh aige de thurus na huaire maraon le hiomlán an airgid uile d'íoc an tAire go dtí san fé aon urraíocht do thug sé uaidh fé alt 15 den Phríomh-Acht.
(2) Féadfar le hatharuithe a dhéanfidh an Chorparáid ar a hairtiogail chomhlachais fén bhfo-alt san roimhe seo a fhoráil fós (i dteanta na nithe a luaidhtear sa bhfo-alt san) go bhféadfar na suimeanna uile a cuirfar i leataoibh fé fhorálacha a bheidh curtha isteach sna hairtiogail sin do réir mhíreanna (a) agus (d) den fho-alt san, agus fós gach proifit (más ann di) a bheidh fágtha tar éis na soláthairtí agus na híochaíochtaí uile agus fé seach a luaidhtear sa bhfo-alt san do dhéanamh, do chur in aon tslí is oiriúnach leis na stiúrthóirí chun aon chríche chun ar féidir go dleathach proifití de chuid na Corparáide do chur.
Leasú ar an bPríomh-Acht maidir le deimhnithe muirir.
9.—(1) Beidh sé dleathach don Chorparáid a memorandum agus a hairtiogail chomhlachais d'atharú i slí ná bainfidh na forálacha atá curtha síos sa Sceideal a ghabhann leis an bPríomh-Acht, ná forálacha eile sa chéill chéanna atá sa mhemorandum agus sna hairtiogail chomhlachais sin anois, le deimhnithe muirir a thabharfidh an Chorparáid amach tar éis an dáta ar a raghaidh na hatharuithe sin in éifeacht no tar éis aon dáta níos déanaí a bheidh luaidhte chuige sin sna hatharuithe sin agus tríotha, agus i slí go mbainfidh na forálacha so a leanas no forálacha eile sa chéill chéanna le gach deimhniú muirir den tsórt san, sé sin le rá:—
(a) féadfar deimhnithe muirir do thabhairt amach fén ainm sin no fé aon ainm eile is oiriúnach leis na stiúrthóirí agus beidh sreath de dheimhnithe muirir có-dhéanta de dheimhnithe de pé ainm-mhéid iomlán is dó leis na stiúrthóirí le haontú an Aire is ceart agus iad roinnte ina ndeimhnithe de pé méid no de pé méideanna deifriúla is dó leis na stiúrthóirí leis an aontú san is ceart;
(b) féadfar deimhnithe muirir do dhéanamh ionaistrithe tré dhintiúir, tré sheachada no ar shlí eile, no i bpáirt ar shlí acu san agus i bpáirt ar shlí eile acu fé mar is oiriúnach leis na stiúrthóirí le haontú an Aire d'ordú;
(c) urrófar na deimhnithe muirir uile le dintiúir iontaobhais no le hinstruimid eile le n-a n-aontóidh an tAire agus tré n-a dtiocfidh na deimhnithe muirir sin chun bheith agus tré n-a mbeid ina muirear so-ghluaiste ar shócmhainní uile na Corparáide (ach pé eisceachtaí do dhéanamh agus fé réir pé deighleála de chuid na Corparáide le n-a n-aontóidh an tAire) agus tosach aige ar gach debentiúir agus stoc debentiúra do thug an Chorparáid amach go dtí san no a thabharfa sí amach ina dhiaidh sin agus tré n-a ndéanfar pé comhachta a éileoidh an tAire do bhronna ar iontaobhaithe chun a chur in áirithe go n-íocfar go cuibhe colann na deimhnithe muirir sin agus an t-ús uirthi agus ina mbeidh pé forálacha eile a éileoidh an tAire chun an t-aisíoc san do chur in áirithe no a ghabhann le n-a chur in áirithe;
(d) isé líon na n-iontaobhaithe a luaidhtear sa mhír sin roimhe seo ná pé uimhir chothrom is oiriúnach leis na stiúrthóirí agus isé an tAire a ainmneoidh leath na n-iontaobhaithe sin i gcomhnaí agus isiad na stiúrthóirí a ainmneoidh an leath eile de sna hiontaobhaithe sin i gcomhnaí;
(e) sara ndéanfidh na stiúrthóirí sreath do dheimhnithe muirir do thabhairt amach cuirfid téarmaí na tabhartha-amach san fé bhráid an Aire (mara n-údaruighidh an tAire an tsreath san do thabhairt amach gan aon urraíocht uaidh féin) chun go bhfuighfar uaidh an urraíocht san a húdaruítear leis an bPríomh-Acht do do thabhairt uaidh, agus má tugtar agus nuair a tabharfar an urraíocht san féadfidh na stiúrthóirí na deimhnithe muirir sin do thabhairt amach ar na téarmaí do cuireadh fé bhráid an Aire amhlaidh.
(2) Athghairmtear fo-alt (3) d'alt 15 den Phríomh-Acht leis seo agus achtuítear leis seo ina ionad san mar leanas—
(a) ní mó ná milleon punt a bheidh an méid iomlán a gheobhaidh an Chorparáid ar iasacht, in aon tréimhse bhliantúil dá ndéanfar suas cuntaisí na Corparáide, ar urrús deimhnithe muirir a bheidh fé urraíocht an Aire fén alt san 15 agus a gheobhfar ar iasacht amhlaidh chun iasachtaí do thabhairt do sna daoine agus chun na gcrícheanna a húdaruítear le halt 12 den Phríomh-Acht;
(b) ní mó ná seacht milleon agus cúig céad míle punt a bheidh an méid iomlán a bheidh gan bheith aisíoctha aon uair áirithe ag an gCorparáid ar urrús deimhnithe muirir a bheidh fé urraíocht an Aire fén alt san 15 (ach amháin i gcás dá n-údaruítear é anso ina dhiaidh seo);
(c) féadfidh an Chorparáid, le ceadú an Aire, airgead d'fháil ar iasacht, ar urrús deimhnithe muirir a bheidh fé urraíocht mar adubhradh, de bhreis ar an méid iomlán a luaidhtear sa mhír sin roimhe seo má gheibhtear an t-airgead san ar iasacht amhlaidh chun aisíoc do dhéanamh i gcuid den tsuim a bheidh gan bheith aisíoctha an uair sin ag an gCorparáid ar urrús deimhnithe muirir do tugadh amach roimhe sin agus má cólíontar pé coiníollacha a ordóidh an tAire chun a chur in áirithe go gcuirfar an t-airgead san chun na críche roimhráite.
(3) Deimhnithe muirir a thabharfidh an Chorparáid amach tar éis na hatharuithe bheith déanta a húdaruítear le fo-alt (1) den alt so do dhéanamh ar mhemorandum agus ar airtiogail chomhlachais na Corparáide ní bheid ina mbillí díola do réir bhrí na Bills of Sale (Ireland) Acts, 1879 and 1883, agus ní bhainfidh na hAchtanna san le haon deimhnithe muirir den tsórt san.
Leasuithe ar an Sceideal a ghabhann leis an bPríomh-Acht.
10.—(1) Athghairmtear leis seo an méid de mhír 5 den Sceideal a ghabhann leis an bPríomh-Acht a bhaineann le hiontaobhaithe d'ainmniú agus achtuítear leis seo ina ionad san gurb é an tAire a ainmneoidh i gcomhnaí leath na n-iontaobhaithe a luaidhtear sa mhír sin agus gurb iad na stiúrthóirí a ainmneoidh an leath eile de sna hiontaobhaithe sin i gcomhnaí.
(2) Léireofar mír 9 den Sceideal a ghabhann leis an bPríomh-Acht agus beidh éifeacht aici fé is dá leigtí ar lár inti na focail “fé réir na sriantachta ná tabharfar amach aon deimhniú den tsórt san ar phraghas is lú ná méid na suime colna a hurruítear leis.”

11.—Déanfar suim chúig mhíle punt do mhuirearú ar an bPrímh-Chiste no ar a thora fáis agus d'íoc amach as leis an gCorparáid chó luath agus is féidir é tar éis rithte an Achta so agus cuirfidh an Chorparáid an tsuim sin chun no mar chabhair chun na costaisí do bhain le cur-ar-aghaidh, le bunú, agus le clárú na Corparáide agus roimh-chostaisí eile na Corparáide d'íoc no, má híocadh agus sa mhéid gur híocadh na costaisí sin, chun cúiteamh do dhéanamh leis an gCorparáid agus leis na daoine eile d'íoc na costaisí sin, sna suimeanna d'íocadar fé seach ar scór na gcostaisí sin.
Airgead do mhuirearú ar an bPrímh-Chiste.
12.—(1) Is ar an bPrímh-Chiste no ar a thora fáis a bheidh muirear agus íoc gach airgid is gá chun íoc do dhéanamh—
(a) in íocaíochta nách foláir don Aire d'íoc leis an gCorparáid ar scór scaireanna de chuid na Corparáide a cheannóidh sé fén Acht so, no
(b) i suimeanna gur gá don Aire, do réir alt 6 den Phríomh-Acht mar a cuirtar i mbaint é leis an scéal tríd an Acht so, iad do sholáthar agus d'íoc leis an socruitheoir i gcríochnú gnótha na Corparáide, no
(c) i suimeanna gur gá don Aire do réir an Achta so iad d'íoc leis an gCorparáid chun no mar chabhair chun dividenda ar scaireanna de chuid na Corparáide d'íoc.
(2) Chun soláthar do dhéanamh chun suimeanna d'íoc a muirearófar ar an bPrímh-Chiste fén alt so no chun na suimeanna uile a roimh-íocfar amhlaidh na aon chuid acu d'aisíoc leis an gCiste sin, no chun aon urrúis a tabharfar amach fén alt so d'íoc sa mhéid ná socruítear ar aon tslí eile i gcóir an íoctha san, féadfidh an tAire airgead d'fháil ar iasacht tré pé urrúis is dó leis is ceart do thabhairt amach, agus íocfar isteach sa Stát-Chiste gach suim a gheobhfar ar iasacht amhlaidh.
(3) Is ar an bPrímh-Chiste no ar a thora fáis a bheidh muirear agus íoc cholann agus ús gach urrúis a tabharfar amach fén alt so.
Memorandum agus airtiogail chomhlachais na Corparáide d'atharú.
13.—(1) I dteanta na n-atharuithe a húdaruítear go sonnrách leis an Acht so do dhéanamh ar mhemorandum agus ar airtiogail chomhlachais na Corparáide, beidh sé dleathach don Chorparáid gach atharú eile do dhéanamh ar a memorandum agus ar a hairtiogail chomhlachais fé mar is gá no is ceart mar fhoirlíona ar no mar gheall ar aon atharú a húdaruítear go sonnrách amhlaidh agus fós gach atharú eile is gá no is ceart chun éifeacht do thabhairt d'fhorálacha an Achta so.
(2) Ní bhainfidh fo-alt (2) d'alt 10 den Phríomh-Acht le hatharuithe a déanfar ar mhemorandum no ar airtiogail chomhlachais na Corparáide fén Acht so no dá réir, agus achtuítear leis seo in ionad an fho-ailt sin gur i pé fuirm a bheidh do réir an Achta so agus le n-a n-aontóidh an tAire agus an tAire Talmhaíochta a bheidh gach atharú den tsórt san.

14.—(1) I gcás—
(a) ina mbeidh duine i seilbh talmhan ar a mbeidh cíos no ús in ionad cíosa no íocaíocht in ionad cíosa no ús ar airgead cheannaigh iníoctha le Coimisiún Talmhan na hÉireann de thurus na huaire, agus
(b) ina ndeimhneoidh Coimisiún Talmhan na hÉireann gurb é an duine sin an té ag á bhfuil an cíos san no an t-ús san in ionad cíosa no an íocaíocht san in ionad cíosa no an t-ús san ar airgead cheannaigh (pe'ca aca é) iníoctha ar dháta an deimhnithe sin, agus

(e) ná beidh ar dháta na hinstruimide sin aon lis pendens cláruithe maidir leis an talamh san i bPríomh-Oifig na hArd-Chúirte ná san Oifig Chúirte Cuarda don chontae no don chontae-bhuirg ina bhfuil an talamh san suidhte,
ansan (fé réir forálacha an ailt seo) beidh tosach ag an muirear san agus déanfa sé sárú mar mhuirear i gcoinnibh na talmhan san, ar gach estát, leas, eire, agus éileamh a bheidh sa talamh san agus air agus ina choinnibh ar dháta na hinstruimide sin ach amháin an cíos san, an t-ús san in ionad cíosa, an íocaíocht san in ionad cíosa no an t-ús san ar airgead cheannaigh (pe'ca aca é), riaráiste cíosa socruithe do réir bhrí na nAchtanna Talamh-Cheannaigh, morgáistí i bhfabhar do Choimisiún Talmhan na hÉireann, aon bhlianacht talamh-cheannaigh a muirearófar ar an talamh san ina dhiaidh sin fé sna hAchtanna Talamh-Cheannaigh, agus aon mhuirear dá luaidhtear i míreanna (a), (b), (d), (e) agus (g) d'alt 47 d'Acht 1891.
(2) In aon chás ina mbeidh na nithe go léir a luaidhtear í míreanna (a) go (e) den fho-alt san roimhe seo ach amháin an té a luaidhtear sa mhír sin (a) do bheith i seilbh na talmhan mar ionadaí phearsanta do dhuine ná maireann agus an deimhniú a luaidhtear sa mhír sin (b) do bheith sa chéill go bhfuil an cíos, no an t-ús in ionad cíosa, no an íocaíocht in ionad cíosa, no an t-ús ar airgead cheannaigh (pe'ca aca é) iníoctha ag ionadaí an duine sin ná maireann agus é bheith ráite sa mhuirear a luaidhtear sa mhír sin (c) go bhfuil sé á dhéanamh ag á dheontóir no ag duine dá dheontóirí mar ionadaí phearsanta don duine sin ná maireann, ansan bainfidh an fo-alt san leis an muirear san agus beidh tosach ag an muirear san dá réir sin agus fós tuigfar é bheith déanta i ngnáth-chúrsa na dlí agus chun na críche bhaineann le hestát an duine sin ná maireann do riara.
(3) Más rud é, ar dháta instruimide le n-a gcuirtar muirear ar thalamh do bheadh, ar chlárú na hinstruimide sin in Oifig Chlárathachta na nDintiúirí, i dteideal tosach do bheith aige fén alt so, go mbeidh foláramh fé alt 61 d'Acht 1891, mar a leasuítear leis an Acht so é, in Oifig Chlárathachta na Talmhan i dtaobh an tailimh sin, ansan, d'ainneoin éinní atá san Acht so is fé is ná rithfí an tAcht so a socrófar cadé an tosach ar a chéile atá ag an muirear san agus ag an estát, ag an leas, ag an eire, no ag an éileamh eile i gcoinnibh an tailimh sin atá ag an té do lóisteáil an foláramh san.
(4) San Acht so—
gairmtear muirear tosaíochta de mhuirear ar thalamh dá dtugtar tosach leis an alt so;
gairmtear morgáisteoir de dhuine do thug muirear tosaíochta uaidh;
gairmtear éilithe íochtaracha de sna nithe seo le chéile, eadhon, estáit, leasanna, eirí, agus éilithe, i dtalamh agus air agus ina choinnibh, ar a dtugtar tosaíocht i ndiaidh muirir thosaíochta de bhua an ailt seo;
gairmtear éilitheoir íochtarach de dhuine i dteideal éilimh íochtaraigh; agus

15.—(1) Einne adéarfidh go bhfuil teideal aige chun estáit, leasa, eire no éilimh in no ar aon talamh no ina choinnibh ná fuil cláruithe in Oifig Chlárathachta na Talmhan is éileamh íochtarach i gcoinnibh an tailimh sin no 'na ndéanfadh éileamh íochtarach i gcoinnibh an tailimh sin de dá gcruthnuítí muirear tosaíochta ar an talamh san, féadfidh an duine sin (pe'ca cláruithe in Oifig Chlárathachta na nDintiúirí don instruimid, más ann di, fé n-a n-eireoidh an t-éileamh san no nách ea) foláramh do lóisteáil, fé alt 61 d'Acht 1891, in aghaidh clárú do dhéanamh, i gcoinnibh an tailimh sin le linn ná tar éis a chéad-chláruithe, ar aon deighleáil leis an talamh san i bhfabhar don Chorparáid chun dochair don éileamh san.
(2) Má lóisteáltar foláramh i dtaobh aon tailimh fé alt 61 d'Acht 1891 mar a leathnuítear leis an bhfo-alt san roimhe seo é, ní bhainfidh fo-alt (2) den alt san 61 leis an bhfoláramh san ach ina ionad san déanfar, le linn an talamh san do chéad-chlárú, an foláramh san d'iontráil ar an bhfólio a bhaineann leis an talamh san mar fholáramh do lóisteáladh fé alt 69 den Acht san agus beidh éifeacht aige dá réir sin.
Cirt éilitheoirí íochtaracha.
16.—(1) Chó fada leis an ord a bheidh idir an morgáisteoir do thug muirear tosaíochta uaidh nách muirear buan-fheabhais agus éilitheoirí íochtaracha 'na mbeidh éileamh acu i gcoinnibh tailimh dá ndineann an muirear san deifir, tuigfar an muirear san do bheith muirearuithe ar gach aon estát agus leas (más ann dóibh), sa talamh san, 'na raibh an morgáisteoir sin, ar dháta cláruithe an mhuirir sin in Oifig Chlárathachta na nDintiúirí, no 'na dtáinig sé chun bheith aon uair ina dhiaidh sin, i dteideal chun a dtairbhe mar shlánú ar gach éileamh íochtarach ag éilitheoirí íochtaracha i gcoinnibh an tailimh sin.
(2) Gach airgead a híocfar leis an gCorparáid ag éilitheoir íochtarach no as cuid, as estát no as leas éilitheora íochtaraighe 'na mbeidh éileamh aige i gcoinnibh tailimh ar scór muirir thosaíochta nách muirear buan-fheabhais ar an talamh san, aisíocfidh an morgáisteoir leis an éilitheoir sin é, ar a éileamh san air, maraon le hús air do réir ráta cúig per cent. per annum agus go dtí go n-aisíocfar san amhlaidh beidh an t-airgead san agus an t-ús air ina bhfiacha ag an duine sin ar an morgáisteoir ar gach aon estát agus leas (más ann dóibh) 'na mbeidh an morgáisteoir i dteideal chun a dtairbhe sa talamh san no i dtora a dhíola ar dháta íoctha an airgid sin leis an gCorparáid.
Cosaint do mhion-aoisigh agus do gheilteanna.
17.—(1) I gcás talamh do bheith fé mhuirear thosaíochta nách muirear buan-fheabhais agus duine a bheidh ar dháta cláruithe an mhuirir sin in Oifig Chlárathachta na nDintiúirí i dteideal éilimh íochtaraighe i gcoinnibh an tailimh sin do bheith ar dháta an chláruithe sin fé bhun bliain is fiche d'aois no gan meabhair shlán aige, beidh an duine sin aon uair tar éis an chláruithe sin ach, i gcás duine fé bhun bliain is fiche d'aois ar dháta an chláruithe sin, ní tar éis a chúig bliana fichead do shlánú dho i dteideal ordú d'fháil ón gCúirt Chuarda á ordú go dtabharfadh an morgáisteoir don duine sin, tré urrús do thabhairt uaidh, tré airgead do lóisteáil sa chúirt no ar pé slí eile a cheadóidh an chúirt, slánú is dó leis an gCúirt is leor mar chosaint don éileamh íochtarach a bheidh ag an duine sin i gcoinnibh an mhuirir thosaíochta san agus, mara dtugaidh an morgáisteoir an slánú san uaidh laistigh de ráithe tar éis dáta an orduithe sin, go ndíolfadh an Chúirt an talamh san agus go gcuirfí tora an díola san chun críche do réir dlí agus, in aon chás, go n-íocfadh an morgáisteoir na costaisí do bhí ar an duine sin maidir leis an ordú san, leis an iarratas air, agus le gach imeacht fé, nuair a bheidís measta mar chostaisí idir atúrnae agus cliant.
(2) Aon tslánú a thabharfidh morgáisteoir uaidh do réir ordú fén bhfo-alt san roimhe seo beidh sé ionchurtha i bhfeidhm, le cead na Cúirte Cuarda agus ar pé slí a ordóidh an Chúirt sin, pé uair a déanfar an muirear tosaíochta gur tugadh an slánú san ina thaobh do chur i bhfeidhm i slí a dhéanfadh dochar don éileamh íochtarach gur tugadh an slánú san chun a chosanta no i pé cás eile is dó leis an gCúirt sin a dhéanfadh é bheith cóir agus cothrom an slánú san do chur i bhfeidhm.
(3) Na cirt agus na tairbhí a bronntar ar éinne leis an alt so beid mar bhreis ar aon chirt no tairbhí eile chun a mbeidh teideal ag an duine sin fén Acht so agus beid gan dochar dóibh.
(4) Ní deonfar aon ordú fé fho-alt (1) den alt so gan fógra do thabhairt don mhorgáisteoir maran dó leis an gCúirt gur ceart déanamh in éamais an fhógra san.
Féadfidh an Chorparáid foláraimh do lóísteáil.
18.—Pé uair adéarfidh an Chorparáid gurb eireadóir í ar thalamh nea-chláruithe do réir bhrí alt 61 d'Acht 1891 de bhua instruimide do cláruíodh in Oifig Chlárathachta na nDintiúirí, beidh sé dleathach don Chorparáid, d'ainneoin éinní ina choinnibh sin atá san alt san, foláramh fén alt san do lóisteáil leis an údarás clárathachta, agus má cláruítear an foláramh san amhlaidh beidh sé dleathach don údarás chlárathachta, ar chéadchlárú an tailimh sin, an t-eire do cruthnuíodh leis an instruimid sin do chlárú mar ualach a dhineann deifir don talamh san agus pé tosach (más ann do) aige a tugtar don eire sin leis an Acht so no ar shlí eile do réir dlí.

19.—In aon chás ina mbeidh na nithe go léir a luaidhtear i míreanna (a) go (e) d'fho-alt (1) d'alt 2 d'Acht Leasúcháin 1928 ach amháin an té a luaidhtear sa mhír sin (a) do bheith marbh agus a bhás agus ainm a ionadaí phearsanta do bheith curtha síos sa chlár a luaidhtear sa mhír sin agus an muirear a luaidhtear sa mhír sin (c) do bheith déanta ag an ionadaí pearsanta san mar ionadaí phearsanta den tsórt san, ansan bainfidh an fo-alt san (1) den alt san (2) leis an muirear san agus beidh tosach ag an muirear san dá réir sin agus tuigfar, chun crícheanna an Achta san agus go sonnrách chun crícheanna fo-altanna (2) agus (3) den alt san, gur muirear é dá dtugtar tosach leis an alt san, agus tuigfar fós an muirear san do bheith déanta i ngnáthchúrsa na dlí agus chun na gcrícheanna a bhaineann le hestát an duine sin ná maireann do riara.

20.—I gcás—

21.—(1) I ngach áit ina bhfuil an focal “feirmeoir” sa Phríomh-Acht folóidh sé duine no beirt no níos mó le chéile a bheidh, mar ionadaí no mar ionadaithe pearsanta do dhuine mharbh no mar iontaobhaí no mar iontaobhaithe do shocrú agus chun tairbhe d'estát an duine mhairbh sin no do sna daoine a bheidh i dteideal tairbhe fén socrú san, ag gabháil do shaghas éigin talmhaíochta mar ghnó chun proifite ar thalamh is cuid den estát san no atá fé réir iontaobhaisí an tsocruithe sin, agus ciallóidh tagairtí sa Phríomh-Acht d'fheirm an duine no na ndaoine sin an talamh san ar a mbeidh seisean no iad-san ag gabháil don talmhaíocht san amhlaidh, agus léireofar an Príomh-Acht agus beidh éifeacht aige dá réir sin.

(4) Má gheibhtar airgead ar iasacht fén alt so féadfidh an té a gheobhaidh é a chur mar mhuirear ar an talamh go léir atá sa tsocrú fé n-ar tionónta le n-a shaol é no fé n-a bhfuil comhachta aige mar thionónta le n-a shaol an t-airgead a gheobhfar ar iasacht amhlaidh, agus an t-ús air, d'aisíoc leis an gCorparáid agus beidh éifeacht ag an muirear san mar chur de láimh fé sna Settled Land Acts, 1882 to 1890, agus, má bhíonn nithe i slí gur mhuirear tosaíochta do réir bhrí Acht Leasúcháin 1928 no an Achta so an muirear san dá mba lán-únaer no únaer amuich is amach ar an talamh san do dhéanfadh é, beidh an muirear san ina mhuirear thosaíochta agus ina mhuirear bhuan-fheabhais do réir bhrí Acht Leasúcháin 1928 no an Achta so (pe'ca aca is gá sa chás) agus bainfidh an tAcht san leis an muirear san dá réir sin.
(5) Isiad crícheanna chun a bhféadfar airgead d'fháil ar iasacht fén alt so ná gach ceann no aon cheann acu so a leanas, sé sin le rá:—
(a) chun foirgintí do thógáil ar an talamh ar ar tionónta le n-a shaol an té a gheobhaidh an iasacht no ar a bhfuil comhachta aige mar thionónta le n-a shaol,
(b) chun buan-fheabhsuithe do dhéanamh ar an talamh san do raghadh chun torthúlacht an tailimh sin do mhéadú no chun an méadú san do chur in usacht no chun cabhruithe leis,
(c) chun na costaisí d'íoc fé n-a raghfar chun an t-airgead san d'fháil ar iasacht agus chun urrús ar a aisíoc do thabhairt.

23.—(1) Beidh sé dleathach don Chorparáid a memorandum agus a hairtiogail chomhlachais d'atharú i slí go mbeidh teideal agus údarás ag an gCorparáid iasacht no roimh-íoc airgid do thabhairt do sna daoine agus chun na críche a luaidhtear anso ina dhiaidh seo (chó maith le n-a thabhairt do sna daoine agus chun na gcrícheanna a luaidhtear in alt 12 den Phríomh-Acht), sé sin le rá:—
(a) d'éinne (nách comhar-chumann) chun iasacht d'íoc do tugadh ar dtúis do dhuine eile roimh rith an Phríomh-Achta ar fad no nách mór ar fad chun talamh do cheannach i gcóir talmhaíochta;
(b) d'éinne (nách comhar-chumann) chun iasacht no fiachas eile d'íoc do fuair no fé n-ar chuaidh sé féin no éinne eile ar dtúis, roimh rith an Achta so no dá éis sin, ar fad no nách mór ar fad chun críche chun a bhféadfadh an Chorparáid iasacht do thabhairt do fé alt 12 den Phríomh-Acht no fén alt so;

PART I.
Preliminary.
Definitions.
1.—In this Act—
the expression “the Corporation” means The Agricultural Credit Corporation, Limited;
the expression “the directors” means the directors of the Corporation;
the expression “the Minister” means the Minister for Finance;
the expression “the Act of 1891” means the Local Registration of Title (Ireland) Act, 1891;
the expression “the Principal Act” means the Agricultural Credit Act, 1927 (No. 24 of 1927);
the expression “the Amending Act of 1928” means the Agricultural Credit Act, 1928 (No. 22 of 1928);
the expression “the Registry of Deeds” means the office for registering deeds, conveyances, and wills in Ireland;
the word “charge” includes mortgage and any other means by which land is charged with or made liable for or security for the payment of money;
the expression “land purchase annuity” means a terminable annuity payable to the Irish Land Commission under the Land Purchase Acts in repayment of an advance made by that Commission under those Acts;
the expression “interest in lieu of rent” means and includes any moneys payable under that name to the Irish Land Commission under the Land Purchase Acts;
the expression “payment in lieu of rent” means and includes any moneys payable under that name to the Irish Land Commission under the Land Purchase Acts;
the expression “interest on purchase money” means and includes any moneys payable under that name to the Irish Land Commission under the Land Purchase Acts.
PART II.
Financial.
Division of capital of the Corporation.
2.—(1) Notwithstanding anything contained in the Principal Act, it shall be lawful for the Corporation, subject to the limitations imposed by this section, to divide its capital into “A shares” and “B shares” and to make such division effective as on and from the allotment of such shares and for those purposes to make such alterations as may be requisite in its memorandum and articles of association.
(2) The division of the capital of the Corporation under this section shall not, without the sanction of the Minister, be made otherwise than in the proportion of five hundred and twenty-five A shares to every four hundred and seventy-five B shares.
(3) On any such division of the capital of the Corporation, no share which is held by a person other than the Minister at the time of making such division shall be included in the B shares.
Increase of capital of the Corporation.
3.—(1) Notwithstanding anything to the contrary contained in the Principal Act, it shall be lawful for the Corporation to increase its capital to a total of £1,000,000 (one million pounds) divided into one million shares of one pound each and for that purpose to make such alterations as may be requisite in its memorandum and articles of association and in particular to make such alterations in its memorandum and articles of association as may be necessary to authorise the directors to issue in accordance with this section five hundred thousand shares (in this Act referred to as new shares) of one pound each ranking pari passu with the shares (in this Act referred to as old shares) issued under the Principal Act before the passing of this Act.
(2) If the capital of the Corporation is divided into A shares and B shares before the issue of the new shares, such new shares shall be divided into A shares and B shares in the same proportions as the old shares are so divided and in such case shall be issued as A shares and B shares accordingly.
(3) The new shares shall be offered at the one time in such manner as the directors shall think fit for subscription by the holders of the old shares, and all or any of the new shares not subscribed for by such holders may, if the directors so think fit, and shall, if the Minister so requires, be offered at the one time in such manner as the directors think fit for subscription by members of the general public.
(4) All new shares not subscribed for by the holders of old shares or by members of the general public (if offered for subscription by such members) shall, at the expiration of the time limited with the approval of the Minister for such subscriptions or the later of such subscriptions (as the case may be), be subscribed for by the Minister.
(5) The sum of one pound payable on every of the new shares shall be payable, as to five shillings thereof, on application for the share and, as to a further five shillings thereof, not less than twenty nor more than forty days after allotment and, as to the remainder thereof, at the time hereafter in this Act appointed.
Calling up of uncalled capital.
4.—(1) Notwithstanding anything contained in the Companies (Consolidation) Act, 1908, it shall be lawful for the Corporation by special resolution to provide that the sum of ten shillings of the sum of one pound payable on every share (including new shares as well as old shares) in the Corporation shall be payable if and when called up but shall be capable of being called up only in the event and for the purposes of the Corporation being wound up.
(2) If and when the Corporation has made such provision as is mentioned in the foregoing sub-section in respect of its uncalled capital, so much of sub-section (2) of section 4 of the Principal Act as enacts that ten shillings of the sum payable on every share in the Corporation shall be payable as and when called by the directors shall cease to have effect.
(3) The making of such provision as is mentioned in sub-section (1) of this section shall not be a reduction of the capital of the Corporation within the meaning of the Companies Acts, 1908 to 1924.
State liabilities for the capital of the Corporation.
5.—(1) Section 6 (which relates to the liability of the State for the capital of the Corporation) of the Principal Act shall apply to the new shares as well as to the old shares.
(2) The expression “paid-up capital” in section 6 of the Principal Act shall be construed as including capital paid-up in pursuance of a call made in the event and for the purposes of the Corporation being wound up.
Powers of Minister in respect of shares held by him.
6.—Section 20 (which relates to the powers of the Minister in respect of shares held by him) of the Principal Act shall apply to new shares subscribed for by the Minister under this Act in like manner as it applies to old shares subscribed for by him under the Principal Act.
State liability for dividends on the capital of the Corporation.
7.—(1) Subject and without prejudice to the provisions of this Act in relation to the application of profits of the Corporation, the Corporation shall pay to its members dividends at the fixed rate of five per cent. per annum on the amount of its capital for the time being paid up and such dividends shall be paid by the Corporation half-yearly on such dates as shall be appointed for the purpose by the directors with the approval of the Minister.
(2) If, on any of the days appointed under this section for the payment of half-yearly dividends, the Corporation has not any or sufficient moneys available and applicable for payment of the dividends so payable on such day on all the shares of the Corporation which are on that day held by persons other than the Minister, the Corporation shall forthwith certify to the Minister the sum which with the moneys (if any) so available and applicable is required to pay such dividend on all such shares and upon receipt of such certificate the Minister shall pay to the Corporation the amount so certified by the Corporation and the moneys so paid to the Corporation shall be forthwith applied by the directors in or towards payment of the said dividends on such shares.
(3) If and when the Corporation is wound up the Minister shall be entitled in such winding-up to be paid out of the assets of the Corporation after the creditors of the Corporation have been paid in full the difference between the following sums, that is to say:—
(a) the aggregate of all moneys paid (whether before or after the passing of this Act) by the Minister to the Corporation under section 7 of the Principal Act or under this section for the purpose of paying dividends on shares not held by the Minister, together with the aggregate deficiency below five per cent. per annum of the sums paid (whether before or after the passing of this Act) by the Corporation to the Minister in respect of dividends on shares for the time being held by him, together with the aggregate of all moneys theretofore paid by the Minister under any guarantee given by him under section 15 of the Principal Act, and
(b) the aggregate of all bonuses or extra dividends paid by the Corporation on B shares.
All moneys paid to the Minister under this section in the winding-up of the Corporation shall be paid into the Exchequer.
(4) This section shall come into force immediately on the division of the capital of the Corporation into A shares and B shares under the authority in that behalf conferred by this Act, and upon this section coming into force section 7 of the Principal Act shall be repealed as on and from the 5th day of April, 1928 (being the day on which the Corporation commenced business) and this section shall be deemed to have come into force on and shall have effect as on and from the said 5th day of April, 1928 and so much of the moneys advanced under sub-section (2) of the said section 7 by the Minister to the Corporation before the coming into force of this section as were so advanced for the purpose of the payment in whole or in part of dividends on shares held by the Minister and were applied in such payment shall for the purposes of this Act and of the accounts of the Corporation be deemed never to have been so advanced and so much of the said dividends as were paid with such moneys shall for the purposes aforesaid be deemed never to have been paid.
Application of the profits of the Corporation.
8.—(1) If the Corporation shall divide its capital into A shares and B shares under the authority in that behalf conferred by this Act, it shall be lawful for the Corporation so to alter its articles of association that the net profits of the Corporation for the half-yearly accounting period commencing on the 1st day of November, 1928 and every subsequent half-yearly or other accounting period shall be deemed to have been and shall be applicable only for or towards the following purposes in the following order so far as such profits shall extend, that is to say:—
(a) firstly, in setting aside such sum as the directors shall think fit, not exceeding in respect of an accounting period ending before the 1st day of November, 1939 one-fifth of the net profits for such period and not exceeding in respect of any subsequent accounting period such proportion as the directors with the approval of the Minister shall think fit of the net profits for such accounting period,
(b) secondly, in paying a dividend at the rate of five per cent. per annum on the amount paid-up on the A shares,
(c) thirdly, in paying a dividend at the rate of five per cent. per annum on the amount paid up on the B shares,
(d) fourthly, in setting aside such sum as the directors shall think fit, not exceeding in any accounting period one-tenth of the balance of the said net profits for such period remaining after making the provisions and payments above-mentioned,
(e) fifthly, in paying such extra dividend or bonus on the B shares as the directors shall think fit, not exceeding in any accounting period such sum as with all sums theretofore paid by way of such extra dividend or bonus will amount to the total of the aggregate of all moneys paid up to the end of such accounting period by the Minister to the Corporation for the purpose of paying dividends on A shares together with the aggregate deficiency below five per cent. per annum of the sums theretofore paid by the Corporation to the Minister in respect of dividends on A shares for the time being held by him together with the aggregate of all moneys theretofore paid by the Minister under any guarantee given by him under section 15 of the Principal Act.
(2) Alterations made by the Corporation in its articles of association under the foregoing sub-section may also provide (in addition to the matters mentioned in that sub-section) that all sums set aside under provisions inserted in the said articles in pursuance of paragraphs (a) and (d) of the said sub-section and also all (if any) profits remaining after making the several provisions and payments mentioned in the said sub-section may be applied in such manner as the directors think fit for any purpose for which profits of the Corporation may lawfully be applied.
Amendment of the Principal Act in relation to certificates of charge.
9.—(1) It shall be lawful for the Corporation so to alter its memorandum and articles of association that the provisions set forth in the Schedule to the Principal Act or other provisions to the same effect now contained in the said memorandum and articles of association shall not apply to certificates of charge issued by the Corporation after the date on which such alterations take effect or any later date specified in that behalf in and by such alterations and that the following provisions or other provisions to the same effect shall apply to all such certificates of charge, that is to say:—
(a) certificates of charge may be issued under that name or under any other name which the directors think suitable and a series of certificates of charge shall consist of certificates of such total nominal amount as the directors with the approval of the Minister shall think proper divided into certificates of such amount or different amounts as the directors with such approval shall think proper;
(b) certificates of charge may be made transferable by deed, delivery or otherwise or partly in one such way and partly in another such way as the directors with the approval of the Minister shall think fit to prescribe;
(c) all certificates of charge shall be secured by a trust deed or other instrument approved by the Minister whereby such certificates of charge become and are a floating charge on all the assets (with such exceptions and subject to such dealings by the Corporation as the Minister may approve) of the Corporation in priority to all debentures and debenture stock theretofore or thereafter issued by the Corporation and whereby such powers as the Minister may require are conferred on trustees for securing the due payment of the principal of such certificates of charge and the interest thereon and wherein such other provisions as the Minister may require are contained for or incidental to the securing such repayment;
(d) the number of the trustees mentioned in the foregoing paragraph shall be such even number as the directors think fit and one-half of such trustees shall always be nominated by the Minister and the other half of such trustees shall always be nominated by the directors;
(e) before issuing a series of certificates of charge the directors shall (unless the Minister authorises such series to be issued without any guarantee by him) submit the terms of such proposed issue to the Minister for the purpose of receiving from him such guarantee as he is authorised by the Principal Act to give, and if and when such guarantee is given the directors may issue such certificates of charge on the terms so submitted to the Minister.
(2) Sub-section (3) of section 15 of the Principal Act is hereby repealed and in lieu thereof it is hereby enacted that—
(a) the total amount which, in any yearly period for which the accounts of the Corporation are made up, is borrowed by the Corporation on the security of certificates of charge guaranteed by the Minister under the said section 15 and is so borrowed for making loans to the persons and for the purposes authorised by section 12 of the Principal Act, shall not exceed the sum of one million pounds;
(b) the total amount owing at any one time by the Corporation on the security of certificates of charge guaranteed by the Minister under the said section 15 shall not (save as is hereinafter authorised) exceed seven million five hundred thousand pounds;
(c) the Corporation may, with the sanction of the Minister, borrow money on the security of certificates of charge guaranteed as aforesaid in excess of the limit mentioned in the foregoing paragraph where such money is so borrowed for the purpose of repaying part of the amount then owing by the Corporation on the security of certificates of charge previously issued and such conditions as the Minister may prescribe for securing the application of such money to the purpose aforesaid are complied with.
(3) Certificates of charge issued by the Corporation after the making of the alterations authorised by sub-section (1) of this section to be made in the memorandum and articles of association of the Corporation shall not be bills of sale within the meaning of the Bills of Sale (Ireland) Acts, 1879 and 1883, and those Acts shall not apply to any such certificates of charge.
Amendments of the Schedule to the Principal Act.
10.—(1) So much of paragraph 5 of the Schedule to the Principal Act as relates to the nomination of trustees is hereby repealed and in lieu thereof it is hereby enacted that one-half of the trustees mentioned in that paragraph shall always be nominated by the Minister and the other half of such trustees shall always be nominated by the directors.
(2) Paragraph 9 of the Schedule to the Principal Act shall be construed and have effect as if the words “subject to the restriction that no such certificate shall be issued at a less price than the amount of the principal sum secured thereby” were omitted therefrom.
Payment of expenses of the formation of the Corporation.
11.—There shall be charged upon and paid out of the Central Fund or the growing produce thereof to the Corporation as soon as may be after the passing of this Act the sum of five thousand pounds which shall be applied by the Corporation in or towards paying the expenses of the promotion, formation, and registration of the Corporation and the other preliminary expenses of the Corporation, or, if and so far as such expenses have been paid, in recouping to the Corporation and other persons by whom such expenses were paid the amounts paid by them respectively on foot of such expenses.
Charge of moneys on Central Fund.
12.—(1) All moneys required to meet—
(a) payments required to be made by the Minister to the Corporation in respect of shares of the Corporation subscribed for by him under this Act, or
(b) sums required by section 6 of the Principal Act as applied by this Act to be provided and paid by the Minister to the liquidator in the winding-up of the Corporation, or
(c) sums required by this Act to be paid by the Minister to the Corporation for or towards the payment of dividends on shares of the Corporation,
shall be charged on and paid out of the Central Fund or the growing produce thereof.
(2) The Minister may, for the purpose of providing for the payment of sums charged on the Central Fund under this section, or for the repayment to that Fund of all or any part of the sums so advanced, or for paying off any securities issued under this section so far as such payment is not otherwise provided for, borrow money by means of the issue of such securities as he thinks proper, and all sums so borrowed shall be paid into the Exchequer.
(3) The principal of and interest on all securities issued under this section shall be charged on and payable out of the Central Fund or the growing produce thereof.
Alteration of memorandum and articles of association of the Corporation.
13.—(1) In addition to the alterations specifically authorised by this Act to be made in the memorandum and the articles of association of the Corporation, it shall be lawful for the Corporation to make all such other alterations in its memorandum and articles of association as are necessary or proper by way of supplement to or in consequence of any alteration so specifically authorised and also all such other alterations as shall be necessary or proper to give effect to the provisions of this Act.
(2) Sub-section (2) of section 10 of the Principal Act shall not apply to alterations made in the memorandum or the articles of association of the Corporation under or in pursuance of this Act and in lieu thereof it is hereby enacted that all such alterations shall be in such form consistent with this Act as shall be approved by the Minister and the Minister for Agriculture.
(3) Section 9 of the Companies (Consolidation) Act, 1908, shall not apply in respect of any alteration authorised by this Act to be made by the Corporation in its memorandum of association and in lieu thereof it is hereby enacted that every such alteration may be made by special resolution as defined by section 69 of the Companies (Consolidation) Act, 1908, and that, in addition to complying with section 70 of that Act, the Corporation shall, within the time mentioned in that section, deliver to the registrar of companies a printed copy of the memorandum as so altered and such registrar shall register the same and shall certify the registration under his hand and such certificate shall be conclusive evidence that all the requirements of that Act as amended by this section with respect to such alteration have been complied with and thenceforth the memorandum as so altered shall be the memorandum of the Corporation.
(4) Section 45 of the Companies (Consolidation) Act, 1908, shall not apply in respect of any increase or division of the capital of the Corporation authorised by this Act and in lieu thereof it is hereby enacted that any such increase or division may be effected by special resolution as defined by section 69 of the Companies (Consolidation) Act, 1908.
PART III.
Priority of Charges on Land.
Priority of certain charges in favour of the Corporation.
14.—(1) Where—
(a) a person is in occupation of land in respect of which rent or interest in lieu of rent or payment in lieu of rent or interest on purchase money is for the time being payable to the Irish Land Commission, and
(b) such person is certified by the Irish Land Commission to be the person by whom such rent or interest in lieu of rent or payment in lieu of rent or interest on purchase money (as the case may be) is payable at the date of such certificate, and
(c) such person (either alone or in conjunction with other persons) within one month after the date of such certificate charges such land in favour of the Corporation with payment of a principal sum not exceeding four hundred pounds, and
(d) the instrument effecting such charge is duly registered in the Registry of Deeds, and
(e) at the date of such instrument no lis pendens is registered in respect of such land in the Central Office of the High Court or in the Circuit Court Office for the county or county borough in which such land is situate,
then (subject to the provisions of this section) such charge shall as against such land be in priority to and shall override all estates and interests in and all incumbrances on and all claims against such land which are subsisting at the date of such instrument save and except the said rent, interest in lieu of rent, payment in lieu of rent or interest on purchase money (as the case may be), compounded arrears of rent within the meaning of the Land Purchase Acts, mortgages in favour of the Irish Land Commission, any land purchase annuity which may subsequently be charged on such land under the Land Purchase Acts, and any of the charges mentioned in paragraphs (a), (b), (d), (e) and (g) of section 47 of the Act of 1891.
(2) In any case in which all the circumstances mentioned in paragraphs (a) to (e) of the foregoing sub-section are present save that the person mentioned in the said paragraph (a) is in occupation of the land as personal representative of a deceased person and the certificate mentioned in the said paragraph (b) is to the effect that the rent, or interest in lieu of rent or payment in lieu of rent or interest on purchase money (as the case may be) is payable by the representative of the said deceased person and the charge mentioned in the said paragraph (c) is expressed to be made by the grantor or one of the grantors thereof as personal representative of the said deceased person, then the said sub-section shall apply to the said charge and such charge shall have priority accordingly and shall also be deemed to be made in due course and for the purpose of the administration of the estate of the said deceased person.
(3) Where at the date of an instrument effecting a charge on land which would, on such instrument being registered in the Registry of Deeds, be entitled to priority under this section, a caution under section 61 of the Act of 1891 as amended by this Act appears in the Land Registry in respect of such land, the relative priorities of such charge and of the estate, interest, incumbrance, or other claim against such land of the person by whom such caution was lodged shall, notwithstanding anything contained in this Act, be determined as if this Act had not been passed.
(4) In this Act—
a charge on land to which priority is given by this section is referred to as a priority charge;
a person by whom a priority charge is given is referred to as mortgagor;
estates and interests in and incumbrances on and claims against land which are postponed in priority by virtue of this section to a priority charge are collectively referred to as puisne claims;
a person entitled to a puisne claim is referred to as a puisne claimant; and
the expression “permanent improvement charge” means a priority charge in respect of which it is shown by the mortgagor that the principal sum secured by such charge was advanced by the Corporation solely for one or more of the following purposes, that is to say, constructing buildings on the land the subject of such charge or making on such land improvements of a permanent character calculated to increase or facilitate or conduce to the increase of the productivity of such land or paying the expenses of borrowing such money and giving security for the repayment thereof and that the said principal sum was actually expended wholly for one or more of those purposes.
Lodgment of cautions by puisne claimants.
15.—(1) Any person claiming to be entitled to an estate or interest in or incumbrance on or claim against any land not registered in the Land Registry which is a puisne claim against such land or would become a puisne claim against such land if a priority charge were created on such land, may (whether the instrument, if any, under which such claim arises is or is not registered in the Registry of Deeds) lodge under section 61 of the Act of 1891 a caution against the registration against such land on or after the first registration thereof of any dealing with such land in favour of the Corporation to the prejudice of such claim.
(2) Where a caution is lodged under section 61 of the Act of 1891 as extended by the foregoing sub-section in respect of any land, sub-section (2) of the said section 61 shall not apply to such caution but in lieu thereof such caution shall, on the first registration of such land, be entered on the folio relating to such land as a caution lodged under section 69 of the said Act and shall have effect accordingly.
Rights of puisne claimants.
16.—(1) A priority charge which is not a permanent improvement charge shall, as between the mortgagor by whom such charge was given and puisne claimants against land affected by such charge, be deemed to be charged on all and every (if any) estate and interest in such land to which such mortgagor was at the date of the registration of such charge in the Registry of Deeds or becomes at any time thereafter beneficially entitled in indemnification of all puisne claims against such land by puisne claimants.
(2) All moneys paid to the Corporation by, or out of the share, estate, or interest of a puisne claimant against land on foot of a priority charge which is not a permanent improvement charge on such land shall be repaid to such claimant by the mortgagor on demand with interest thereon at the rate of five per cent. per annum and until so repaid such moneys and the interest thereon shall be a debt due by the mortgagor to such person on all and every (if any) estate and interest to which the mortgagor is beneficially entitled in such land or the proceeds of the sale thereof at the date of such payment to the Corporation.
Protection of minors and lunatics.
17.—(1) Where land is subject to a priority charge which is not a permanent improvement charge and a person entitled at the date of the registration of such charge in the Registry of Deeds to a puisne claim against such land is at the date of such registration under the age of twenty-one years, or of unsound mind, such person shall be entitled at any time after such registration but, in the case of a person under the age of twenty-one years at the time of such registration, not after he attains the age of twenty-five years, to obtain from the Circuit Court an order that the mortgagor do, by giving security, lodgment of money in court or such other means as shall be approved of by the Court, give to such person an indemnity which in the opinion of the Court adequately protects the puisne claim of such person against the said priority charge and that in default of the mortgagor giving such indemnity within three months after the date of such order the said land be sold by the Court and the proceeds of such sale be applied according to law and that in any event the costs of such person in relation to such order, the application therefor and all proceedings thereunder when taxed as between solicitor and client be paid by the mortgagor.
(2) An indemnity given by a mortgagor in pursuance of an order under the foregoing sub-section shall be enforceable, with the leave of the Circuit Court and in such manner as that Court shall direct, whenever the priority charge in respect of which such indemnity was given is enforced to the prejudice of the puisne claim for the protection of which such indemnity was given or in such other circumstances as in the opinion of the said Court render it just and equitable that such indemnity should be enforced.
(3) The rights and benefits conferred on any person by this section shall be in addition and without prejudice to any other rights or benefits to which such person may be entitled under this Act.
(4) No order under sub-section (1) of this section shall be granted without notice to the mortgagor unless the Court shall think proper to dispense with such notice.
Lodgment of cautions by the Corporation.
18.—Whenever the Corporation claims to be an incumbrancer on unregistered land within the meaning of section 61 of the Act of 1891 by virtue of an instrument registered in the Registry of Deeds, it shall be lawful for the Corporation, notwithstanding anything to the contrary contained in the said section, to lodge with the registering authority a caution under the said section, and where such caution is so registered it shall be lawful for the registering authority, on the first registration of such land, to register the incumbrance created by such instrument as a burden affecting such land with such priority (if any) as is given to such incumbrance by this Act or otherwise by law.
Priority charges by personal representative under Amending Act of 1928.
19.—In any case in which all the circumstances mentioned in paragraphs (a) to (e) of sub-section (1) of section 2 of the Amending Act of 1928 are present save that the person mentioned in the said paragraph (a) is dead and the fact of his death and the name of his personal representative are noted in the register mentioned in that paragraph and the charge mentioned in the said paragraph (c) is made by such personal representative in his capacity as such personal representative, then the said sub-section (1) of the said section 2 shall apply to the said charge and such charge shall have priority accordingly and shall, for the purposes of the said Act and particularly for the purposes of sub-sections (2) and (3) of the said section, be deemed to be a charge to which priority is given by the said section, and such charge shall also be deemed to have been made in due course and for the purposes of the administration of the estate of the said deceased person.
Priority charges by limited owner and remainderman under Amending Act of 1928.
20.—Where—
(a) a person is registered in a register of freeholders maintained under the Act of 1891 as limited owner of land, and
(b) such registration is subject to a note as to equities within the meaning of the Amending Act of 1928, and
(c) such person and the person or all the persons entitled to such land for an estate or estates in remainder or expectancy after or in defeasance of the estate of such first-mentioned person join in charging such land in favour of the Corporation with payment of a principal sum not exceeding four hundred pounds, and
(d) the provisions of paragraphs (d) and (e) of sub-section (1) of section 2 of the Amending Act of 1928 are complied with,
then the Amending Act of 1928 shall apply in respect of such charge as fully as if such charge had been made by a person registered in the said register of freeholders as full owner of such land.
PART IV.
Miscellaneous and General.
Definition of “farmer” in Principal Act.
21.—(1) The word “farmer” where the same occurs in the Principal Act shall include a person or two or more persons jointly carrying on as personal representative or representatives of a deceased person or as trustee or trustees of a settlement and for the benefit of the estate of such deceased person or of the persons beneficially entitled under such settlement some form of agriculture as a business for profit on land forming part of such estate or subject to the trusts of such settlement, and references in the Principal Act to the farm of such person or persons shall mean the said land on which he or they so carries or carry on such agriculture, and the Principal Act shall be construed and have effect accordingly.
(2) In this section the word “trustee” includes a trustee under a trust created by parol and also a trustee by construction of law and the word “settlement” means the deed, will or other instrument, parol declaration or construction of law by virtue of which the trustee or trustees in relation to whom the word is used is or are such trustee or trustees.
Charges by tenants for life.
22.—(1) Any person who is a tenant for life within the meaning of the Settled Land Acts, 1882 to 1890, of any land or has under those Acts the powers of a tenant for life in respect of any land may borrow from the Corporation and the Corporation may lend to any such person money for the purposes and on the security hereinafter authorised.
(2) Money borrowed under this section shall be paid by the Corporation only to the trustees for the purposes of the Settled Land Acts, 1882 to 1890, of the settlement under which the borrower is tenant for life or has the powers of a tenant for life or to persons appointed under this section to receive such money, and such money shall be capital money arising under the said settlement within the meaning of the said Acts, and the purpose for which such money is borrowed under this section shall as respects such money be a purpose for which capital money may be applied under the said Acts, and the said Acts shall apply to the said money accordingly.
(3) Where money is proposed to be borrowed under this section and there are not trustees for the purposes of the Settled Land Acts, 1882 to 1890, of the settlement under which the borrower is tenant for life or has the powers of a tenant for life under those Acts and the annual value under the Valuation Acts of the land comprised in the said settlement does not exceed sixty pounds, the Minister for Agriculture may nominate two suitable persons (other than the borrower) to receive such money and thereupon the persons so nominated shall become and be trustees for the purposes of the said Acts of the said settlement in respect of such money but no further or otherwise.
(4) Where money is borrowed under this section the borrower may charge all the land comprised in the settlement under which he is tenant for life or has the powers of a tenant for life with the repayment to the Corporation of the moneys so borrowed and the interest thereon and such charge shall have effect as a disposition under the Settled Land Acts, 1882 to 1890, and, where the circumstances are such that such charge, if made by a full or absolute owner of such land, would be a priority charge within the meaning of the Amending Act of 1928 or of this Act, such charge shall be a priority charge and a permanent improvement charge within the meaning of the Amending Act of 1928 or of this Act (as the case may require) and such Act shall apply to such charge accordingly.
(5) The purposes for which money may be borrowed under this section are all or any of the following purposes, that is to say:—
(a) construction of buildings on the land in respect of which the borrower is tenant for life or has the powers of a tenant for life,
(b) making on such land improvements of a permanent character calculated to increase or facilitate or conduce to the increase of the productivity of such land,
(c) payment of the expenses incurred in borrowing such money and giving security for the repayment thereof.
Limitations on the lending of money by the Corporation.
23.—(1) It shall be lawful for the Corporation so to alter its memorandum and articles of association that the Corporation shall be entitled and authorised to lend or advance money (in addition to the persons and for the purposes mentioned in section 12 of the Principal Act) to the persons and for the purpose here-inafter stated, that is to say:—
(a) to any person (other than a co-operative society) for the purpose of paying off a loan which was originally made to another person before the passing of the Principal Act wholly or mainly for the purpose of purchasing land for agricultural purposes;
(b) to any person (other than a co-operative society) for the purpose of paying off a loan or other liability which was originally obtained or incurred, whether before or after the passing of this Act, by him or any other person wholly or mainly for a purpose for which a loan could, under section 12 of the Principal Act or this section, be made to him by the Corporation;
(c) to any person (other than a co-operative society) for the purpose of paying off a charge on land or a loan borrowed for the purpose of paying off a charge on land where, in the opinion of the directors, the making of an advance to such person for such purpose will facilitate the making and securing the repayment of an advance made or intended to be made by the Corporation to such person for any other purpose authorised by section 12 of the Principal Act or this section;
(d) to any person (other than a co-operative society) for the purpose of paying off a loan or other liability which was originally obtained or incurred, whether before or after the passing of this Act, by him or any other person for any purpose (including personal and family maintenance) where, in the opinion of the directors, the obtaining such loan or incurring such liability was calculated to facilitate the person by whom the same was obtained or incurred in effecting economies or avoiding losses.
(2) Notwithstanding anything contained in the Principal Act or in the memorandum of association or the articles of association of the Corporation, the Corporation shall be deemed always to have been before the passing of this Act empowered to lend or advance money to any person (other than a co-operative society) for the purpose of paying off a loan or other liability which was originally made or incurred whether before or after the passing of the Principal Act to or by such person or any other person wholly or mainly for a purpose for which a loan could be made by the Corporation under section 12 of the Principal Act and no loan or advance of moneys so made by the Corporation before the passing of this Act shall be held or deemed to be or ever to have been invalid or irrecoverable on the ground that the making thereof was in excess of the powers of the Corporation.
Expenses of obtaining loans from the Corporation.
24.—(1) A loan or advance of money made by the Corporation to a person and for a purpose authorised by the memorandum and articles of association of the Corporation may include, in addition to the money required for such purpose, such sum as may be required to pay the expenses of obtaining such loan and giving security for the repayment thereof, and no loan or advance of money heretofore or hereafter made by the Corporation shall be or ever have been invalidated by reason of the inclusion therein of such sum as is or was required to meet such expenses or by reason of the application of part of such moneys in defraying such expenses.
(2) A charge which is a priority charge within the meaning of the Amending Act of 1928 shall not be precluded from being a permanent improvement charge within the meaning of that Act by reason only of portion of the principal sum secured by such charge having been borrowed for and expended in paying the expenses of borrowing such principal sum and giving security for the repayment thereof.
First mortgages under the Principal Act.
25.—No mortgage shall be or be deemed ever to have been precluded from being a first mortgage within the meaning of the Principal Act by reason only of the land affected by such mortgage or part of such land being subject in priority to such mortgage to one or more of all or any of the following charges, that is to say, quit rents, rents which were formerly crown rents, estate duty, succession duty, easements, and profits á prendre.
Evidence of indebtedness to the Corporation.
26.—In any proceedings in any Court of law for the recovery by the Corporation of any moneys owing to the Corporation whether for principal, interest, or otherwise in respect of any loan or advance made (whether before or after the passing of this Act) by the Corporation, a certificate in writing purporting to be sealed with the seal of the Corporation stating that a specified sum of money was due at the date of such certificate to the Corporation by a specified person on account of a specified loan or advance by the Corporation shall, at any time within one month after the date purported to be borne by such certificate and without proof of the seal of the Corporation or of the due affixing thereof to such certificate, be evidence until the contrary is proved that the sum specified in such certificate is and remains due and owing to the Corporation by the person and on the account specified in such certificate.
Amendment of section 25 of the Principal Act.
27.—Sub-section (2) of section 25 of the Principal Act shall be construed and have effect and be deemed always to have had effect as if the words “within fourteen days” were inserted therein in lieu of the words “within seven days” now contained therein.
Sale by Irish Land Commission.
28.—Where land or a tenancy in land is put up for sale by the Irish Land Commission under any statutory power in that behalf vested in them and such land or tenancy is subject to a charge in favour of the Corporation which is a permanent improvement charge within the meaning of the Amending Act of 1928 or of this Act, such land or tenancy shall be sold subject to such charge in addition to any other charge, incumbrance, or liability subject to which such land or tenancy is required by law to be sold.
Rules of co-operative creamery societies.
29.—(1) Notwithstanding anything contained in the Industrial and Provident Societies Act, 1893, the rules of a society registered under that Act to carry on the business of a co-operative society may provide for all or any one or more of the following things, that is to say:—
(a) advances of money by the society to its members on security other than the security of real or personal property, where such advances are made out of money advanced to such society by the Corporation;
(b) guarantees by the society of the repayment of advances and the payment of interest on advances made by the Corporation to members of the society;
(c) the society acting as agent for the Corporation in the making of advances by the Corporation to members of the society.
(2) This section shall be deemed to have come into force on and shall have effect as on and from the 28th day of May, 1927.
Short title and citation.
30.—(1) This Act may be cited as the Agricultural Credit Act, 1929.
(2) The Agricultural Credit Acts, 1927 and 1928, and this Act may be cited together as the Agricultural Credit Acts, 1927 to 1929.
