CUID II

Éifeacht Comhaontaithe EadráNa ar Imeachtaí Cúirte

Imeachtaí cúirte a bhac i gcás ina gcruthóidh páirtí comhaontú eadrána.

5.—(1) I gcás ina ndéanfaidh aon pháirtí i gcomhaontú eadrána, nó aon duine a dhéanfaidh éileamh tríd an bpáirtí sin nó faoi, aon imeachtaí a thionscnamh in aon chúirt in aghaidh aon pháirtí eile sa chomhaontú sin, nó in aghaidh aon duine a dhéanfaidh éileamh tríd an bpáirtí eile sin nó faoi, maidir le haon ábhar ar comhaontaíodh é a chur chun eadrána, féadfaidh aon pháirtí sna himeachtaí, tráth ar bith tar éis láithreas a thaifeadadh, agus roimh aon phléadálacha a sheachadadh nó aon bhearta eile a dhéanamh sna himeachtaí, a iarraidh ar an gcúirt na himeachtaí a bhac, agus déanfaidh an chúirt ordú ag bac na n-imeachtaí mura deimhin léi go bhfuil an comhaontú eadrána ar neamhní nó nach féidir é a chur i ngníomh ná a chomhlíonadh nó nach bhfuil aon díospóid iarbhír idir na páirtithe maidir leis an ábhar ar comhaontaíodh é a chur chun eadrána.

CUID III

Dámhachtaintí Choinbhinsiún Nua-Eabhrac a Fhorghníomhú

Léiriú (Cuid III).

6.—(1) Sa Chuid seo den Acht seo—

ciallaíonn “dámhachtain” dámhachtain (seachas dámhachtain de réir bhrí Chuid IV den Acht seo) a dhéanfar de bhun comhaontaithe eadrána i gcríoch stáit, seachas an Stát, is páirtí i gCoinbhinsiún Nua-Eabhrac;

ciallaíonn “Coinbhinsiún Nua-Eabhrac” an Coinbhinsiún maidir le Dámhachtaintí Eadrána Coigríche a Aithint agus a Fhorghníomhú a rinneadh i Nua-Eabhrac an 10ú lá de Mheitheamh, 1958, arb é an Coinbhinsiún é atá leagtha amach sa Chéad Sceideal a ghabhann leis an Acht seo.

(2) Féadfaidh an tAire Gnóthaí Eachtracha a dhearbhú le hordú gur páirtí i gCoinbhinsiún Nua-Eabhrac aon stát a bheidh sonraithe san ordú agus, fad a bheidh an t-ordú sin i bhfeidhm, is fianaise an t-ordú gur páirtí sa Choinbhinsiún sin an stát sin.

(3) Féadfaidh an tAire Gnóthaí Eachtracha, le hordú, ordú faoin alt seo, lena n-áirítear ordú faoin bhfo-alt seo, a chúlghairm nó a leasú.

Éifeacht dámhachtaintí.

7.—(1) Beidh dámhachtain infhorghníomhaithe, faoi réir na bhforálacha sin ina dhiaidh seo den Chuid seo, trí chaingean nó ar an modh céanna ar a bhfuil dámhachtain eadránaí infhorghníomhaithe de bhun alt 41 den Phríomh-Acht.

(2) Measfar, maidir le dámhachtain ab infhorgníomhaithe faoin gCuid seo, go mbeidh sí ina ceangal chun gach críche ar na daoine ar eatarthu a rinneadh í, agus, dá réir sin, féadfaidh aon duine de na daoine sin seasamh uirthi i modh cosanta, fritháirimh nó eile in aon imeachtaí dlí sa Stát, agus déanfar aon tagairt sa Chuid seo d'fhorghníomhú dámhachtana a fhorléiriú mar thagairt a fholaíonn tagairt don seasamh ar dhámhachtain den sórt sin.

8.—Aon duine a iarrfaidh dámhachtain a fhorghníomhú tabharfaidh sé ar aird—

(c) in aon chás ina mbeidh an dámhachtain nó an comhaontú eadrána i dteanga seachas i gceann de theangacha oifigiúla an Stáit, tiontú ar an dámhachtain nó ar an gcomhaontú, cibé acu é, agus é deimhnithe ag aistritheoir oifigiúil nó ag aistritheoir faoi bhrí mionna nó ag gníomhaire taidhleoireachta nó consalachta.

9.—(1) Ní dhiúltófar dámhachtain a fhorghníomhú ach amháin de bhun na bhforálacha sin ina dhiaidh seo den alt seo.

(2) Féadfar diúltú dámhachtain a fhorghníomhú má chruthaíonn an duine a bhfuil an dámhachtain á hagairt ina choinne—

(a) go raibh páirtí sa chomhaontú eadrána (faoin dlí a bhaineann leis) faoi éagumas éigin, nó

[EN]

(b) nach raibh an comhaontú eadrána bailí faoi dhlí na tíre ar chuir na páirtithe faoina bhrí é nó, cheal aon treoir ina leith sin, faoi dhlí na tíre ina ndearnadh an dámhachtain, nó

[EN]

(c) nár tugadh fógra cuí dó i dtaobh cheapadh an eadránaí ná i dtaobh imeachtaí na headrána nó nach raibh ar a chumas ar shlí eile a chás a thabhairt i láthair, nó

[EN]

(d) faoi réir fho-alt (4) den alt seo, go ndéileálann an dámhachtain le heasaontas nach raibh i gceist i dtéarmaí an chur chun eadrána ná faoi réim na dtéarmaí sin nó go bhfuil cinntí inti ar ábhair nach sroicheann an cur chun eadrána chucu, nó

(e) nach raibh comhdhéanamh an údaráis eadrána nó an nós imeachta eadrána de réir chomhaontú na bpáirtithe nó, cheal chomhaontú den sórt sin, de réir dhlí na tíre inar tharla an eadráin, nó

(f) nach bhfuil an dámhachtain tagtha chun bheith ina ceangal fós ar na páirtithe nó go bhfuil sí curtha i leataobh nó ar fionraí ag údarás inniúil de chuid na tíre ina ndearnadh an dámhachtain, nó ar faoina dlí a rinneadh í.

(3) Féadfar diúltú freisin dámhachtain a fhorghníomhnú más dámhachtain í maidir le hábhar nach féidir a shocrú le headráin faoi dhlí an Stáit, nó dá mbeadh sé contrártha don bheartas poiblí an dámhachtain a fhorghníomhú.

(4) Féadfar dámachtain a bhfuil cinntí inti ar ábhair nár cuireadh chun eadrána a fhorghníomhú a mhéid a bheidh cinntí inti ar ábhair a cuireadh chun eadrána agus ar féidir iad a scaradh ó aon chinntí ar ábhair nár cuireadh chun eadrána amhlaidh.

(5) In aon chás ina ndéanfar iarratas chuig údarás inniúil den sórt a luaitear i bhfo-alt (2) (f) den alt seo chun dámhachtain a chur i leataobh nó a fhionraí, féadfaidh cúirt a n-iarrfar forghníomhú na dámhachtana os a comhair, más oiriúnach léi, na himeachtaí a chur ar athló agus féadfaidh sí, ar iarratas ón bpáirtí atá ag iarraidh go ndéanfaí an dámhachtain a fhorghníomhú, a ordú don pháirtí eile cibé urrús a thabhairt is oiriúnach leis an gcúirt.

CUID IV

Dámhachtaintí Choinbhinsiún Washington a Fhorghníomhú

Léiriú (Cuid IV).

12.—Sa Chuid seo—

ciallaíonn “dámhachtain” dámhachtain arna tabhairt de bhun Choinbhinsiún Washington agus folaíonn sé aon chinneadh a rinneadh—

(a) de bhun Airteagal 49 (2) den Choinbhinsiún sin i ndáil le haon cheist ar mhainnigh an Binse dá dtagraítear san Airteagal sin í a chinneadh sa dámhachtain, nó i ndáil le haon earráid chléireachais nó uimhríochta nó earráid dá samhail sa dámhachtain a cheartú,

ciallaíonn “Coinbhinsiún Washington” an Coinbhinsiún maidir le Díospóidí Infheistíochta idir Stáit agus Náisiúnaigh Stát Eile a Shocrú a osclaíodh lena shíniú i Washington an 18ú lá de Mhárta, 1965, agus arb é an Coinbhinsiún é atá leagtha amach sa Dara Sceideal a ghabhann leis an Acht seo.

Glacadh a cheadú.

13.—Ceadaítear leis seo an Stát do ghlacadh le Coinbhinsiún Washington.

Ranníoc ón Rialtas faoi Choinbhinsiún Washington agus caiteachais.

14.—(1) Féadfaidh an tAire Airgeadais aon oibleagáidí de chuid an Rialtais a eascróidh faoi Airteagal 17 de Choinbhinsiún Washington (a chuireann d'oibleagáid ar na Stáit Chonarthachá aon easnamh a shlánú a bheidh ar an Lárionad Idirnáisiúnta chun Díospóidí Infheistíochta a Shocrú a bunaíodh faoin gCoinbhinsiún sin) a urscaoileadh.

(2) Íocfar as airgead a sholáthróidh an tOireachtas aon suimeanna a bheidh ag teastáil chun críocha fho-alt (1) den alt seo agus aon chaiteachais riaracháin a thabhóidh an tAire Airgeadais de thoradh an Stát do ghlacadh le Coinbhinsiún Washington.

An Príomh-Acht agus achtacháin eile a chur chun feidhme.

15.—(1) Féadfaidh an tAire Dlí agus Cirt, le hordú, a ordú go mbainfidh aon cheann de na forálacha—

(a) in ailt 19, 20, 21 agus 22 den Phríomh-Acht (a bhaineann le freastal finnéithe, urrús i leith costas, follasú doiciméad, etc.), agus

[EN]

(b) sa Foreign Tribunals Evidence Act, 1856 (a bhaineann le fianaise a thógáil chun críche imeachtaí os comhair binse choigríche),

[EN]

le cibé imeachtaí de bhun Choinbhinsiún Washington a bheidh sonraithe san ordú, agus féadfaidh an t-ordú cibé modhnuithe nó eisceachtaí a bheith ann is dealraitheach don Aire Dlí agus Cirt a bheith fóirsteanach chun críocha an ordaithe.

(2) Faoi réir fho-alt (1) den alt seo, ní bhainfidh an Príomh-Acht le himeachtaí de bhun Choinbhinsiún Washington.

Oibleagáidí airgid a fhorchuirfear le dámhachtain a fhorghníomhú.

16.—(1) Beidh na hoibleagáidí airgid a fhorchuirfear le dámhachtain infhorghníomhaithe le cead ón Ard-Chúirt, ar an modh céanna le breithiúnas nó le hordú ón Ard-Chúirt ag a bhfuil an éifeacht chéanna agus, má thugtar cead amhlaidh, féadfar breithiúnas a thaifeadadh i leith an méid a bheidh dlite nó, de réir mar a bheidh, i leith an iarmhéid a bheidh gan íoc faoin dámhachtain.

(2) Aon duine a dhéanfaidh iarratas chun na hArd-Chúirte de bhun fho-alt (1) den alt seo ar chead na hoibleagáidí airgid a forchuireadh le dámhachtain a fhorgníomhú déanfaidh sé cóip den dámhachtain, arna deimhniú de réir airteagal 54 (2) de Choinbhinsiún Washington, a thaisceadh lena iarratas.

Cumhacht na hArd-Chúirte forghníomhú a bhac.

17.—I gcás a ndéanfar iarratas chun na hArd-Chúirte de bhun alt 16 den Acht seo, déanfaidh an Ard-Chúirt, in aon chás inar bacadh forghníomhú dámhachtana, go sealadach nó ar dhóigh eile, de réir airteagal 50, Airteagal 51 nó Airteagal 52 de Choinbhinsiún Washington, forghníomhú na n-oibleagáidí airgid a forchuireadh leis an dámhachtain a bhac agus féadfaidh sí, in aon chás ina ndearnadh iarratas de réir aon cheann de na hAirteagail sin, ar iarratas é a bhféadfadh go mbeadh de thoradh air, dá ngéillfí dó, go mbacfaí forghníomhú na dámhachtana, forghníomhú na n-oibleagáidí airgid a forchuireadh leis an dámhachtain a bhac.

AN CHÉAD SCEIDEAL

An Coinbhinsiún maidir le Dámhachtaintí Eadrána Coigríche a Aithint agus a Fhorghníomhú

Airteagal I

1. Bainfidh an Coinbhinsiún seo le haithint agus le forghníomhú dámhachtaintí eadrána a dhéanfar i gcríoch Stáit seachas an Stát i gcás ina n-iarrfar na dámhachtaintí sin a aithint agus a fhorghníomhú, agus ar dámhachtaintí iad a eascraíonn ó easaontais idir daoine, fisiciúil nó dlítheanach. Bainfidh sé freisin le dámhachtaintí eadrána nach meastar gur dámhachtaintí intíre iad sa Stát ina n-iarrtar iad a aithint agus a fhorghníomhú.

2. Folóidh an téarma “dámhachtaintí eadrána” ní amháin dámhachtaintí arna ndéanamh ag eadránaithe a cheapfar do gach cás ach dámhachtaintí freisin arna ndéanamh ag buan-chomhlachtaí eadrána a ndeachaigh na páirtithe ar a n-iontaoibh.

3. Nuair a bheidh Stát ar bith ag síniú nó ag daingniú an Choinbhinsiúin seo nó ag aontú dó nó ag tabhairt fógra faoi shroicheadh faoi airteagal X den Choinbhinsiún seo, féadfaidh sé ar bhonn comhharaíochta, a dhearbhú go gcuirfidh sé an Coinbhinsiún chun feidhme maidir le haithint agus forghníomhú dámhachtaintí a rinneadh i gcríoch Stáit Chonarthaigh eile agus sa chríoch sin amháin. Féadfaidh sé a dhearbhú freisin nach gcuirfidh sé an Coinbhinsiún chun feidhme ach amháin maidir le heasaontais a eascróidh ó chomhbhaintí dlíthiúla, conarthach nó eile, a meastar gur comhbhaintí tráchtála iad faoi dhlí náisiúnta an Stáit a dhéanfaidh an dearbhú sin.

Airteagal II

1. Tabharfaidh gach Stát Conarthach aitheantas do chomhaontú i scríbhinn faoina ngeallfaidh na páirtithe go gcuirfidh siad chun eadrána gach easaontas nó aon easaontas a tharla nó a tharlóidh eatarthu maidir le comhbhaint dhlíthiúil shonraithe, conarthach nó eile, i ndáil le hábhar a fhéadfar a shocrú le headráin.

2. Folóidh an téarma “comhaontú i scríbhinn” clásal eadrána i gconradh nó i gcomhaontú eadrána, a bheidh sínithe ag na páirtithe nó cuimsithe i malartú litreacha nó teileagram.

3. Nuair a bheidh caingean faoi bhráid chúirt Stáit Chonarthaigh maidir le hábhar a mbeidh comhaontú de réir bhrí an airteagail seo déanta ag na páirtithe ina leith, déanfaidh sí, ar cheann de na páirtithe dá iarraidh sin, na páirtithe a tharchur chun eadrána, mura gcinnfidh sé go bhfuil an comhaontú sin ar neamhní nó nach féidir é a chur i ngníomh ná a chomhlíonadh.

Airteagal III

Admhóidh gach Stát Conarthach go gcuireann dámhachtaintí eadrána ceangal orthu agus forghníomhóidh siad iad de réir rialacha nós imeachta na críche ina seastar ar an dámhachtain, faoi na coinníollacha atá leagtha síos sna hairteagail seo a leanas. Ní chuirfear coinníollacha is dochraidí go substaintiúil, ná táillí ná muirir is airde, ag gabháil le haithint nó forghníomhú dámhachtaintí eadrána lena mbaineann an Coinbhinsiún seo ná mar a chuirtear ag gabháil le haithint agus forghníomhú dámhachtaintí eadrána intíre.

Airteagal IV

1. D'fhonn an aithint agus an forghníomhú a luaitear san airteagal sin roimhe seo a fháil, déanfaidh an páirtí a mbeidh an aithint agus an forghníomhú á iarraidh aige na nithe seo a leanas a sholáthar tráth an iarratais a dhéanamh:

(a) An dámhachtain bhunaidh, fíordheimhnithe go cuí, nó cóip den dámhachtain sin, deimhnithe go cuí;

(b) An comhaontú bunaidh dá dtagraítear in airteagal II nó cóip den chomhaontú sin, deimhnithe go cuí.

2. I gcás nach i dteanga oifigiúil de chuid na tíre ina seastar ar an dámhachtain a dhéanfar an dámhachtain nó an comhaontú sin, tabharfaidh an páirtí a mbeidh aithint agus forghníomhú na dámhachtana á iarraidh aige tiontú ar na doiciméid sin ar aird sa teanga sin. Deimhneoidh aistritheoir oifigiúil nó aistritheoir faoi bhrí mionna nó gníomhaire taidhleoireachta nó consalachta an tiontú sin.

Airteagal V

1. Ní fhéadfar diúltú an dámhachtain a aithint agus a fhorghníomhú, ar iarratas ón bpáirtí a bhfuil an dámhachtain á hagairt ina choinne, ach amháin i gcás a dtabharfaidh an páirtí sin don údarás inniúil san áit a bhfuil an aithint agus an forghníomhu á niarraidh cruthúnas:

(a) Go raibh na páirtithe sa chomhaontú dá dtagraítear in airteagal II, faoin dlí is infheidhme ina leith, faoi éagumas éigin, nó nach bhfuil an comhaontú sin bailí faoin dlí ar chuir na páirtithe faoina bhrí é nó, cheal aon treoir ina leith sin, faoi dhlí na tíre ina ndearnadh an dámhachtain; nó

(b) Nár tugadh fógra cuí don pháirtí a mbeidh an dámhachtain á hagairt ina choinne i dtaobh cheapadh an eadránaí nó i dtaobh imeachtaí na headrána nó nach raibh ar a chumas ar shlí eile a chás a thabhairt i láthair; nó

(c) Go ndéileálann an dámhachtain le heasaontas nach raibh i gceist i dtéarmaí an chur chun eadrána, nó go bhfuil cinntí inti ar ábhair nach sroicheann an cur chun eadrána chucu, ar choinníoll, más féidir na cinntí ar ábhair a cuireadh faoi eadráin a scaradh ó na cinntí sin nár cuireadh faoi eadráin amhlaidh, go bhféadfar an chuid sin den dámhachtain ina bhfuil cinntí ar ábhair a cuireadh chun eadrána a aithint agus a fhorghníomhú; nó

(d) Nach raibh comhdhéanamh an údaráis eadrána nó an nós imeachta eadrána de réir chomhaontú na bpáirtithe, nó, cheal chomhaontú den sórt sin, de réir dhlí na tíre inar tharla an eadráin; nó

(e) Nach bhfuil an dámhachtain tagtha chun bheith ina ceangal fós ar na páirtithe, nó go bhfuil sí curtha i leataobh nó ar fionraí ag údarás inniúil de chuid na tíre ina ndearnadh an dámhachtain nó ar faoina dlí a rinneadh í.

2. Féadfar diúltú freisin dámhachtain eadrána a aithint agus a fhorghníomhú má chinneann údarás inniúil na tíre ina n-iarrtar í a aithint agus a fhorghníomhú:

(a) Nach féidir ábhar an easaontais a shocrú le headráin faoi dhlí na tíre sin; nó

(b) Go mbeadh sé contrártha do bheartas poiblí na tíre sin an dámhachtain a aithint nó a fhorghníomhú.

Airteagal VI

I gcás ina ndearnadh iarratas chun údarás inniúil dá dtagraítear in airteagal V (1) (e) á iarraidh go gcuirfí an dámhachtain i leataobh nó ar fionraí, féadfaidh an t-údarás a bhfuiltear ag iarraidh seasamh ar an dámhachtain os a chomhair, más cuí leis é, an cinneadh ar fhorghníomhú na dámhachtana a chur ar atráth agus féadfaidh sé freisin, ar iarratas ón bpáirtí atá ag éileamh an dámhachtain a fhorghníomhú, a ordú don pháirtí eile urrús oiriúnach a thabhairt.

Airteagal VII

1. Ní dhéanfaidh forálacha an Choinbhinsiúin láithrigh difear do bhailíocht chomhaontuithe iltaobhacha nó déthaobhacha i dtaobh aithint agus forghníomhú dámhachtana eadrána a rinne na Stáit Chonarthacha ná ní cheilfidh siad ar aon pháirtí leasmhar aon cheart a bheidh aige leas a bhaint as dámhachtain eadrána sa tslí agus a mhéid a cheadaítear le dlí nó le conarthaí na tíre ina n-iarrfar seasamh ar an dámhachtain sin.

2. Scoirfidh Prótacal 1923 na Ginéive um Chlásail Eadrána agus Coinbhinsiún 1927 na Ginéive um Dhámhachtanna Eadrána Coigríche a Chur i bhFeidhm d'éifeacht a bheith leo idir Stáit Chonarthacha ar iad do theacht faoi cheangal, agus a mhéid a thiocfaidh siad faoi cheangal, ag an gCoinbhinsiún seo.

Airteagal VIII

1. Beidh an Coinbhinsiún seo ar oscailt go dtí an 31 Nollaig 1958 chun a shínithe thar ceann aon Chomhalta de na Náisiúin Aontaithe agus freisin thar ceann aon Stát eile atá nó a bheidh dá éis seo ina chomhalta d'aon sainghníomhaireacht de chuid na Náisiún Aontaithe, nó atá nó a bheidh dá éis seo ina pháirtí i Reacht na Cúirte Breithiúnais Idirnáisiúnta, nó aon Stát eile chun ar díríodh cuireadh ó Chomhthionól Ginearálta na Náisiún Aontaithe.

2. Daingneofar an Coinbhinsiún seo agus taiscfear an ionstraim dhaingniúcháin le hArd-Rúnaí na Náisiún Aontaithe.

Airteagal IX

1. Beidh an Coinbhinsiún seo ar oscailt chun aontachais ag gach Stát dá dtagraítear in airteagal VIII.

2. Déanfar aontachas trí ionstraim aontachais a thaisceadh le hArd-Rúnaí na Náisiún Aontaithe.

Airteagal X

1. Féadfaidh aon Stát a dhearbhú, nuair a bheidh sé ag síniú nó ag daingniú an Choinbhinsiúin seo nó ag aontú dó, go sroichfidh an Coinbhinsiún chuig gach críoch nó chuig aon chríoch a bhfuil sí freagrach as a caidreamh idirnáisiunta. Glacfaidh dearbhú den sórt sin éifeacht nuair a thiocfaidh an Coinbhinsiún i bhfeidhm maidir leis an Stát lena mbaineann.

2. Déanfar aon sroicheadh den sórt sin tráth ar bith dá éis sin trí fhógra a sheolfar chuig Ard-Rúnaí na Náisiún Aontaithe agus glacfaidh sé éifeacht amhail ón nóchadú lá tar éis an lae ar a bhfaighidh Ard-Rúnaí na Náisiún Aontaithe an fógra sin, nó amhail ón dáta a thiocfaidh an Coinbhinsiún i bhfeidhm maidir leis an Stát lena mbaineann, cibé dáta díobh is déanaí.

3. Maidir leis na críocha sin nach sroichfidh an Coinbhinsiún seo chucu nuair a bheifear á shíniú nó ag dhaingniú nó ag aontú dó, breithneoidh gach Stát lena mbaineann an bhféadfar na bearta is gá a dhéanamh chun go sroichfeadh feidhm an Choinbhinsiúin seo chuig na críocha sin, ach sin ar an gcoinníoll, más gá sin ar chúiseanna bunreachtúla, go dtoileoidh Rialtais na gcríoch sin leis sin.

Airteagal XI

I gcás Stáit chónaidhme nó Stáit neamhaonadaigh, beidh feidhm ag na forálacha seo a leanas:

(a) Maidir leis na hairteagail sin den Choinbhinsiún seo a thagann faoi réim dhlínse reachtaíochta an údaráis chónaidhme, is iad na hoibleagáidí céanna a bheidh ar an Rialtas cónaidhme ina leith sin is atá ar Stáit Chonarthacha nach Stáit chónaidhme;

(b) Maidir leis na hairteagail sin den Choinbhinsiún seo a thagann faoi dhlínse reachtaíochta comhstáit nó cúigí nach bhfuil ceangal orthu, faoi chóras bunreachtúil na cónaidhme, beart reachtaíochta a dhéanamh, déanfaidh an Rialtas cónaidhme, a luaithe is féidir, na hairteagail sin mar aon le moladh fabhrach ar umhail údarás iomchuí na stát nó na gcúigí comhpháirteacha;

(c) Soláthróidh Stát cónaidhme is Páirtí sa Choinbhinsiún seo, ar aon Stát Conarthach eile iarratas chuige sin a tharchur trí Ard-Rúnaí na Náisiún Aontaithe, ráiteas ar dhlí agus ar chleachtas na cónaidhme agus a chomhaonad maidir le haon fhoráil áirithe den Choinbhinsiún seo, á thaispeáint cá mhéid atá éifeacht tugtha don fhoráil sin le beart reachtaíochta nó beart eile.

Airteagal XII

1. Tiocfaidh an Coinbhinsiún seo i bhfeidhm ar an nóchadú lá tar éis an dáta a thaiscfear an tríú hionstraim dhaingniúcháin nó aontachais.

2. Maidir le gach Stát a bheidh ag daingniú an Choinbhinsiúin seo nó ag aontú dó, tar éis an tríú hionstraim dhaingniúcháin nó aontachais a thaisceadh, tiocfaidh an Coinbhinsiún seo i bhfeidhm ar an nóchadú lá tar éis don Stát sin a ionstraim dhaingniúcháin nó aontachais a thaisceadh.

Airteagal XIII

1. Féadfaidh aon Stát Conarthach an Coinbhinsiún seo a shéanadh trí fhógra i scríbhinn a thabhairt d'Ard-Rúnaí na Náisiún Aontaithe. Glacfaidh an séanadh éifeacht bliain tar éis don Ard-Rúnaí an fógra a fháil.

2. Féadfaidh aon Stát a mbeidh dearbhú déanta aige nó fógra tugtha aige faoi airteagal X, trí fhógra a thabhairt d'Ard-Rúnaí na Náisiún Aontaithe, a dhearbhú aon tráth dá éis sin go scoirfidh an Coinbhinsiún seo de bheith ag sroicheadh chuig an gcríoch lena mbaineann i gceann bliana tar éis an dáta a gheobhaidh an tArd-Rúnaí an fógra.

3. Leanfaidh an Coinbhinsiún seo de bheith infheidhmithe maidir le dámhachtaintí eadrána ar tionscnaíodh imeachtaí aithinte nó forghníomhaithe ina leith roimh theacht in éifeacht don séanadh.

Airteagal XIV

Ní bheidh Stát Conarthach i dteideal leas a bhaint as an gCoinbhinsiún seo in aghaidh Stáit Chonarthacha eile ach amháin a mhéid a bheidh ceangal air féin an Coinbhinsiún a chur chun feidhme.

Airteagal XV

Cuirfidh Ard-Rúnaí na Náisiún Aontaithe na nithe seo a leanas in iúl do na Stáit atá i gceist in airteagal VIII:

(a) Sínithe agus daingnithe de réir airteagal VIII;

(b) Aontachais de réir airteagal IX;

(c) Dearbhuithe agus fógraí faoi airteagail I, X agus XI;

(d) An dáta a thiocfaidh an Coinbhinsiún seo i bhfeidhm de réir airteagal XII;

(e) Séantaí agus fógraí de réir airteagal XIII.

Airteagal XVI

1. Déanfar an Coinbhinsiún seo, a mbeidh comhúdarás ag na téacsanna de sa tSínis, sa Bhéarla, sa Fhraincis, sa Rúisis agus sa Spáinnis, a thaisceadh i gcartlann na Náisiún Aontaithe.

2. Cuirfidh Ard-Rúnaí na Náisiún Aontaithe cóip dheimhnithe den Choinbhinsiún seo chuig na Stáit atá i gceist in airteagal VIII.

CAIBIDIL I

An Lárionad Idirnáisiúnta chun Díospoidí Infheistíochta a Shocrú

Roinn 1

Bunú agus Eagrú

Airteagal 1

(1) Bunaítear leis seo an Lárionad Idirnáisiúnta chun Díospóidí Infheistíochta a Shocrú (dá ngairtear an Lárionad anseo feasta).

(2) Is é is cuspóir don Lárionad saoráidí a chur ar fáil chun díospóidí infheistíochta idir Stáit Chonarthacha agus náisiúnaigh Stát Conarthach eile a chur chun chomhréitigh agus chun eadrána de réir fhorálacha an Choinbhinsiúin seo.

Airteagal 2

I bpríomhóifig an Bhainc Idirnáisiúnta le haghaidh Athinmhithe agus Forbairte (dá ngairtear an Banc anseo feasta) a bheidh suíomh an Lárionaid. Féadfar an suíomh a aistriú go dtí áit eile le cinneadh ón gComhairle Riaracháin a nglacfar leis le tromlach dhá thrian dá chomhaltaí.

Airteagal 3

Beidh Comhairle Riaracháin agus Rúnaíocht ag an Lárionad agus cothabhálfaidh sé Rolla Comhréiteoirí agus Rolla Eadránaithe.

Roinn 2

An Chomhairle Riaracháin

Airteagal 4

(1) Ionadaí amháin ó gach Stát Conarthach a bheidh ar an gComhairle Riaracháin. Féadfaidh malartach gníomhú mar ionadaí i gcás a phríomhaí a bheith as láthair ó chruinniú nó i gcás nach mbeidh ar a chumas gníomhú.

(2) Cheal ainmniú dá mhalairt, beidh gach rialtóir agus gach rialtóir malartach de chuid an Bhainc a cheapfaidh Stát Conarthach ina ionadaí agus ina mhalartach faoi seach dó, ex officio.

Airteagal 5

Beidh Uachtarán an Bhainc ina Chathaoirleach ex officio ar an gComhairle Riaracháin (dá ngairtear an Cathaoirleach anseo feasta) ach ní bheidh aon vóta aige. Má bhíonn sé as láthair nó mura mbeidh ar a chumas gníomhú agus le linn aon fholúntas a bheith in oifig Uachtarán an Bhainc, is é an duine a bheidh ag gníomhú de thuras na huaire mar Uachtarán a ghníomhóidh mar Chathaoirleach ar an gComhairle Riaracháin.

Airteagal 6

(1) Gan dochar do na cumhachtaí agus na feidhmeanna a dhílsítear di le forálacha eile an Choinbhinsiúin seo, gníomhóidh an Chomhairle Riaracháin mar a leanas

(a) glacfaidh sí le rialacháin riaracháin agus airgeadais an Lárionaid;

(b) glacfaidh sí leis na rialacha nós imeachta chun imeachtaí comhréitigh agus eadrána a thionscnamh;

(c) glacfaidh sí leis na rialacha nós imeachta le haghaidh imeachtaí comhréitigh agus eadrána (dá ngairtear na Rialacha Comhréitigh agus na Rialacha Eadrána anseo feasta);

(d) ceadóidh sí comhshocraíochtaí leis an mBanc chun saoráidí agus seirbhísí riaracháin an Bhainc a úsáid;

(e) cinnfidh sí coinníollacha seirbhíse an Ard-Rúnaí agus aon Leas-Ard-Rúnaí;

(f) glacfaidh sí leis an mbuiséad bliantúil ar fháltais agus caiteachais an Lárionaid;

(g) ceadóidh sí an tuarascáil bhliantúil ar oibriú an Lárionaid.

Glacfar leis na cinntí dá dtagraítear i bhfomhíreanna (a), (b), (c) agus (f) thuas le tromlach dhá thrian de chomhaltaí na Comhairle Riaracháin.

(2) Féadfaidh an Chomhairle Riaracháin cibé coistí a mheasfaidh sí is gá a cheapadh.

(3) Feidhmeoidh an Chomhairle Riaracháin freisin cibé cumhachtaí eile agus comhlíonfaidh sí cibé feidhmeanna eile a chinnfidh sí is gá chun forálacha an Choinbhinsiúin seo a fhorghníomhú.

Airteagal 7

(1) Tionólfaidh an Chomhairle Riaracháin cruinniú bliantúil agus cibé cruinnithe eile a chinnfidh an Chomhairle, nó a chomórfaidh an Cathaoirleach, nó a chomórfaidh an tArd-Rúnaí ar iarratas ó chúigear comhaltaí ar a laghad den Chomhairle.

(2) Beidh vóta amháin ag gach comhalta den Chomhairle Riaracháin agus, ach amháin mar a fhoráiltear a mhalairt anseo istigh, is trí thromlach na vótaí a caitheadh a chinnfear gach ábhar a bheidh faoi bhráid na Comhairle.

(3) Is é is córam d'aon chruinniú den Chomhairle Riaracháin tromlach a comhaltaí.

(4) Féadfaidh an Chomhairle Riaracháin, le tromlach dhá thrian dá comhaltaí, nós imeachta a bhunú faoina bhféadfaidh an Cathaoirleach vóta den Chomhairle a lorg gan cruinniú den Chomhairle a chomóradh. Ní mheasfar an vóta a bheith bailí mura gcaithfidh tromlach chomhaltaí na Comhairle a vótaí laistigh den teorainn ama a bheidh socraithe leis an nós imeachta sin.

Airteagal 8

Fónfaidh comhaltaí na Comhairle Riaracháin agus an Cathaoirleach gan luach saothair ón Lárionad.

Roinn 3

An Rúnaíocht

Airteagal 9

Is iad a bheidh sa Rúnaíocht Ard-Rúnaí, Leas-Ard-Rúnaí amháin nó níos mó agus foireann.

Airteagal 10

(1) Toghfaidh an Chomhairle Riaracháin an tArd-Rúnaí agus aon Leas-Ard-Rúnaí le tromlach dhá thrian dá comhaltaí ar ainmniú an Chathaoirligh go ceann téarma seirbhíse nach faide ná sé bliana agus féadfar iad a atoghadh. Tar éis comhairle a ghlacadh le comhaltaí na Comhairle Riaracháin molfaidh an Cathaoirleach iarrthóir amháin nó níos mó do gach oifig díobh.

(2) Beidh oifigí an Ard-Rúnaí agus an Leas-Ard-Rúnaí ar neamhréir le haon fheidhm pholaitiúil a chomhlíonadh. Ní bheidh cead ag an Ard-Rúnaí ná ag aon Leas-Ard-Rúnaí aon fhostaíocht eile a bheith acu ná aon ghairm eile a chleachtadh gan ceadú na Comhairle Riaracháin.

(3) Má bhíonn an tArd-Rúnaí as láthair nó mura mbeidh ar a chumas gníomhú, agus le linn d'oifig an Ard-Rúnaí a bheith folamh, gníomhóidh an Leas-Ard-Rúnaí mar Ard-Rúnaí. Má bhíonn níos mó ná Leas-Ard-Rúnaí amháin ann, cinnfidh an Chomhairle Riaracháin roimh ré an t-ord ina ngníomhóidh siad mar Ard-Rúnaí.

Airteagal 11

Is é an tArd-Rúnaí ionadaí dlíthiúil agus príomh-oifigeach an Lárionaid agus beidh sé freagrach as a riarachán, lena n-áirítear foireann a cheapadh, de réir fhorálacha an Choinbhinsiúin seo agus na rialacha a bheidh glactha ag an gComhairle Riaracháin. comhlíonfaidh sé feidhm cláraitheora agus beidh de chumhacht aige dámhachtaintí eadrána a rinneadh de bhun an Choinbhinsiúin seo a fhíordheimhniú, agus cóipeanna díobh a dheimhniú.

Na Rollaí

Airteagal 12

Is iad a bheidh ar an Rolla Comhréiteoirí agus ar an Rolla Eadránaithe daoine cáilithe, arna n-ainmniú mar a fhoráiltear anseo ina dhiadh seo, a bheidh toilteanach fónamh ar na Rollaí sin.

Airteagal 13

(1) Féadfaidh gach Stát Conarthach ceathrar a ainmniú do gach Rolla agus féadfaidh sé gur náisiúnaigh dá chuid iad ach ní gá gurb ea.

(2) Féadfaidh an Cathaoirleach deichniúr a ainmniú do gach Rolla. Beidh náisiúntacht éagsúil ag gach duine díobh sin a ainmneofar amhlaidh do Rolla.

Airteagal 14

(1) Daoine a ainmneofar chun fónamh ar na Rollaí is daoine iad a mbeidh ard-tréithiúlacht mhorálta ag baint leo agus inniúlacht aitheanta acu i réimsí dlí, tráchtála, tionscail nó airgeadais, agus a bhféadfar bheith ag brath orthu breithiúnas a fheidhmiú go neamhspleách. Beidh tábhacht ar leith le hinniúlacht i réimse an dlí i gcás daoine ar an Rolla Eadránaithe.

(2) Nuair a bheidh an Cathaoirleach ag ainmniú daoine chun fónamh ar na Rollaí, tabharfaidh sé aird chuí ina theannta sin ar a thábhachtaí atá sé a áirithiú go mbeidh ionadaíocht ar na Rollaí ag príomh-chórais dlí an domhain agus ag na príomh-chineálacha gníomhaíochtaí geilleagair.

Airteagal 15

(1) Fónfaidh comhaltaí Rolla go ceann tréimhsí inathnuaite sé bliana.

(2) I gcás comhalta de Rolla d'fháil bháis nó d'éirí as, beidh de cheart ag an údarás a d'ainmnigh an comhalta duine eile a ainmniú chun fónamh ar feadh na coda eile de théarma an chomhalta sin.

(3) Fanfaidh comhaltaí Rolla in oifig go dtí go n-ainmneofar a gcomharbaí.

Airteagal 16

(1) Féadfaidh duine fónamh ar an dá Rolla.

(2) Má bhíonn duine ainmnithe chun fónamh ar an Rolla céanna ag breis agus Stát Conarthach amháin, nó ag Stát Conarthach amháin nó níos mó agus ag an gCathaoirleach, measfar é a bheith ainmnithe ag an údarás is túisce a d'ainmnigh é nó, más é an Stát dar náisiúnach é an t-údarás sin, ag an Stát sin.

(3) Tabharfar fógra faoi na hainmniúcháin go léir don Ard-Rúnaí agus tiocfaidh siad in éifeacht amhail ón dáta ar a bhfaighfear an fógra.

Roinn 5

An Lárionad a Mhaoiniú

Airteagal 17

Mura féidir caiteachas an Lárionaid a ghlanadh as na táillí chun a shaoráidí a úsáid, ná as fáltais eile, beidh an farasbarr le híoc ag Stáit Chonarthacha is comhaltaí den Bhanc i gcomhréir lena suibscríbhinní faoi seach i leith stoc caipitil an Bhainc, agus ag Stáit Chonarthacha nach comhaltaí den Bhanc de réir rialacha a mbeidh glactha leo ag an gComhairle Riaracháin.

Roinn 6

Stádas, Díolúintí agus Pribhléidí

Airteagal 18

Beidh pearsantacht iomlán dlítheanach idirnáisiúnta ag an Lárionad. Áireofar ar inniúlacht dhlítheanach an Lárionaid an inniúlacht

(a) chun conradh a dhéanamh;

(b) chun maoin dhochorraithe agus maoin shochorraithe a fháil agus a dhiúscairt;

(c) chun imeachtaí dlí a thionscnamh.

Airteagal 19

Ionas go mbeidh ar chumas an Lárionaid a fheidhmeanna a chomhlíonadh, beidh aige, i gcríocha gach Stáit Chonarthaigh, na díolúintí agus na pribhléidí atá leagtha amach sa Roinn seo.

Airteagal 20

Beidh ag an Lárionad, agus ag a mhaoin agus ag a shócmhainní, díolúine ó gach uile phróis dlí, ach amháin i gcás a dtarscaoilfidh an Lárionad an díolúine sin.

Airteagal 21

Maidir le Cathaoirleach, comhaltaí na Comhairle Riaracháin, daoine ag gníomhú mar chomhréiteorí nó mar eadránaithe nó comhaltaí de Choiste a cheapfar de bhun mhír (3) d'Airteagal 52, agus oifigigh agus fostaithe na Rúnaíochta,

(a) beidh díolúine acu ó phróis dlí maidir le gníomhartha a rinne siad ag comhlíonadh a bhfeidhmeanna, ach amháin i gcás a dtarscaoilfidh an Lárionad an díolúine sin;

(b) beidh acu, i gcás nach náisiúnaigh áitiúla iad, na díolúintí céanna ó shriantachtaí inimirce, ó cheanglais chláraitheachta eachtrannach agus ó oibleagáidí seirbhíse náisiúnta, agus beidh na saoráidí céanna acu maidir le sriantachtaí iomlaoide agus tabharfar an chóir chéanna dóibh maidir le saoráidí taistil, a thugann Stáit Chonarthacha d'ionadaithe, d'oifigigh agus d'fhostaithe comhchéime de chuid Stát Conarthach eile.

Airteagal 22

Bainfidh forálacha Airteagal 21 le daoine a bheidh ag láithriú in imeachtaí faoin gCoinbhinsiún seo mar pháirtithe, mar ghníomhairí, mar chonsailéirí, mar abhcóidí, mar fhinnéithe nó mar shaineolaithe; ar choinníoll, áfach, nach mbeidh feidhm ag fomhír (b) den Airteagal sin ach amháin i ndáil lena dtaisteal go dtí an áit agus ón áit ina mbeidh na himeachtaí ar siúl agus i ndáil lena seal fanachta san áit sin.

Airteagal 23

(1) Beidh cartlann an Lárionaid dosháraithe, cibé áit a mbeidh sí.

(2) Maidir lena chumarsáidí oifigiúla, tabharfaidh gach Ballstát cóir don Lárionad nach lú fabhar ná an chóir a thugtar d'eagraíochtaí idirnáisiúnta eile.

Airteagal 24

(1) Beidh an Lárionad, a shócmhainní, a mhaoin agus a ioncam, mar aon leis na hoibríochtaí agus na hidirbhearta dá chuid a údaraítear leis an gCoinbhinsiún seo, saor ó gach uile chánachas agus dleacht custam. Beidh an Lárionad saor freisin ó dhliteanas i leith aon chánacha nó dleachtanna custam a bhailiú nó a íoc.

(2) Ach amháin i gcás náisiúnaigh áitiúla, ní thoibheofar aon cháin ar liúntais chaiteachais, nó i leith liúntais chaiteachais, a íocfaidh an Lárionad le Cathaoirleach nó le comhaltaí na Comhairle Riaracháin, ná ar thuarastail, liúntais chaiteachais nó díolaíochtaí eile, nó i leith tuarastail, liúntais chaiteachais nó díolaíochtaí eile a íocfaidh an Lárionad le hoifigí nó fostaithe de chuid na Rúnaíochta.

(3) Ní thoibheofar aon cháin ar tháillí nó liúntais chaiteachais, nó i leith táillí nó liúntais chaiteachais, a gheobhaidh daoine a bheidh ag gníomhú mar chomhréiteoirí, nó mar eadránaithe, nó mar chomhaltaí de Choiste a cheapfar de bhun mhír (3) d'Airteagal 52, in imeachtaí faoin gCoinbhinsiún seo más é is aonbhonn dlínse don cháin sin suíomh an Lárionaid nó an áit ina seoltar na himeachtaí sin nó an áit ina n-íoctar na táillí nó na liúntais sin.

CAIBIDIL II

Dlínse an Lárionaid

Airteagal 25

(1) Sroichfidh dlínse an Lárionaid chuig aon díospóid dhlíthiúil a eascróidh go díreach ó infheistíocht, idir Stát Conarthach (nó aon fhoroinn nó gníomhaireacht chomhpháirteach de chuid Stáit Chonarthaigh a bheidh ainmnithe chun an Lárionaid ag an Stát sin) agus náisiúnach de chuid Stáit Chonarthaigh eile, a dtoileoidh na páirtithe sa díospóid i scríbhinn í a chur faoi bhráid an Lárionaid. Nuair a bheidh a dtoiliú tugtha ag na páirtithe, ní fhéadfaidh aon pháirtí a thoiliú a tharraingt siar go haontaobhach.

(2) Ciallaíonn “náisiúnach de chuid Stáit Chonarthaigh eile”:

(a) aon duine nádúrtha ag a raibh náisiúntacht de chuid Stáit Chonarthaigh seachas an Stát ba pháirtí sa díospóid ar an dáta ar ar thoiligh na páirtithe an díospóid sin a chur chun comhréitigh nó chun eadrána agus ina theannta sin ar an dáta ar ar cláraíodh an iarraidh de bhun mhír (3) d'Aitreagal 28 nó mhír (3) d'airteagal 36, ach ní fholaíonn sé aon duine ag a raibh freisin, ar cheachtar dáta díobh sin, náisiúntacht de chuid an Stáit Chonarthaigh ba pháirtí sa díospóid; agus

(b) aon phearsa dhlítheanach ag a raibh náisiúntacht de chuid Stáit Chonarthaigh seachas an Stát ba pháirtí sa díospóid ar an dáta ar ar thoiligh na páirtithe an díospóid sin a chur chun comhréitigh nó chun eadrána agus aon phearsa dhlítheanach ag a raibh náisiúntacht an Stáit Chonarthaigh ba pháirtí sa díospóid ar an dáta sin agus ar thoiligh na páirtithe, mar gheall ar rialú coigríche, an phearsa sin a áireamh mar náisiúnach de chuid Stáit Chonarthaigh eile chun críocha an Choinbhinsiúin seo.

(3) Is gá formheas ó Stát Conarthach a bheith le toiliú ó fhoroinn nó ó ghníomhaireacht chomhpháirteach de chuid an Stáit sin mura dtabharfaidh an Stát sin fógra don Lárionad nach gá aon fhormheas den sórt sin.

(4) Féadfaidh aon Stát Conarthach, nuair a bheifear ag daingniú an Choinbhinsiúin seo nó á ghlacadh nó á fhormheas, nó aon tráth dá éis sin, fógra a thabhairt don Lárionad i dtaobh na haicme nó na n-aicmí díospóidí a mheasfaidh sé a chur nó gan a chur faoi dhlínse an Lárionaid. Cuirfidh an tArd-Rúnaí an fógra sin láithreach chuig gach Stát Conarthach. Ní hé an toiliú a cheanglaítear le mír (1) an fógra sin.

Airteagal 26

Measfar, mura ndéarfar a mhalairt, gurb éard é toiliú na bpáirtithe le headráin faoin gCoinbhinsiún seo toiliú le headráin den sórt sin d'eisiamh aon leighis eile. Féadfaidh Stát Conarthach a éileamh go ndéanfar leigheasanna áitiúla riaracháin nó breithiúnacha a spíonadh mar choinníoll lena thoiliú le headráin faoin gCoinbhinsiún seo.

Airteagal 27

(1) Ní thabharfaidh aon Stát Conarthach cosaint thaidhleoireachta, ná ní dhéanfaidh sé éileamh idirnáisiúnta, maidir le díospóid a mbeidh toilithe ag duine dá náisiúnaigh agus ag Stát Conarthach eile í a chur chun eadrána, nó a bheidh curtha chun eadrána acu, faoin gCoinbhinsiún seo, mura mbeidh mainnithe ag an Stát Conarthach eile sin cloí leis an dámhachtain a rinneadh sa díospóid sin agus í a chomhlíonadh.

(2) Chun críocha mhír (1), ní fholóidh cosaint thaidhleoireachta cumarsáidí taidhleoireachta a mhalartófar go neamhfhoirmiúil d'aon toisc chun gurbh fhusaide an díospóid a shocrú.

CAIBIDIL III

Comhréiteach

Roinn 1

Comhréiteach a Iarraidh

Airteagal 28

(1) Déanfaidh aon Stát Conarthach nó aon náisiúnach de chuid Stáit Chonarthaigh ar mian leis imeachtaí comhréitigh a thionscnamh iarraidh chun na críche sin i scríbhinn a sheoladh chuig an Ard-Rúnaí agus cuirfidh seisean cóip den iarraidh chuig an bpáirtí eile.

(2) Beidh faisnéis san iarraidh i dtaobh na saincheisteanna atá faoi dhíospóid, i dtaobh cé hiad na páirtithe agus cé acu ar thoiligh nó nár thoiligh siad dul chun comhréitigh de réir na rialacha nós imeachta chun imeachtaí comhréitigh agus eadrána a thionscnamh.

(3) Cláróidh an tArd-Rúnaí an iarraidh mura gcinnfidh sé, ar bhonn na faisnéise atá san iarraidh, gur léir go bhfuil an díospóid lasmuigh de dhlínse an Lárionaid. Cuirfidh sé in iúl láithreach do na páirtithe gur chláraigh sé an iarraidh nó gur dhiúltaigh sé í a chlárú.

Roinn 2

Comhdhéanamh an Choimisiúin Chomhréitigh

Airteagal 29

(1) Bunófar an Coimisiún Comhréitigh (dá ngairtear an Coimisiún anseo feasta) a luaithe is féidir tar éis iarraidh a chlárú de bhun Airteagal 28.

(2) (a) Aon chomhréiteoir amháin nó aon chorrlíon comhréiteoirí a cheapfar de réir mar a chomhaontóidh na páirtithe a bheidh ar an gCoimisiún.

(b) I gcás nach gcomhaontóidh na páirtithe ar líon na gcomhréiteoirí agus ar mhodh a gceaptha, triúr comhréiteoirí a bheidh ar an gCoimisiún, comhréiteoir amháin arna cheapadh ag gach páirtí ar leith agus an tríú duine, arb é a bheidh ina uachtarán ar an gCoimisiún, arna cheapadh trí chomhaontú na bpáirtithe.

Airteagal 30

I gcás nach mbeidh an Coimisiún bunaithe laistigh de 90 lá tar éis don Ard-Rúnaí fógra á rá gur cláraíodh an iarraidh a chur chun bealaigh de réir mhír (3) d'Airteagal 28, nó laistigh de cibé tréimhse eile ar a gcomhaontóidh na páirtithe, déanfaidh an Cathaoirleach, ar cheachtar páirtí á iarraidh sin agus tar éis dó comhairle a ghlacadh a mhéid is féidir leis an dá pháirtí, an comhréiteoir nó na comhréiteoirí a bheidh gan ceapadh fós a cheapadh.

Airteagal 31

(1) Féadfar dul lasmuigh den Rolla Comhréiteoirí chun comhréiteoirí a cheapadh, ach amháin i gcás ceapacháin a dhéanfaidh an Cathaoirleach de bhun Airteagal 30.

(2) Beidh ag comhréiteoirí a rachfar lasmuigh den Bhord Comhréiteoirí lena gceapadh na cáilíochtaí a luaitear i mír (1) d'Airteagal 14.

Roinn 3

Imeachtaí Comhréitigh

Airteagal 32

(1) Is é an Coimisiún is breitheamh ar a inniúlacht féin.

(2) Breithneoidh an Coimisiún aon agóid ó pháirtí sa díospóid nach bhfuil an díospóid sin laistigh de dhlínse an Lárionaid nó nach bhfuil sí, ar chúiseanna eile, laistigh d'inniúlacht an Choimisiúin, agus cinnfidh sé an ndéileálfaidh sé léi mar réamhcheist nó an n-uamfaidh sé í le tuillteanas na díospóide.

Airteagal 33

Seolfar aon imeacht comhréitigh de réir fhorálacha na Roinne seo agus, ach amháin mar a chomhaontóidh na páirtithe ar a mhalairt, seolfar é de réir na Rialacha Comhréitigh a bhí in éifeacht ar an dáta ar ar thoiligh na páirtithe dul chun comhréitigh. Má bhíonn aon cheist nós imeachta ann nach bhfuil cumhdaithe ag an Roinn seo ná ag na Rialacha Comhréitigh ná ag aon rialacha ar ar chomhaontaigh na páirtithe, cinnfidh an Coimisiún an cheist.

Airteagal 34

(1) Is é dualgas an Choimisiúin soiléiriú a dhéanamh ar na saincheisteanna atá faoi dhíospóid idir na páirtithe agus iarracht a dhéanamh iad a thabhairt ar chomhaontú ar théarmaí a mbeidh glacadh acu araon leo. Chun na críche sin, féadfaidh an Coimisiún ag aon chéim de na himeachtaí agus ó am go ham téarmaí socraíochta a mholadh do na páirtithe. Comhoibreoidh na páirtithe de mheon macánta leis an gCoimisiún chun a chur ar chumas an Choimisiúin a fheidhmeanna a chomhlíonadh agus déanfaidh siad a mholtaí a bhreithniú chomh dúthrachtach agus is féidir leo.

(2) Má thagann na páirtithe ar chomhaontú, ullmhóidh an Coimisiún tuarascáil ina gcuirfear síos na saincheisteanna sa díospóid, á thaifeadadh go bhfuil na páirtithe tagtha ar chomhaontú. Má dhealraíonn sé don Choimisiún, ag aon chéim de na himeachtaí, nach cosúil go mbeidh aon chomhaontú idir na páirtithe, cuirfidh sé an clabhsúr ar na himeachtaí agus ullmhóidh sé tuarascáil ina gcuirfear síos gur cuireadh an díospóid faoina bhráid, á thaifeadadh nár éirigh leis na páirtithe teacht ar chomhaontú. Má mhainníonn páirtí amháin láithriú nó páirt a ghlacadh sna himeachtaí, cuirfidh an Coimisiún an clabhsúr ar na himeachtaí agus ullmhóidh sé tuarascáil ina gcuirfear síos gur mhainnigh an páirtí sin láithriú nó bheith páirteach.

Airteagal 35

Ach amháin mar a chomhaontóidh na páirtithe sa díospóid ar a mhalairt, ní bheidh ceachtar páirtí in imeacht comhréitigh i dteideal in aon imeacht eile, cibé acu os comhair eadránaithe nó i gcúirt dlí nó eile, aon bharúlacha a nocht an páirtí eile sna himeachtaí comhréitigh nó aon ráitis nó admhálacha nó tairiscintí socraíochta a rinne an páirtí sin, nó an tuarascáil ón gCoimisiún nó aon mholtaí a rinne an Coimisiún, a agairt ná seasamh orthu.

CAIBIDIL IV

Eadráin

Roinn 1

Eadráin a Iarraidh

Airteagal 36

(1) Déanfaidh aon Stát Conarthach nó aon náisiúnach de chuid Stáit Chonartaigh ar mian leis imeachtaí eadrána a thionscnamh iarraidh chun na críche sin i scríbhinn a sheoladh chuig an Ard-Rúnaí agus cuirfidh seisean cóip den iarraidh chuig an bpáirtí eile.

(2) Beidh faisnéis san iarraidh i dtaobh na saincheisteanna atá faoi dhíospóid, i dtaobh cé hiad na páirtithe agus cé acu ar thoiligh nó nár thoiligh siad dul chun eadrána de réir na rialacha nós imeachta chun imeachtaí comhréitigh agus eadrána a thionscnamh.

(3) Cláróidh an tArd-Rúnaí an iarraidh mura gcinnfidh sé, ar bhonn na faisnéise atá san iarraidh, gur léir go bhfuil an díospóid lasmuigh de dhlínse an Lárionaid. Cuirfidh sé in iúl láithreach do na páirtithe gur chláraigh sé an iarraidh nó gur dhiúltaigh sé í a chlárú.

Roinn 2

Comhdhéanamh an Bhinse

Airteagal 37

(1) Bunófar an Binse Eadrána (dá ngairtear an Binse anseo feasta) a luaithe is féidir tar éis iarraidh a chlárú de bhun Airteagal 36.

(2) (a) Aon eadránaí amháin nó aon chorrlíon eadránaithe a cheapfar de réir mar a chomhaontóidh na páirtithe a bheidh ar an mBinse.

(b) I gcás nach gcomhaontóidh na páirtithe ar líon na n-eadránaithe agus ar mhodh a gceaptha, triúr eadránaithe a bheidh ar an mBinse, eadránaí amháin arna cheapadh ag gach páirtí ar leith agus an tríú duine, arb é a bheidh ina uachtarán ar an mBinse, arna cheapadh trí chomhaontú na bpáirtithe.

Airteagal 38

I gcás nach mbeidh an Binse bunaithe laistigh de 90 lá tar éis don Ard-Rúnaí fógra á rá gur cláraíodh an iarraidh a chur chun bealaigh de réir mhír (3) d'Airteagal 36, nó laistigh de cibé tréimhse eile ar a gcomhaontóidh na páirtithe, déanfaidh an Cathaoirleach, ar cheachtar páirtí á iarraidh sin agus tar éis dó comhairle a ghlacadh a mhéid is féidir leis an dá pháirtí, an t-eadránaí nó na headránaithe a bheidh gan ceapadh fós a cheapadh. Ní náisiúnaigh de chuid an Stáit Chonarthaigh is páirtí sa díospóid ná de chuid an Stáit Chonarthaigh ar páirtí sa díospóid a náisiúnach na headránaithe a cheapfaidh an Cathaoirleach de bhun an Airteagail seo.

Airteagal 39

Is náisiúnaigh de chuid Stát seachas an Stát Conarthach is páirtí sa díospóid agus an Stát Conarthach ar náisiúnach dá chuid an páirtí sa díospóid a bheidh i dtromlach na n-eadránaithe; ar choinníoll, áfach, nach mbeidh feidhm ag na forálacha sin roimhe seo den Airteagal seo más trí chomhaontú na bpáirtithe a ceapadh an t-eadránaí aonair nó gach comhalta aonair den Bhinse.

Airteagal 40

(1) Féadfar dul lasmuigh den Rolla Eadránaithe chun eadránaithe a cheapadh, ach amháin i gcás ceapacháin a dhéanfaidh an Cathaoirleach de bhun Airteagal 38.

(2) Beidh ag eadránaithe a rachfar lasmuigh den Bhord Eadránaithe lena gceapadh na cáilíochtaí a luaitear i mír (1) d'Airteagal 14.

Roinn 3

Cumhachtaí agus Feidhmeanna an Bhinse

Airteagal 41

(1) Is é an Binse is breitheamh ar a inniúlacht féin.

(2) Breithneoidh an Binse aon agóid ó pháirtí sa díospóid nach bhfuil an díospóid sin laistigh de dhlínse an Lárionaid, nó nach bhfuil sí, ar chúiseanna eile, laistigh d'inniúlacht an Bhinse, agus cinnfidh sé an ndéileálfaidh sé léi mar réamhcheist nó an n-uamfaidh sé í le tuillteanas na díospóide.

Airteagal 42

(1) Cinnfidh an Binse díospóid de réir cibé rialacha dlí ar a gcomhaontóidh na páirtithe. Cheal comhaontú den sórt sin, feidhmeoidh an Binse dlí an Stáit Chonarthaigh is páirtí sa díospóid (lena n-áirítear a rialacha ar easaontacht dlíthe) agus cibé rialacha dlí idirnáisiúnta is infheidhme.

(2) Ní cead don Bhinse cinneadh non liquet a thabhairt isteach ar fhoras tosta nó doiléire dlí.

(3) Ní dhéanfaidh forálacha mhíreanna (1) agus (2) dochar do chumhacht an Bhinse díospóid a chinneadh ex aequo et bono má chomhaontaíonn na páirtithe leis sin.

Airteagal 43

Ach amháin mar a chomhaontóidh na páirtithe ar a mhalairt, féadfaidh an Binse, má mheasann sé gur gá sin ag aon chéim de na himeachtaí,

(a) a iarraidh ar na páirtithe doiciméid nó fianaise eile a thabhairt ar aird, agus

(b) cuairt a thabhairt ar an láthair a bhaineann leis an díospóid, agus cibé fiosruithe is iomchuí leis a dhéanamh ansin.

Airteagal 44

Seolfar aon imeacht eadrána de réir fhorálacha na Roinne seo agus, ach amháin mar a chomhaontóidh na páirtithe ar a mhalairt, seolfar é de réir na Rialacha Eadrána a bhí in éifeacht ar an dáta ar ar thoiligh na páirtithe dul chun eadrána. Má bhíonn aon cheist nós imeachta ann nach bhfuil cumhdaithe ag an Roinn seo ná ag na Rialacha Eadrána ná ag aon rialacha ar ar chomhaontaigh na páirtithe, cinnfidh an Binse an cheist.

Airteagal 45

(1) Má mhainníonn páirtí láithriú nó a chás a chur ar aghaidh ní mheasfar as sin go bhfuil dearbhuithe an pháirtí eile á n-admháil.

(2) Má mhainníonn páirtí láithriú nó a chás a chur ar aghaidh ag aon chéim de na himeachtaí féadfaidh an páirtí eile a iarraidh ar an mBinse déileáil leis na ceisteanna a cuireadh faoina bhráid agus dámhachtain a dhéanamh. Sula ndéanfaidh an Binse dámhachtain, tabharfaidh sé fógra, agus lamhálfaidh sé tréimhse bhreise, don pháirtí a mhainnigh láithriú nó a chás a chur ar aghaidh, mura deimhin leis an mBinse nach bhfuil ar intinn ag an bpáirtí sin déanamh amhlaidh.

Airteagal 46

Ach amháin mar a chomhaontóidh na páirtithe ar a mhalairt, cinnfidh an Binse, má iarrann páirtí air é aon éilimh nó frithéilimh theagmhasacha nó bhreise a eascróidh díreach ó ábhar na díospóide ar choinníoll go mbeidh siad laistigh de réim tola na bpáirtithe agus laistigh de dhlínse an Lárionaid thairis sin.

Airteagal 47

Ach amháin mar a chomhaontóidh na páirtithe ar a mhalairt, féadfaidh an Binse, má mheasann sé gur gá sin sna himthosca, aon bhearta sealadacha a mholadh a ba cheart a dhéanamh chun cearta cheachtar páirtí, faoi seach, a chaomhnú.

Roinn 4

An Dámhachtain

Airteagal 48

(1) Cinnfidh an Binse ceisteanna le tromlach vótaí a chomhaltaí go léir.

(2) Is i scríbhinn a bheidh dámhachtain an Bhinse agus déanfaidh comhaltaí an Bhinse a vótáil ar a son í a shíniú.

(3) Déileálfaidh an dámhachtain le gach ceist a cuireadh faoi bhráid an Bhinse, agus luafaidh sí na cúiseanna is bun léi.

(4) Féadfaidh aon chomhalta den Bhinse a thuairim féin, cibé acu atá sé ag easaontú leis an tromlach nó nach bhfuil, nó ráiteas á chur in iúl go bhfuil sé ag easaontú, a chur ag gabháil leis an dámhachtain.

(5) Ní fhoilseoidh an Lárionad an dámhachtain gan toiliú ó na páirtithe.

Airteagal 49

(1) Cuirfidh an tArd-Rúnaí cóipeanna deimhnithe den dámhachtain ar aghaidh go tráthúil chuig na páirtithe. Measfar go ndearnadh an dámhachtain ar an dáta ar ar cuireadh na cóipeanna deimhnithe ar aghaidh.

(2) Féadfaidh an Binse, má iarrann páirtí air é laistigh de 45 lá i ndiaidh an dáta ar a ndearnadh an dámhachtain, agus tar éis fógra a thabhairt don pháirtí eile, aon cheist a chinneadh a d'fhág sé gan cinneadh sa dámhachtain, agus ceartóidh sé aon earráid chléireachais, uimhríochta nó eile sa dámhachtain. Beidh a chinneadh ina chuid den dámhachtain agus cuirfear i bhfios do na páirtithe é ar an modh céanna leis an dámhachtain. Rithfidh na tréimhsí ama dá bhforáiltear faoi mhír (2) d'Airteagal 51 agus faoi mhír (2) d'Airteagal 52 ón dáta ar a ndearnadh an cinneadh.

Roinn 5

An Dámhachtain a Léiriú, a Athbhreithniú agus a Chealú

Airteagal 50

(1) Má bhíonn aon díospóid idir na páirtithe i dtaobh míniú nó réim dámhachtana, féadfaidh aon pháirtí a iarraidh go léireofaí an dámhachtain trí iarratas i scríbhinn a sheoladh chuig an Ard-Rúnaí.

(2) Cuirfear an iarraidh, más féidir, faoi bhráid an Bhinse a rinne an dámhachtain. Mura féidir sin a dhéanamh, bunófar Binse nua de réir Roinn 2 den Chaibidil seo, Féadfaidh an Binse, má mheasann sé gur gá sin sna himthosca, forghníomhú na dámhachtana a bhac fad a bheidh a chinneadh ar feitheamh.

Airteagal 51

(1) Féadfaidh ceachtar páirtí a iarraidh go ndéanfaí an dámhachtain a athbhreithniú trí iarratas i scríbhinn a sheoladh chuig an Ard-Rúnaí ar an bhforas gur fionnadh fíoras éigin de chineál a dhéanfadh difear cinntitheach don dámhachtain, ach sin ar an gcoinníoll nárbh eol an fíoras sin don Bhinse ná don iarratasóir an tráth a rinneadh an dámhachtain agus nár de dhroim faillí a tharla don iarratasóir a bheith aineolach ar an bhfíoras sin.

(2) Déanfar an t-iarratas laistigh dé 90 lá tar éis an fíoras sin a fhionnadh agus in aon chás laistigh de thrí bliana tar éis an dáta ar a ndearnadh an dámhachtain.

(3) Cuirfear an iarraidh, más féidir, faoi bhráid an Bhinse a rinne an dámhachtain. Mura féidir sin a dhéanamh, bunófar Binse nua de réir Roinn 2 den Chaibidil seo.

(4) Féadfaidh an Binse, má mheasann sé gur gá sin sna himthosca, forghníomhú na dámhachtana a bhac fad a bheidh a chinneadh ar feitheamh. Má iarrann an t-iarratasóir ina iarratas go ndéanfaí forghníomhú na dámhachtana a bhac, déanfar forghníomhú a bhac go sealadach go dtí go ndéanfaidh an Binse rialú ar an iarraidh sin.

Airteagal 52

(1) Féadfaidh ceachtar páirtí a iarraidh go ndéanfaí an dámhachtain a chealú trí iarratas i scríbhinn a sheoladh chuig an Ard-Rúnaí ar cheann amháin nó níos mó de na forais seo a leanas:

(a) nach raibh an Binse comhdhéanta go cuí;

(b) gur léir gur sháraigh an Binse a chumhachtaí;

(c) gur tharla corbadh ar thaobh comhalta den Bhinse;

(d) gur tréigeadh, ar mhodh tromchúiseach, riail bhunúsach nós imeachta; nó

(e) gur mainníodh na fáthanna ar a bhfuil an dámhachtain bunaithe a lua inti.

(2) Déanfar an t-iarratas laistigh de 120 lá tar éis an dáta ar a ndearnadh an dámhachtain ach nuair a iarrfar cealú ar fhoras corbtha déanfar an t-iarratas sin laistigh de 120 lá tar éis an corbadh a fhionnadh agus in aon chás laistigh de thrí bliana tar éis an dáta ar a ndearnadh an dámhachtain.

(3) Nuair a gheobhaidh an Cathaoirleach an iarraidh déanfaidh sé Coiste ad hoc triúir a cheapadh láithreach as líon an Rolla Eadránaithe. Ní bheidh aon duine de chomhaltai an Choiste tar éis bheith ina chomhalta den Bhinse a rinne an dámhachtain, ní bheidh an náisiúntacht chéanna aige le haon chomhalta den sórt sin, ní bheidh sé ina náisiúnach den Stát is páirtí sa díospoíd ná den Stát ar páirtí sa díospóid a náisiúnach, ní bheidh sé ainmnithe don Rolla Eadránaithe ag ceachtar de na Stáit sin, ná ní beidh sé tar éis gníomhú mar chomhréiteoir sa díospóid chéanna. Beidh d'údarás ag an gCoiste an dámhachtain nó aon chuid di a chealú ar aon cheann de na forais atá leagtha amach i mír (1).

(4) Beidh feidhm mutatis mutandis ag forálacha Airteagail 41-45, 48, 49, 53 agus 54, agus Chaibidlí VI agus VII maidir le himeachtaí os comhair an Choiste.

(5) Féadfaidh an Coiste, má mheasann sé gur gá sin sna himthosca, forghníomhú na dámhachtana a bhac fad a bheidh a chinneadh ar feitheamh. Má iarrann an t-iarratasóir ina iarratas go ndéanfaí forghníomhú na dámhachtana a bhac, déanfar an forghníomhú a bhac go sealadach go dtí go ndéanfaidh an Coiste rialú ar an iarraidh sin.

(6) Má chealaítear an dámhachtain cuirfear an díospóid, ar iarratas ó cheachtar páirtí, faoi bhráid Binse nua a bhunófar de réir Roinn 2 den Chaibidil seo.

Roinn 6

An Dámhachtain a Aithint agus a Fhorghníomhú

Airteagal 53

(1) Beidh an dámhachtain ina ceangal ar na páirtithe agus ní bheidh sí faoi réir aon achomhairc ná aon leighis eile ach amháin na cinn dá bhforáiltear sa Choinbhinsiún seo. Cloífidh gach páirtí le téarmaí na dámhachtana, agus comhlíonfaidh siad na téarmaí sin, ach amháin a mhéid a bheidh forghníomhú bactha de bhun fhorálacha iomchuí an Choinbhinsiúin seo.

(2) Chun críocha na Roinne seo folóidh “dámhachtain” aon chinneadh ag léiriú, ag athbhreithniú nó ag cealú na dámhachtana sin de bhun Airteagail 50, 51 nó 52.

Airteagal 54

(1) Tabharfaidh gach Stát Conarthach aitheantas do dhámhachtain a rinneadh de bhun an Choinbhinsiúin seo mar dhámhachtain cheangailteach agus déanfaidh sé na hoibleagáidí airgid a fhorchuireann an dámhachtain sin a fhorghníomhú laistigh dá chríocha ionann is dá mba bhreithiúnas críochnaitheach í ó chúirt sa Stát sin. Féadfaidh Stát Conarthach a bhfuil bunreacht cónaidhme aige dámhachtain den sórt sin a fhorghníomhú ina chúirteanna cónaidhme nó tríothu agus féadfaidh sé a fhoráil go ndéileálfaidh na cúirteanna sin leis an dámhachtain ionann is dá mba bhreithiúnas críochnaitheach í ó chúirteanna stáit chónaidhme.

(2) Páirtí a bhfuil aitheantas nó forghníomhú á lorg aige i gcríocha Stáit Chonarthaigh tabharfaidh sé cóip den dámhachtain agus í deimhnithe ag an Ard-Rúnaí do chúirt inniúil nó d'údarás eile a bheidh ainmnithe ag an Stát sin chun na críche sin. Tabharfaidh gach Stát Conarthach fógra don Ard-Rúnaí i dtaobh ainmniú na cúirte inniúla nó an údaráis eile chun na críche sin agus i dtaobh aon athrú a dhéanfar dá éis sin ar an ainmniú sin.

(3) Beidh forghníomhú na dámhachtana á rialú ag na dlíthe a bhaineann le forghníomhú breithiúnas a bheidh i bhfeidhm sa Stát ar ina chríocha atá an forghníomhú sin á lorg.

Airteagal 55

Ní fhorléireofar aon ní in Airteagal 54 mar ní a mhaolóidh an dlí a bheidh i bhfeidhm in aon Stát Conarthach i ndáil le díolúine an Stáit sin nó aon Stáit choigríche ó fhorghníomhú.

CAIBIDIL V

Comhréiteoirí agus Eadránaithe a Athrú agus a Dhícháiliú

Airteagal 56

(1) Tar éis Coimisiún nó Binse a bheith bunaithe agus tús a bheith curtha le himeachtaí, ní thiocfaidh aon athrú ar a chomhaltas; ar choinníoll, áfach, má fhaigheann comhréiteoir nó eadránaí bás, nó má éiríonn sé míchumasach, nó má éiríonn sé as oifig, go líonfar an folúntas a tharlóidh dá thoradh sin de réir fhorálacha Roinn 2 de Chaibidil III nó Roinn 2 de Chaibidil IV.

(2) Fanfaidh comhalta de Choimisiún nó de Bhinse ag fónamh sa cháil sin d'ainneoin go mbeidh scortha aige de bheith ina chomhalta den Rolla.

(3) Má bhíonn comhréiteoir nó eadránaí a cheap páirtí tar éis scor gan toiliú ón gCoimisiún nó ón mBinse a raibh sé ina chomhalta de, ceapfaidh an Cathaoirleach duine ón Rolla iomchuí chun an folúntas a tharlóidh dá thoradh sin a líonadh.

Airteagal 57

Féadfaidh páirtí a mholadh do Choimisiún nó do Bhinse go ndícháileofaí aon chomhalta dá chuid mar gheall ar aon ní a chuireann in iúl go soiléir nach bhfuil na cáilíochtaí aige a éilítear le mír (1) d'Airteagal 14. Féadfaidh páirtí in imeachtaí eadrána a mholadh ina theannta sin go ndéanfaí eadránaí a dhícháiliú ar an bhforas nach raibh sé cáilithe lena cheapadh ar an mBinse faoi Roinn 2 de Chaibidil IV.

Airteagal 58

Is iad na comhaltaí eile den Choimisiún nó den Bhinse, de réir mar a bheidh, a dhéanfaidh an cinneadh maidir le haon togra chun comhréiteoir nó eadránaí a dhícháiliú, ar choinníoll, má bhíonn na comhaltaí sin roinnte go cothrom, nó i gcás togra chun comhréiteoir nó eadránaí aonair, nó tromlach na gcomhréiteoirí nó na n-eadránaithe, a dhícháiliú, gurb é an Cathaoirleach a dhéanfaidh an cinneadh sin. Má chinntear go bhfuil bonn maith leis an togra cuirfear de réir fhorálacha Roinn 2 de Chaibidil III nó Roinn 2 de Chaibidil IV, duine eile in ionad an chomhréiteora nó an eadránaí lena mbaineann an cinneadh.

CAIBIDIL VI

Costas na nImeachtaí

Airteagal 59

Cinnfidh an tArd-Rúnaí, de réir na rialachán a bheidh glactha ag an gComhairle Riaracháin, na táillí is iníoctha ag na páirtithe as saoráidí an Lárionaid a úsáid.

Airteagal 60

(1) Cinnfidh gach Coimisiún agus gach Binse táillí agus costais a chomhaltaí faoi réir theorainneacha a bhunóidh an Chomhairle Riaracháin ó am go ham agus tar éis comhairle a ghlacadh leis an Ard-Rúnaí.

(2) Ní choiscfidh aon ní i mír (1) den Airteagal seo na páirtithe ar theacht ar chomhaontú roimh ré leis an gCoimisiún nó leis an mBinse áirithe maidir le táillí agus caiteachais a chomhaltaí.

Airteagal 61

(1) I gcás imeachtaí eadrána, is ar na páirtithe go comhionann a thitfidh táillí agus caiteachais chomhaltaí an Choimisiúin, mar aon leis na táillí as saoráidi an Lárionaid a úsáid. Íocfaidh gach páirtí aon chaiteachais eile a thabhóidh sé i ndáil leis na himeachtaí.

(2) I gcás imeachtaí eadrána measúnóidh an Binse, ach amháin mar a chomhaontóidh na páirtithe ar a mhalairt, na caiteachais a thabhaigh na páirtithe i ndáil leis na himeachtaí, agus cinnfidh sé conas a íocfar agus cé a íocfaidh na caiteachais sin, táillí agus caiteachais chomhaltaí an Bhinse agus na táillí as saoráidí an Lárionaid a úsáid. Is cuid den dámhachtain an cinneadh sin.

CAIBIDIL VII

Ionad na nImeachtaí

Airteagal 62

Ach amháin mar a fhoráiltear anseo ina dhiadh seo is ag suíomh an Lárionaid a sheolfar imeachtaí comhréitigh agus eadrána.

Airteagal 63

Féadfar imeachtaí comhréitigh agus eadrána a sheoladh, má chomhaontaíonn na páirtithe amhlaidh,

(a) ag suíomh na Buan-Chúirte Eadrána nó ag suíomh aon fhorais eile is iomchuí, príobháideach nó poiblí, a bhféadfaidh an Lárionad comhshocraíochtaí a dhéanamh leis chun na críche sin; nó

(b) in aon áit eile a cheadóidh an Coimisiún nó an Binse tar éis comhairle a ghlacadh leis an Ard-Rúnaí.

CAIBIDIL VIII

Díospóidí idir Stáit Chonarthacha

Airteagal 64

Aon díospóid a tharlóidh idir Stáit Chonarthacha i dtaobh léiriú nó feidhmiú an Choinbhinsiúin seo nach socrófar le caibidlíocht cuirfear í faoi bhráid na Cúirte Breithiúnais Idirnáisiúnta ar iarratas ó aon pháirtí sa díospóid sin, mura gcomhaontóidh na Stáit lena mbaineann ar mhodh eile lena socrú.

CAIBIDIL IX

Leasú

Airteagal 65

Féadfaidh aon Stát Conarthach leasú ar an gCoinbhinsiún seo a mholadh. Cuirfear téacs aon leasú a mholfar i bhfios don Ard-Rúnaí 90 lá ar a laghad roimh an gcruinniú den Chomhairle Riaracháin a bhfuil an leasú sin le breithniú aige agus seolfaidh sé láithreach é chuig gach comhalta den Chomhairle Riaracháin.

Airteagal 66

(1) Má chinneann an Chomhairle Riaracháin amhlaidh le tromlach dhá thrian dá comhaltaí, cuirfear an leasú atá beartaithe sa timpeall chuig gach Stát Conarthach lena dhaingniú, lena ghlacadh nó lena fhormheas. Tiocfaidh gach leasú i bhfeidhm 30 lá tar éis do earbthach an Choinbhinsiúin seo fógra a chur chuig na Stáit Chonarthacha á rá go bhfuil an leasú daingnithe, glactha nó formheasta ag gach Stát Conarthach.

(2) Ní dhéanfaidh aon leasú difear do chearta agus d'oibleagáidí is cearta agus oibleagáidí faoin gCoinbhinsiún seo de chuid aon Stát Conarthach nó de chuid aon cheann dá chomh-fhoranna nó dá ghníomhaireachtaí, nó de chuid aon náisiúnach de chuid Stát den sórt sin a eascróidh ó thoiliú le dlínse an Lárionaid a bheith tugtha roimh an dáta a thiocfaidh an leasú i bhfeidhm.

CAIBIDIL X

Forálacha Críochnaitheacha

Airteagal 67

Beidh an Coinbhinsiún seo ar oscailt chun a shínithe thar ceann na Stát is comhaltaí den Bhanc. Beidh sé ar oscailt chun a shínithe freisin tar ceann aon Stát eile is páirtí i Reacht na Cúirte Breithiúnais Idirnáisiúnta agus a mbeidh cuireadh tugtha dó ag an gComhairle Riaracháin, le vóta dhá thrian dá comhaltaí, an Coinbhinsiún a shíniú.

Airteagal 68

(1) Beidh an Coinbhinsiún seo faoi réir a dhaingnithe, a ghlactha nó a fhormheasta ag na Stáit sínithe de réir a nósanna imeachta bunreachtúla faoi seach.

(2) Tiocfaidh an Coinbhinsiún seo i bhfeidhm 30 lá tar éis an dáta a thaiscfear an fichiú ionstraim dhaingniúcháin, ghlactha nó fhormheasta. Tiocfaidh sé i bhfeidhm maidir le gach Stát a thaiscfidh a ionstraim dhaingniúcháin, ghlactha nó fhormheasta dá éis sin 30 lá tar éis dáta an taiscthe sin.

Airteagal 69

Déanfaidh gach Stát Conarthach cibé bearta reachtúla nó bearta eile is gá chun go mbeidh éifeacht ina chríocha ag forálacha an Choinbhinsiúin seo.

Airteagal 70

Bainfidh an Coinbhinsiún seo leis na críocha go léir a bhfuil Stát Conarthach freagrach as a gcaidreamh idirnáisiúnta, ach amháin na críocha sin atá eisiata ag an Stát sin trí fhógra scríofa a chur chuig earbthach an Choinbhinsiúin seo tráth a dhaingnithe, a ghlactha nó a fhormheasta nó aon tráth dá éis sin.

Airteagal 71

Féadfaidh aon Stát Conarthach an Coinbhinsiún seo a shéanadh trí fhógra scríofa a chur chuig earbthach an Choinbhinsiúin seo. Glacfaidh an séanadh éifeacht sé mhí tar éis an fógra sin a fháil.

Airteagal 72

Ní dhéanfaidh fógra ó Stát Conarthach de bhun Airteagail 70 nó 71 difear do chearta nó d'oibleagáidí is cearta nó oibleagáidí faoin gCoinbhinsiún seo de chuid an Stáit sin nó de cuid aon cheann dá chomh-fhoranna nó dá ghníomhaireachtaí nó de chuid aon náisiúnach de chuid an Stáit sin a eascróidh ó thoiliú le dlínse an Lárionaid a bheidh tugtha ag ceann díobh sula bhfuair an t-earbthach an fógra sin.

Airteagal 73

Déanfar ionstraimí daingniúcháin, glactha nó formheasta an Choinbhinsiúin seo agus leasuithe air a thaisceadh leis an mBanc agus gníomhóidh an Banc mar earbthach ar an gCoinbhinsiún seo. Cuirfidh an t-earbthach cóipeanna deimhnithe den Choinbhinsiún seo chuig na Stáit is comhaltaí den Bhanc agus chuig aon Stát eile ar tugadh cuireadh dó an Coinbhinsiún a shíniú.

Airteagal 74

Cláróidh an t-earbthach an Coinbhinsiún seo le Rúnaíocht na Náisiún Aontaithe de réir Airteagal 102 de Chairt na Náisiún Aontaithe agus na Rialachán fúithi lenar ghlac an Comhthionól Ginearálta.

Airteagal 75

Tabharfaidh an t-earbthach fógra do na Stáit sínithe go léir i dtaobh na nithe seo a leanas:

(a) sínithe de réir Airteagal 67;

(b) taisceadh ionstraimí daingniúcháin, glactha agus formheasta de réir Airteagal 73;

(c) an dáta a thiocfaidh an Coinbhinsiún seo i bhfeidhm de réir Airteagal 68;

(d) eisiaimh ó fheidhmiú i leith críche de bhun Airteagal 70;

(e) an dáta a thiocfaidh aon leasú ar an gCoinbhinsiún seo i bhfeidhm de réir Airteagal 66; agus

AN ACT TO ENABLE EFFECT TO BE GIVEN TO THE CONVENTION ON THE RECOGNITION AND ENFORCEMENT OF FOREIGN ARBITRAL AWARDS DONE AT NEW YORK ON THE 10th DAY OF JUNE, 1958, AND TO CERTAIN PROVISIONS OF THE CONVENTION ON THE SETTLEMENT OF INVESTMENT DISPUTES BETWEEN STATES AND NATIONALS OF OTHER STATES OPENED FOR SIGNATURE IN WASHINGTON ON THE 18th DAY OF MARCH, 1965, AND OTHERWISE TO AMEND THE ARBITRATION ACT, 1954. PART I

Preliminary and General

[GA]

Short title and collective citation.

1.—(1) This Act may be cited as the Arbitration Act, 1980.

(2) The Arbitration Act, 1954, and this Act may be cited together as the Arbitration Acts, 1954 and 1980.

[GA]

Definitions.

2.—In this Act—

[GA]

arbitration agreement” means an agreement in writing (including an agreement contained in an exchange of letters or telegrams) to submit to arbitration present or future differences capable of settlement by arbitration;

[GA]

the Principal Act” means the Arbitration Act, 1954.

[GA]

Commencement.

3.Parts III and IV of this Act shall come into operation on such day or days as the Minister for Justice may by order appoint.

[GA]

Repeal.

4.—Section 12 of the Principal Act is hereby repealed.

PART II

Effect of Arbitration Agreement on Court Proceedings

[GA]

Staying court proceedings where party proves arbitration agreement.

5.—(1) If any party to an arbitration agreement, or any person claiming through or under him, commences any proceedings in any court against any other party to such agreement, or any person claiming through or under him, in respect of any matter agreed to be referred to arbitration, any party to the proceedings may at any time after an appearance has been entered, and before delivering any pleadings or taking any other steps in the proceedings, apply to the court to stay the proceedings, and the court, unless it is satisfied that the arbitration agreement is null and void, inoperative or incapable of being performed or that there is not in fact any dispute between the parties with regard to the matter agreed to be referred, shall make an order staying the proceedings.

(2) Nothing in this section shall be construed as limiting or otherwise affecting the power conferred on the High Court pursuant to section 39 (3) of the Principal Act to refuse to stay any action brought in breach of an arbitration agreement.

PART III

Enforcement of New York Convention Awards

[GA]

Interpretation (Part III).

6.—(1) In this Part of this Act—

[GA]

award” means an award (other than an award within the meaning of Part IV of this Act) made in pursuance of an arbitration agreement in the territory of a state, other than the State, which is a party to the New York Convention;

[GA]

the New York Convention” means the Convention on the Recognition and Enforcement of Foreign Arbitral Awards done at New York on the 10th day of June, 1958, which Convention is set out in the First Schedule to this Act.

[GA]

(2) The Minister for Foreign Affairs may by order declare that any state specified in the order is a party to the New York Convention and, while such order is in force, the order shall be evidence that such state is a party to that Convention.

[GA]

(3) The Minister for Foreign Affairs may by order revoke or amend an order under this section, including an order under this subsection.

[GA]

Effect of awards.

7.—(1) An award shall, subject to the subsequent provisions of this Part, be enforceable either by action or in the same manner as the award of an arbitrator is enforceable by virtue of section 41 of the Principal Act.

(2) An award that would be enforceable under this Part shall be treated as binding for all purposes on the persons between whom it was made, and may accordingly be relied on by any of those persons by way of defence, set off or otherwise in any legal proceedings in the State, and any reference in this Part to the enforcement of an award shall be construed as including a reference to the reliance on such an award.

Evidence.

8.—Any person who seeks to enforce an award shall produce—

[GA]

(a) the duly authenticated original award or a duly certified copy of that award, and

[GA]

(b) the original arbitration agreement or a duly certified copy of that agreement, and

[GA]

(c) in any case where the award or the arbitration agreement is in a language other than one of the official languages of the State, a translation of the award or the agreement, as the case may be, certified by an official or sworn translator or by a diplomatic or consular agent.

Refusal of enforcement.

9.—(1) Enforcement of an award shall not be refused otherwise than pursuant to the subsequent provisions of this section.

[GA]

(2) Enforcement of an award may be refused if the person against whom it is invoked proves that—

[GA]

(a) a party to the arbitration agreement was (under the law applicable to him) under some incapacity, or

[GA]

(b) the arbitration agreement was not valid under the law of the country to which the parties subjected it or, failing any indication thereon, under the law of the country where the award was made, or

[GA]

(c) he was not given proper notice of the appointment of the arbitrator or of the arbitration proceedings or was otherwise unable to present his case, or

[GA]

(d) subject to subsection (4) of this section, the award deals with a difference not contemplated by or not falling within the terms of the submission to arbitration or contains decisions on matters beyond the scope of the submission to arbitration, or

[GA]

(e) the composition of the arbitral authority or the arbitral procedure was not in accordance with the agreement of the parties or, failing such agreement, with the law of the country where the arbitration took place, or

[GA]

(f) the award has not yet become binding on the parties or has been set aside or suspended by a competent authority of the country in which, or under the law of which, the award was made.

[GA]

(3) Enforcement of an award may also be refused if the award is in respect of a matter which is not capable of settlement by arbitration under the law of the State, or if it would be contrary to public policy to enforce the award.

[GA]

(4) An award which contains decisions on matters not submitted to arbitration may be enforced to the extent that it contains decisions on matters submitted to arbitration which can be separated from any decisions on matters not so submitted.

[GA]

(5) In any case where an application for the setting aside or suspension of an award has been made to such a competent authority as is mentioned in subsection (2) (f) of this section, a court before which enforcement of the award is sought may, if it thinks fit, adjourn the proceedings and may, on the application of the party seeking to enforce the award, order the other party to give such security as the court may think fit.

Non-application of Part V of Principal Act.

10.—In any case where an award is also a foreign award within the meaning of Part V of the Principal Act, that Part shall not apply to such award.

Saving for other rights.

11.—Nothing in this Part shall prejudice the right of any person to enforce or to rely on an award otherwise than under this Part or under Part V of the Principal Act.

PART IV

Enforcement of Washington Convention Awards

[GA]

Interpretation (Part IV).

12.—In this Part—

[GA]

award” means an award rendered pursuant to the Washington Convention and includes any decision made—

[GA]

(a) pursuant to Article 49 (2) of that Convention in relation to any question which the Tribunal referred to in that Article had omitted to decide in the award, or in relation to the rectification of any clerical, arithmetical or similar error in the award,

[GA]

(b) pursuant to Articles 50, 51 and 52 of that Convention, interpreting, revising or annulling the award, and

[GA]

(c) pursuant to Article 61 (2) of that Convention in relation to costs;

[GA]

the Washington Convention” means the Convention on the Settlement of Investment Disputes between States and Nationals of Other States opened for signature in Washington on the 18th day of March, 1965, which Convention is set out in the Second Schedule to this Act.

Approval of acceptance.

13.—Acceptance by the State of the Washington Convention is hereby approved.

[GA]

Government contribution under Washington Convention and expenses.

14.—(1) The Minister for Finance may discharge any obligations of the Government arising under Article 17 of the Washington Convention (which obliges the Contracting States to meet any deficit of the International Centre for Settlement of Investment Disputes established under that Convention).

(2) Any sums required for the purposes of subsection (1) of this section and any administrative expenses incurred by the Minister for Finance as a result of acceptance by the State of the Washington Convention shall be paid out of moneys provided by the Oireachtas.

Application of Principal Act and other enactments.

15.—(1) The Minister for Justice may by order direct that any of the provisions contained in—

(a) sections 19, 20, 21 and 22 of the Principal Act (which relate to attendance of witnesses, security for costs, discovery of documents, etc.), and

[GA]

(b) the Foreign Tribunals Evidence Act, 1856 (which relates to taking of evidence for the purpose of proceedings before a foreign tribunal),

[GA]

shall apply to such proceedings pursuant to the Washington Convention as are specified in the order, and the order may contain such modifications or exceptions as may appear to the Minister for Justice to be expedient for the purposes of the order.

(2) Subject to subsection (1) of this section, the Principal Act shall not apply to proceedings pursuant to the Washington Convention.

(3) The Minister for Justice may by order revoke or amend an order under this section, including an order under this subsection.

Enforcement of pecuniary obligations imposed by award.

16.—(1) The pecuniary obligations imposed by an award shall, by leave of the High Court, be enforceable in the same manner as a judgment or order of the High Court to the same effect and, where leave is so given, judgment may be entered for the amount due or, as the case may be, the balance outstanding under the award.

(2) Any person who applies to the High Court pursuant to subsection (1) of this section for leave to enforce the pecuniary obligations imposed by an award shall lodge with his application a copy of the award certified in accordance with Article 54 (2) of the Washington Convention.

Power of High Court to stay enforcement.

17.—Where an application is made to the High Court pursuant to section 16 of this Act, the High Court shall, in any case where enforcement of an award has been stayed, whether provisionally or otherwise, in accordance with Article 50, Article 51 or Article 52 of the Washington Convention, stay enforcement of the pecuniary obligations imposed by the award and may, in any case where an application has been made in accordance with any of those Articles which, if granted, might result in a stay on the enforcement of the award, stay enforcement of the pecuniary obligations imposed by the award.

FIRST SCHEDULE

Convention on the Recognition and Enforcement of Foreign Arbitral Awards

Article I

1. This Convention shall apply to the recognition and enforcement of arbitral awards made in the territory of a State other than the State where the recognition and enforcement of such awards are sought, and arising out of differences between persons, whether physical or legal. It shall also apply to arbitral awards not considered as domestic awards in the State where their recognition and enforcement are sought.

2. The term “arbitral awards” shall include not only awards made by arbitrators appointed for each case but also those made by permanent arbitral bodies to which the parties have submitted.

3. When signing, ratifying or acceding to this Convention, or notifying extension under article X hereof, any State may on the basis of reciprocity declare that it will apply the Convention to the recognition and enforcement of awards made only in the territory of another Contracting State. It may also declare that it will apply the Convention only to differences arising out of legal relationships, whether contractual or not, which are considered as commercial under the national law of the State making such declaration.

Article II

1. Each Contracting State shall recognise an agreement in writing under which the parties undertake to submit to arbitration all or any differences which have arisen or which may arise between them in respect of a defined legal relationship, whether contractual or not, concerning a subject matter capable of settlement by arbitration.

2. The term “agreement in writing” shall include an arbitral clause in a contract or an arbitration agreement, signed by the parties or contained in an exchange of letters or telegrams.

3. The court of a Contracting State, when seized of an action in a matter in respect of which the parties have made an agreement within the meaning of this article, shall, at the request of one of the parties, refer the parties to arbitration, unless it finds that the said agreement is null and void, inoperative or incapable of being performed.

Article III

Each Contracting State shall recognise arbitral awards as binding and enforce them in accordance with the rules of procedure of the territory where the award is relied upon, under the conditions laid down in the following articles. There shall not be imposed substantially more onerous conditions or higher fees or charges on the recognition or enforcement of arbitral awards to which this Convention applies than are imposed on the recognition or enforcement of domestic arbitral awards.

Article IV

1. To obtain the recognition and enforcement mentioned in the preceding article, the party applying for recognition and enforcement shall, at the time of the application, supply:

(a) The duly authenticated original award or a duly certified copy thereof;

(b) The original agreement referred to in article II or a duly certified copy thereof.

2. If the said award or agreement is not made in an official language of the country in which the award is relied upon, the party applying for recognition and enforcement of the award shall produce a translation of these documents into such language. The translation shall be certified by an official or sworn translator or by a diplomatic or consular agent.

Article V

1. Recognition and enforcement of the award may be refused, at the request of the party against whom it is invoked, only if that party furnishes to the competent authority where the recognition and enforcement is sought, proof that:

(a) The parties to the agreement referred to in article II were, under the law applicable to them, under some incapacity, or the said agreement is not valid under the law to which the parties have subjected it or, failing any indication thereon, under the law of the country where the award was made; or

(b) The party against whom the award is invoked was not given proper notice of the appointment of the arbitrator or of the arbitration proceedings or was otherwise unable to present his case; or

(c) The award deals with a difference not contemplated by or not falling within the terms of the submission to arbitration, or it contains decisions on matters beyond the scope of the submission to arbitration, provided that, if the decisions on matters submitted to arbitration can be separated from those not so submitted, that part of the award which contains decisions on matters submitted to arbitration may be recognised and enforced; or

(d) The composition of the arbitral authority or the arbitral procedure was not in accordance with the agreement of the parties, or, failing such agreement, was not in accordance with the law of the country where the arbitration took place; or

(e) The award has not yet become binding on the parties, or has been set aside or suspended by a competent authority of the country in which, or under the law of which, that award was made.

2. Recognition and enforcement of an arbitral award may also be refused if the competent authority in the country where recognition and enforcement is sought finds that:

(a) The subject matter of the difference is not capable of settlement by arbitration under the law of that country; or

(b) The recognition or enforcement of the award would be contrary to the public policy of that country.

Article VI

If an application for the setting aside or suspension of the award has been made to a competent authority referred to in article V (1) (e), the authority before which the award is sought to be relied upon may, if it considers it proper, adjourn the decision on the enforcement of the award and may also, on the application of the party claiming enforcement of the award, order the other party to give suitable security.

Article VII

1. The provisions of the present Convention shall not affect the validity of multilateral or bilateral agreements concerning the recognition and enforcement of arbitral awards entered into by the Contracting States nor deprive any interested party of any right he may have to avail himself of an arbitral award in the manner and to the extent allowed by the law or the treaties of the country where such award is sought to be relied upon.

2. The Geneva Protocol on Arbitration Clauses of 1923 and the Geneva Convention on the Execution of Foreign Arbitral Awards of 1927 shall cease to have effect between Contracting States on their becoming bound and to the extent that they become bound, by this Convention.

Article VIII

1. This Convention shall be open until 31 December 1958 for signature on behalf of any Member of the United Nations and also on behalf of any other State which is or hereafter becomes a member of any specialised agency of the United Nations, or which is or hereafter becomes a party to the Statute of the International Court of Justice, or any other State to which an invitation has been addressed by the General Assembly of the United Nations.

2. This Convention shall be ratified and the instrument of ratification shall be deposited with the Secretary-General of the United Nations.

Article IX

1. This Convention shall be open for accession to all States referred to in article VIII.

2. Accession shall be effected by the deposit of an instrument of accession with the Secretary-General of the United Nations.

Article X

1. Any State may, at the time of signature, ratification or accession, declare that this Convention shall extend to all or any of the territories for the international relations of which it is responsible. Such a declaration shall take effect when the Convention enters into force for the State concerned.

2. At any time thereafter any such extension shall be made by notification addressed to the Secretary-General of the United Nations and shall take effect as from the ninetieth day after the day of receipt by the Secretary-General of the United Nations of this notification, or as from the date of entry into force of the Convention for the State concerned, whichever is the later.

3. With respect to those territories to which this Convention is not extended at the time of signature, ratification or accession, each State concerned shall consider the possibility of taking the necessary steps in order to extend the application of this Convention to such territories, subject, where necessary for constitutional reasons, to the consent of the Governments of such territories.

Article XI

In the case of a federal or non-unitary State, the following provisions shall apply:

(a) With respect to those articles of this Convention that come within the legislative jurisdiction of the federal authority, the obligations of the federal Government shall to this extent be the same as those of Contracting States which are not federal States;

(b) With respect to those articles of this Convention that come within the legislative jurisdiction of constituent states or provinces which are not, under the constitutional system of the federation, bound to take legislative action, the federal Government shall bring such articles with a favourable recommendation to the notice of the appropriate authorities of constituent states or provinces at the earliest possible moment;

(c) A federal State Party to this Convention shall, at the request of any other Contracting State transmitted through the Secretary-General of the United Nations, supply a statement of the law and practice of the federation and its constituent units in regard to any particular provision of this Convention, showing the extent to which effect has been given to that provision by legislative or other action.

Ariticle XII

1. This Convention shall come into force on the ninetieth day following the date of deposit of the third instrument of ratification or accession.

2. For each State ratifying or acceding to this Convention after the deposit of the third instrument of ratification or accession, this Convention shall enter into force on the ninetieth day after deposit by such State of its instrument of ratification or accession.

Article XIII

1. Any Contracting State may denounce this Convention by a written notification to the Secretary-General of the United Nations. Denunciation shall take effect one year after the date of receipt of the notification by the Secretary-General.

2. Any State which has made a declaration or notification under article X may, at any time thereafter, by notification to the Secretary-General of the United Nations, declare that this Convention shall cease to extend to the territory concerned one year after the date of the receipt of the notification by the Secretary-General.

3. This Convention shall continue to be applicable to arbitral awards in respect of which recognition or enforcement proceedings have been instituted before the denunciation takes effect.

Article XIV

A Contracting State shall not be entitled to avail itself of the present Convention against other Contracting States except to the extent that it is itself bound to apply the Convention.

Article XV

The Secretary-General of the United Nations shall notify the States contemplated in article VIII of the following:

(a) Signatures and ratifications in accordance with article VIII;

(b) Accessions in accordance with article IX;

(c) Declarations and notifications under articles I, X and XI;

(d) The date upon which this Convention enters into force in accordance with article XII;

(e) Denunciations and notifications in accordance with article XIII.

Article XVI

1. This Convention, of which the Chinese, English, French, Russian and Spanish texts shall be equally authentic, shall be deposited in the archives of the United Nations.

2. The Secretary-General of the United Nations shall transmit a certified copy of this Convention to the States contemplated in article VIII.

SECOND SCHEDULE

Convention on the Settlement of Investment Disputes between States and Nationals of Other States

PREAMBLE

The Contracting States

Considering the need for international cooperation for economic development, and the role of private international investment therein;

Bearing in mind the possibility that from time to time disputes may arise in connection with such investment between Contracting States and nationals of other Contracting States;

Recognising that while such disputes would usually be subject to national legal processes, international methods of settlement may be appropriate in certain cases;

Attaching particular importance to the availability of facilities for international conciliation or arbitration to which Contracting States and nationals of other Contracting States may submit such disputes if they so desire;

Desiring to establish such facilities under the auspices of the International Bank for Reconstruction and Development;

Recognising that mutual consent by the parties to submit such disputes to conciliation or to arbitration through such facilities constitutes a binding agreement which requires in particular that due consideration be given to any recommendation of conciliators, and that any arbitral award be complied with; and

Declaring that no Contracting State shall by the mere fact of its ratification, acceptance or approval of this Convention and without its consent be deemed to be under any obligation to submit any particular dispute to conciliation or arbitration,

Have agreed as follows:

CHAPTER I

International Centre for Settlement of Investment Disputes

Section 1

Establishment and Organisation

Article 1

(1) There is hereby established the International Centre for Settlement of Investment Disputes (hereinafter called the Centre).

(2) The purpose of the Centre shall be to provide facilities for conciliation and arbitration of investment disputes between Contracting States and nationals of other Contracting States in accordance with the provisions of this Convention.

Article 2

The seat of the Centre shall be at the principal office of the International Bank for Reconstruction and Development (hereinafter called the Bank). The seat may be moved to another place by decision of the Administrative Council adopted by a majority of two-thirds of its members.

Article 3

The Centre shall have an Administrative Council and a Secretariat and shall maintain a Panel of Conciliators and a Panel of Arbitrators.

Section 2

The Administrative Council

Article 4

(1) The Administrative Council shall be composed of one representative of each Contracting State. An alternate may act as representative in case of his principal's absence from a meeting or inability to act.

(2) In the absence of a contrary designation, each governor and alternate governor of the Bank appointed by a Contracting State shall be ex officio its representative and its alternate respectively.

Article 5

The President of the Bank shall be ex officio Chairman of the Administrative Council (hereinafter called the Chairman) but shall have no vote. During his absence or inability to act and during any vacancy in the office of President of the Bank, the person for the time being acting as President shall act as Chairman of the Administrative Council.

Article 6

(1) Without prejudice to the powers and functions vested in it by other provisions of this Convention, the Administrative Council shall

(a) adopt the administrative and financial regulations of the Centre;

(b) adopt the rules of procedure for the institution of conciliation and arbitration proceedings;

(c) adopt the rules of procedure for conciliation and arbitration proceedings (hereinafter called the Conciliation Rules and the Arbitration Rules);

(d) approve arrangements with the Bank for the use of the Bank's administrative facilities and services;

(e) determine the conditions of service of the Secretary-General and of any Deputy Secretary-General;

(f) adopt the annual budget of revenues and expenditures of the Centre;

(g) approve the annual report on the operation of the Centre.

The decisions referred to in sub-paragraphs (a), (b), (c) and (f) above shall be adopted by a majority of two-thirds of the members of the Administrative Council.

(2) The Administrative Council may appoint such committees as it considers necessary.

(3) The Administrative Council shall also exercise such other powers and perform such other functions as it shall determine to be necessary for the implementation of the provisions of this Convention.

Article 7

(1) The Administrative Council shall hold an annual meeting and such other meetings as may be determined by the Council, or convened by the Chairman, or convened by the Secretary-General at the request of not less than five members of the Council.

(2) Each member of the Administrative Council shall have one vote and, except as otherwise herein provided, all matters before the Council shall be decided by a majority of the votes cast.

(3) A quorum for any meeting of the Administrative Council shall be a majority of its members.

(4) The Administrative Council may establish, by a majority of two-thirds of its members, a procedure whereby the Chairman may seek a vote of the Council without convening a meeting of the Council. The vote shall be considered valid only if the majority of the members of the Council cast their votes within the time limit fixed by the said procedure.

Article 8

Members of the Administrative Council and the Chairman shall serve without remuneration from the Centre.

Section 3

The Secretariat

Article 9

The Secretariat shall consist of a Secretary-General, one or more Deputy Secretaries-General and staff.

Article 10

(1) The Secretary-General and any Deputy Secretary-General shall be elected by the Administrative Council by a majority of two-thirds of its members upon the nomination of the Chairman for a term of service not exceeding six years and shall be eligible for re-election. After consulting the members of the Administrative Council, the Chairman shall propose one or more candidates for each such office.

(2) The offices of Secretary-General and Deputy Secretary-General shall be incompatible with the exercise of any political function. Neither the Secretary-General nor any Deputy Secretary-General may hold any other employment or engage in any other occupation except with the approval of the Administrative Council.

(3) During the Secretary-General's absence or inability to act, and during any vacancy of the office of Secretary-General, the Deputy Secretary-General shall act as Secretary-General. If there shall be more than one Deputy Secretary-General, the Administrative Council shall determine in advance the order in which they shall act as Secretary-General.

Article 11

The Secretary-General shall be the legal representative and the principal officer of the Centre and shall be responsible for its administration, including the appointment of staff, in accordance with the provisions of this Convention and the rules adopted by the Administrative Council. He shall perform the function of registrar and shall have the power to authenticate arbitral awards rendered pursuant to this Convention, and to certify copies thereof.

Section 4

The Panels

Article 12

The Panel of Conciliators and the Panel of Arbitrators shall each consist of qualified persons, designated as hereinafter provided, who are willing to serve thereon.

Article 13

(1) Each Contracting State may designate to each Panel four persons who may but need not be its nationals.

(2) The Chairman may designate ten persons to each Panel. The persons so designated to a Panel shall each have a different nationality.

Article 14

(1) Persons designated to serve on the Panels shall be persons of high moral character and recognised competence in the fields of law, commerce, industry or finance, who may be relied upon to exercise independent judgment. Competence in the field of law shall be of particular importance in the case of persons on the Panel of Arbitrators.

(2) The Chairman, in designating persons to serve on the Panels, shall in addition pay due regard to the importance of assuring representation on the Panels of the principal legal systems of the world and of the main forms of economic activity.

Article 15

(1) Panel members shall serve for renewable periods of six years.

(2) In case of death or resignation of a member of a Panel, the authority which designated the member shall have the right to designate another person to serve for the remainder of that member's term.

(3) Panel members shall continue in office until their successors have been designated.

Article 16

(1) A person may serve on both Panels.

(2) If a person shall have been designated to serve on the same Panel by more than one Contracting State, or by one or more Contracting States and the Chairman, he shall be deemed to have been designated by the authority which first designated him or, if one such authority is the State of which he is a national, by that State.

(3) All designations shall be notified to the Secretary-General and shall take effect from the date on which the notification is received.

Section 5

Financing the Centre

Article 17

If the expenditure of the Centre cannot be met out of charges for the use of its facilities, or out of other receipts, the excess shall be borne by Contracting States which are members of the Bank in proportion to their respective subscriptions to the capital stock of the Bank, and by Contracting States which are not members of the Bank in accordance with rules adopted by the Administrative Council.

Section 6

Status, Immunities and Privileges

Article 18

The Centre shall have full international legal personality. The legal capacity of the Centre shall include the capacity

(a) to contract;

(b) to acquire and dispose of movable and immovable property;

(c) to institute legal proceedings.

Article 19

To enable the Centre to fulfil its functions, it shall enjoy in the territories of each Contracting State the immunities and privileges set forth in this Section.

Article 20

The Centre, its property and assets shall enjoy immunity from all legal process, except when the Centre waives this immunity.

Article 21

The Chairman, the members of the Administrative Council, persons acting as conciliators or arbitrators or members of a Committee appointed pursuant to paragraph (3) of Article 52, and the officers and employees of the Secretariat

(a) shall enjoy immunity from legal process with respect to acts performed by them in the exercise of their functions, except when the Centre waives this immunity;

(b) not being local nationals, shall enjoy the same immunities from immigration restrictions, alien registration requirements and national service obligations, the same facilities as regards exchange restrictions and the same treatment in respect of travelling facilities as are accorded by Contracting States to the representatives, officials and employees of comparable rank of other Contracting States.

Article 22

The provisions of Article 21 shall apply to persons appearing in proceedings under this Convention as parties, agents, counsel, advocates, witnesses or experts; provided, however, that sub-paragraph (b) thereof shall apply only in connection with their travel to and from, and their stay at, the place where the proceedings are held.

Article 23

(1) The archives of the Centre shall be inviolable, wherever they may be.

(2) With regard to its official communications, the Centre shall be accorded by each Contracting State treatment not less favourable than that accorded to other international organisations.

Article 24

(1) The Centre, its assets, property and income, and its operations and transactions authorised by this Convention shall be exempt from all taxation and customs duties. The Centre shall also be exempt from liability for the collection or payment of any taxes or customs duties.

(2) Except in the case of local nationals, no tax shall be levied on or in respect of expense allowances paid by the Centre to the Chairman or members of the Administrative Council, or on or in respect of salaries, expense allowances or other emoluments paid by the Centre to officials or employees of the Secretariat.

(3) No tax shall be levied on or in respect of fees or expense allowances received by persons acting as conciliators, or arbitrators, or members of a Committee appointed pursuant to paragraph (3) of Article 52, in proceedings under this Convention, if the sole jurisdictional basis for such tax is the location of the Centre or the place where such proceedings are conducted or the place where such fees or allowances are paid.

CHAPTER II

Jurisdiction of the Centre

Article 25

(1) The jurisdiction of the Centre shall extend to any legal dispute arising directly out of an investment, between a Contracting State (or any constituent subdivision or agency of a Contracting State designated to the Centre by that State) and a national of another Contracting State, which the parties to the dispute consent in writing to submit to the Centre. When the parties have given their consent, no party may withdraw its consent unilaterally.

(2) “National of another Contracting State” means:

(a) any natural person who had the nationality of a Contracting State other than the State party to the dispute on the date on which the parties consented to submit such dispute to conciliation or arbitration as well as on the date on which the request was registered pursuant to paragraph (3) of Article 28 or paragraph (3) of Article 36, but does not include any person who on either date also had the nationality of the Contracting State party to the dispute; and

(b) any juridical person which had the nationality of a Contracting State other than the State party to the dispute on the date on which the parties consented to submit such dispute to conciliation or arbitration and any juridical person which had the nationality of the Contracting State party to the dispute on that date and which, because of foreign control, the parties have agreed should be treated as a national of another Contracting State for the purposes of this Convention.

(3) Consent by a constituent subdivision or agency of a Contracting State shall require the approval of that State unless that State notifies the Centre that no such approval is required.

(4) Any Contracting State may, at the time of ratification, acceptance or approval of this Convention or at any time thereafter, notify the Centre of the class or classes of disputes which it would or would not consider submitting to the jurisdiction of the Centre. The Secretary-General shall forthwith transmit such notification to all Contracting States. Such notification shall not constitute the consent required by paragraph (1).

Article 26

Consent of the parties to arbitration under this Convention shall, unless otherwise stated, be deemed consent to such arbitration to the exclusion of any other remedy. A Contracting State may require the exhaustion of local administrative or judicial remedies as a condition of its consent to arbitration under this Convention.

Article 27

(1) No Contracting State shall give diplomatic protection, or bring an international claim, in respect of a dispute which one of its nationals and another Contracting State shall have consented to submit or shall have submitted to arbitration under this Convention, unless such other Contracting State shall have failed to abide by and comply with the award rendered in such dispute.

(2) Diplomatic protection, for the purposes of paragraph (1), shall not include informal diplomatic exchanges for the sole purpose of facilitating a settlement of the dispute.

CHAPTER III

Conciliation

Section 1

Request for Conciliation

Article 28

(1) Any Contracting State or any national of a Contracting State wishing to institute conciliation proceedings shall address a request to that effect in writing to the Secretary-General who shall send a copy of the request to the other party.

(2) The request shall contain information concerning the issues in dispute, the identity of the parties and their consent to conciliation in accordance with the rules of procedure for the institution of conciliation and arbitration proceedings.

(3) The Secretary-General shall register the request unless he finds, on the basis of the information contained in the request, that the dispute is manifestly outside the jurisdiction of the Centre. He shall forthwith notify the parties of registration or refusal to register.

Section 2

Constitution of the Conciliation Commission

Article 29

(1) The Conciliation Commission (hereinafter called the Commission) shall be constituted as soon as possible after registration of a request pursuant to Article 28.

(2) (a) The Commission shall consist of a sole conciliator or any uneven number of conciliators appointed as the parties shall agree.

(b) Where the parties do not agree upon the number of conciliators and the method of their appointment, the Commission shall consist of three conciliators, one conciliator appointed by each party and the third, who shall be the president of the Commission, appointed by agreement of the parties.

Article 30

If the Commission shall not have been constituted within 90 days after notice of registration of the request has been dispatched by the Secretary-General in accordance with paragraph (3) of Article 28, or such other period as the parties may agree, the Chairman shall, at the request of either party and after consulting both parties as far as possible, appoint the conciliator or conciliators not yet appointed.

Article 31

(1) Conciliators may be appointed from outside the Panel of Conciliators, except in the case of appointments by the Chairman pursuant to Article 30.

(2) Conciliators appointed from outside the Panel of Conciliators shall possess the qualities stated in paragraph (1) of Article 14.

Section 3

Conciliation Proceedings

Article 32

(1) The Commission shall be the judge of its own competence.

(2) Any objection by a party to the dispute that that dispute is not within the jurisdiction of the Centre, or for other reasons is not within the competence of the Commission, shall be considered by the Commission which shall determine whether to deal with it as a preliminary question or to join it to the merits of the dispute.

Article 33

Any conciliation proceeding shall be conducted in accordance with the provisions of this Section and, except as the parties otherwise agree, in accordance with the Conciliation Rules in effect on the date on which the parties consented to conciliation. If any question of procedure arises which is not covered by this Section or the Conciliation Rules or any rules agreed by the parties, the Commission shall decide the question.

Article 34

(1) It shall be the duty of the Commission to clarify the issues in dispute between the parties and to endeavour to bring about agreement between them upon mutually acceptable terms. To that end, the Commission may at any stage of the proceedings and from time to time recommend terms of settlement to the parties. The parties shall cooperate in good faith with the Commission in order to enable the Commission to carry out its functions, and shall give their most serious consideration to its recommendations.

(2) If the parties reach agreement, the Commission shall draw up a report noting the issues in dispute and recording that the parties have reached agreement. If, at any stage of the proceedings, it appears to the Commission that there is no likelihood of agreement between the parties, it shall close the proceedings and shall draw up a report noting the submission of the dispute and recording the failure of the parties to reach agreement. If one party fails to appear or participate in the proceedings, the Commission shall close the proceedings and shall draw up a report noting that party's failure to appear or participate.

Article 35

Except as the parties to the dispute shall otherwise agree, neither party to a conciliation proceeding shall be entitled in any other proceeding, whether before arbitrators or in a court of law or otherwise, to invoke or rely on any views expressed or statements or admissions or offers of settlement made by the other party in the conciliation proceedings, or the report or any recommendations made by the Commission.

CHAPTER IV

Arbitration

Section 1

Request for Arbitration

Article 36

(1) Any Contracting State or any national of a Contracting State wishing to institute arbitration proceedings shall address a request to that effect in writing to the Secretary-General who shall send a copy of the request to the other party.

(2) The request shall contain information concerning the issues in dispute, the identity of the parties and their consent to arbitration in accordance with the rules of procedure for the institution of conciliation and arbitration proceedings.

(3) The Secretary-General shall register the request unless he finds, on the basis of the information contained in the request, that the dispute is manifestly outside the jurisdiction of the Centre. He shall forthwith notify the parties of registration or refusal to register.

Section 2

Constitution of the Tribunal

Article 37

(1) The Arbitral Tribunal (hereinafter called the Tribunal) shall be constituted as soon as possible after registration of a request pursuant to Article 36.

(2) (a) The Tribunal shall consist of a sole arbitrator or any uneven number of arbitrators appointed as the parties shall agree.

(b) Where the parties do not agree upon the number of arbitrators and the method of their appointment, the Tribunal shall consist of three arbitrators, one arbitrator appointed by each party and the third, who shall be the president of the Tribunal, appointed by agreement of the parties.

Article 38

If the Tribunal shall not have been constituted within 90 days after notice of registration of the request has been despatched by the Secretary-General in accordance with paragraph (3) of Article 36, or such other period as the parties may agree, the Chairman shall, at the request of either party and after consulting both parties as far as possible, appoint the arbitrator or arbitrators not yet appointed. Arbitrators appointed by the Chairman pursuant to this Article shall not be nationals of the Contracting State party to the dispute or of the Contracting State whose national is a party to the dispute.

Article 39

The majority of the arbitrators shall be nationals of States other than the Contracting State party to the dispute and the Contracting State whose national is a party to the dispute; provided, however, that the foregoing provisions of this Article shall not apply if the sole arbitrator or each individual member of the Tribunal has been appointed by agreement of the parties.

Article 40

(1) Arbitrators may be appointed from outside the Panel of Arbitrators, except in the case of appointments by the Chairman pursuant to Article 38.

(2) Arbitrators appointed from outside the Panel of Arbitrators shall possess the qualities stated in paragraph (1) of Article 14.

Section 3

Powers and Functions of the Tribunal

Article 41

(1) The Tribunal shall be the judge of its own competence.

(2) Any objection by a party to the dispute that that dispute is not within the jurisdiction of the Centre, or for other reasons is not within the competence of the Tribunal, shall be considered by the Tribunal which shall determine whether to deal with it as a preliminary question or to join it to the merits of the dispute.

Article 42

(1) The Tribunal shall decide a dispute in accordance with such rules of law as may be agreed by the parties. In the absence of such agreement, the Tribunal shall apply the law of the Contracting State party to the dispute (including its rules on the conflict of laws) and such rules of international law as may be applicable.

(2) The Tribunal may not bring in a finding of non liquet on the ground of silence or obscurity of the law.

(3) The provisions of paragraphs (1) and (2) shall not prejudice the power of the Tribunal to decide a dispute ex aequo et bono if the parties so agree.

Article 43

Except as the parties otherwise agree, the Tribunal may, if it deems it necessary at any stage of the proceedings,

(a) call upon the parties to produce documents or other evidence, and

(b) visit the scene connected with the dispute, and conduct such inquiries there as it may deem appropriate.

Article 44

Any arbitration proceeding shall be conducted in accordance with the provisions of this Section and, except as the parties otherwise agree, in accordance with the Arbitration Rules in effect on the date on which the parties consented to arbitration. If any question of procedure arises which is not covered by this Section or the Arbitration Rules or any rules agreed by the parties, the Tribunal shall decide the question.

Article 45

(1) Failure of a party to appear or to present his case shall not be deemed an admission of the other party's assertions.

(2) If a party fails to appear or to present his case at any stage of the proceedings the other party may request the Tribunal to deal with the questions submitted to it and to render an award. Before rendering an award, the Tribunal shall notify, and grant a period of grace to, the party failing to appear or to present its case, unless it is satisfied that that party does not intend to do so.

Article 46

Except as the parties otherwise agree, the Tribunal shall, if requested by a party, determine any incidental or additional claims or counter-claims arising directly out of the subject-matter of the dispute provided that they are within the scope of the consent of the parties and are otherwise within the jurisdiction of the Centre.

Article 47

Except as the parties otherwise agree, the Tribunal may, if it considers that the circumstance so require, recommend any provisional measures which should be taken to preserve the respective rights of either party.

Section 4

The Award

Article 48

(1) The Tribunal shall decide questions by a majority of the votes of all its members.

(2) The award of the Tribunal shall be in writing and shall be signed by the members of the Tribunal who voted for it.

(3) The award shall deal with every question submitted to the Tribunal, and shall state the reasons upon which it is based.

(4) Any member of the Tribunal may attach his individual opinion to the award, whether he dissents from the majority or not, or a statement of his dissent.

(5) The Centre shall not publish the award without the consent of the parties.

Article 49

(1) The Secretary-General shall promptly dispatch certified copies of the award to the parties. The award shall be deemed to have been rendered on the date on which the certified copies were dispatched.

(2) The Tribunal upon the request of a party made within 45 days after the date on which the award was rendered may after notice to the other party decide any question which it had omitted to decide in the award, and shall rectify any clerical, arithmetical or similar error in the award. Its decision shall become part of the award and shall be notified to the parties in the same manner as the award. The periods of time provided for under paragraph (2) of Article 51 and paragraph (2) of Article 52 shall run from the date on which the decision was rendered.

Section 5

Interpretation, Revision and Annulment of the Award

Article 50

(1) If any dispute shall arise between the parties as to the meaning or scope of an award, either party may request interpretation of the award by an application in writing addressed to the Secretary-General.

(2) The request shall, if possible, be submitted to the Tribunal which rendered the award. If this shall not be possible, a new Tribunal shall be constituted in accordance with Section 2 of this Chapter. The Tribunal may, if it considers that the circumstances so require, stay enforcement of the award pending its decision.

Article 51

(1) Either party may request revision of the award by an application in writing addressed to the Secretary-General on the ground of discovery of some fact of such a nature as decisively to affect the award, provided that when the award was rendered that fact was unknown to the Tribunal and to the applicant and that the applicant's ignorance of that fact was not due to negligence.

(2) The application shall be made within 90 days after the discovery of such fact and in any event within three years after the date on which the award was rendered.

(3) The request shall, if possible, be submitted to the Tribunal which rendered the award. If this shall not be possible, a new Tribunal shall be constituted in accordance with Section 2 of this Chapter.

(4) The Tribunal may, if it considers that the circumstances so require, stay enforcement of the award pending its decision. If the applicant requests a stay of enforcement of the award in his application, enforcement shall be stayed provisionally until the Tribunal rules on such request.

Article 52

(1) Either party may request annulment of the award by an application in writing addressed to the Secretary-General on one or more of the following grounds:

(a) that the Tribunal was not properly constituted;

(b) that the Tribunal has manifestly exceeded its powers;

(c) that there was corruption on the part of a member of the Tribunal;

(d) that there has been a serious departure from a fundamental rule of procedure; or

(e) that the award has failed to state the reasons on which it is based.

(2) The application shall be made within 120 days after the date on which the award was rendered except that when annulment is requested on the ground of corruption such application shall be made within 120 days after discovery of the corruption and in any event within three years after the date on which the award was rendered.

(3) On receipt of the request the Chairman shall forthwith appoint from the Panel of Arbitrators an ad hoc Committee of three persons. None of the members of the Committee shall have been a member of the Tribunal which rendered the award, shall be of the same nationality as any such member, shall be a national of the State party to the dispute or of the State whose national is a party to the dispute, shall have been designated to the Panel of Arbitrators by either of those States, or shall have acted as a conciliator in the same dispute. The Committee shall have the authority to annul the award or any part thereof on any of the grounds set forth in paragraph (1).

(4) The provisions of Articles 41-45, 48, 49, 53 and 54, and of Chapters VI and VII shall apply mutatis mutandis to proceedings before the Committee.

(5) The Committee may, if it considers that the circumstances so require, stay enforcement of the award pending its decision. If the applicant requests a stay of enforcement of the award in his application, enforcement shall be stayed provisionally until the Committee rules on such request.

(6) If the award is annulled the dispute shall, at the request of either party, be submitted to a new Tribunal constituted in accordance with Section 2 of this Chapter.

Section 6

Recognition and Enforcement of the Award

Article 53

(1) The award shall be binding on the parties and shall not be subject to any appeal or to any other remedy except those provided for in this Convention. Each party shall abide by and comply with the terms of the award except to the extent that enforcement shall have been stayed pursuant to the relevant provisions of this Convention.

(2) For the purposes of this Section, “award” shall include any decision interpreting, revising or annulling such award pursuant to Articles 50, 51 or 52.

Article 54

(1) Each Contracting State shall recognize an award rendered pursuant to this Convention as binding and enforce the pecuniary obligations imposed by that award within its territories as if it were a final judgment of a court in that State. A Contracting State with a federal constitution may enforce such an award in or through its federal courts and may provide that such courts shall treat the award as if it were a final judgment of the courts of a constituent state.

(2) A party seeking recognition or enforcement in the territories of a Contracting State shall furnish to a competent court or other authority which such State shall have designated for this purpose a copy of the award certified by the Secretary-General. Each Contracting State shall notify the Secretary-General of the designation of the competent court or other authority for this purpose and of any subsequent change in such designation.

(3) Execution of the award shall be governed by the laws concerning the execution of judgments in force in the State in whose territories such execution is sought.

Article 55

Nothing in Article 54 shall be construed as derogating from the law in force in any Contracting State relating to immunity of that State or of any foreign State from execution.

CHAPTER V

Replacement and Disqualification of Conciliators and Arbitrators

Article 56

(1) After a Commission or a Tribunal has been constituted and proceedings have begun, its composition shall remain unchanged; provided, however, that if a conciliator or an arbitrator should die, become incapacitated, or resign, the resulting vacancy shall be filled in accordance with the provisions of Section 2 of Chapter III or Section 2 of Chapter IV.

(2) A member of a Commission or Tribunal shall continue to serve in that capacity notwithstanding that he shall have ceased to be a member of the Panel.

(3) If a conciliator or arbitrator appointed by a party shall have resigned without the consent of the Commission or Tribunal of which he was a member, the Chairman shall appoint a person from the appropriate Panel to fill the resulting vacancy.

Article 57

A party may propose to a Commission or Tribunal the disqualification of any of its members on account of any fact indicating a manifest lack of the qualities required by paragraph (1) of Article 14. A party to arbitration proceedings may, in addition, propose the disqualification of an arbitrator on the ground that he was ineligible for appointment to the Tribunal under Section 2 of Chapter IV.

Article 58

The decision on any proposal to disqualify a conciliator or arbitrator shall be taken by the other members of the Commission or Tribunal as the case may be, provided that where those members are equally divided, or in the case of a proposal to disqualify a sole conciliator or arbitrator, or a majority of the conciliators or arbitrators, the Chairman shall take that decision. If it is decided that the proposal is well-founded the conciliator or arbitrator to whom the decision relates shall be replaced in accordance with the provisions of Section 2 of Chapter III or Section 2 of Chapter IV.

CHAPTER VI

Cost of Proceedings

Article 59

The charges payable by the parties for the use of the facilities of the Centre shall be determined by the Secretary-General in accordance with the regulations adopted by the Administrative Council.

Article 60

(1) Each Commission and each Tribunal shall determine the fees and expenses of its members within limits established from time to time by the Administrative Council and after consultation with the Secretary-General.

(2) Nothing in paragraph (1) of this article shall preclude the parties from agreeing in advance with the Commission or Tribunal concerned upon the fees and expenses of its members.

Article 61

(1) In the case of conciliation proceedings the fees and expenses of members of the Commission as well as the charges for the use of the facilities of the Centre, shall be borne equally by the parties. Each party shall bear any other expenses it incurs in connection with the proceedings.

(2) In the case of arbitration proceedings the Tribunal shall, except as the parties otherwise agree, assess the expenses incurred by the parties in connection with the proceedings, and shall decide how and by whom those expenses, the fees and expenses of the members of the Tribunal and the charges for the use of the facilities of the Centre shall be paid. Such decision shall form part of the award.

CHAPTER VII

Place of Proceedings

Article 62

Conciliation and arbitration proceedings shall be held at the seat of the Centre except as hereinafter provided.

Article 63

Conciliation and arbitration proceedings may be held, if the parties so agree,

(a) at the seat of the Permanent Court of Arbitration or of any other appropriate institution, whether private or public, with which the Centre may make arrangements for that purpose; or

(b) at any other place approved by the Commission or Tribunal after consultation with the Secretary-General.

CHAPTER VIII

Disputes Between Contracting States

Article 64

Any dispute arising between Contracting States concerning the interpretation or application of this Convention which is not settled by negotiation shall be referred to the International Court of Justice by the application of any party to such dispute, unless the States concerned agree to another method of settlement.

CHAPTER IX

Amendment

Article 65

Any Contracting State may propose amendment of this Convention. The text of a proposed amendment shall be communicated to the Secretary-General not less than 90 days prior to the meeting of the Administrative Council at which such amendment is to be considered and shall forthwith be transmitted by him to all the members of the Administrative Council.

Article 66

(1) If the Administrative Council shall so decide by a majority of two-thirds of its members, the proposed amendment shall be circulated to all Contracting States for ratification, acceptance or approval. Each amendment shall enter into force 30 days after dispatch by the depositary of this Convention of a notification to Contracting States that all Contracting States have ratified, accepted or approved the amendment.

(2) No amendment shall affect the rights and obligations under this Convention of any Contracting State or of any of its constituent subdivisions or agencies, or of any national of such State arising out of consent to the jurisdiction of the Centre given before the date of entry into force of the amendment.

CHAPTER X

Final Provisions

Article 67

This Convention shall be open for signature on behalf of States members of the Bank. It shall also be open for signature on behalf of any other State which is a party to the Statute of the International Court of Justice and which the Administrative Council, by a vote of two-thirds of its members, shall have invited to sign the Convention.

Article 68

(1) This Convention shall be subject to ratification, acceptance or approval by the signatory States in accordance with their respective constitutional procedures.

(2) This Convention shall enter into force 30 days after the date of deposit of the twentieth instrument of ratification, acceptance or approval. It shall enter into force for each State which subsequently deposits its instrument of ratification, acceptance or approval 30 days after the date of such deposit.

Article 69

Each Contracting State shall take such legislative or other measures as may be necessary for making the provisions of this Convention effective in its territories.

Article 70

This Convention shall apply to all territories for whose international relations a Contracting State is responsible, except those which are excluded by such State by written notice to the depositary of this Convention either at the time of ratification, acceptance or approval or subsequently.

Article 71

Any Contracting State may denounce this Convention by written notice to the depositary of this Convention. The denunciation shall take effect six months after receipt of such notice.

Article 72

Notice by a Contracting State pursuant to Articles 70 or 71 shall not affect the rights or obligations under this Convention of that State or of any of its constituent subdivisions or agencies or of any national of that State arising out of consent to the jurisdiction of the Centre given by one of them before such notice was received by the depositary.

Article 73

Instruments of ratification, acceptance or approval of this convention and of amendments thereto shall be deposited with the Bank which shall act as the depositary of this Convention. The depositary shall transmit certified copies of this Convention to States members of the Bank and to any other State invited to sign the Convention.

Article 74

The depositary shall register this Convention with the Secretariat of the United Nations in accordance with Article 102 of the Charter of the United Nations and the Regulations thereunder adopted by the General Assembly.

Article 75

The depositary shall notify all signatory States of the following:

(a) signatures in accordance with Article 67;

(b) deposits of instruments of ratification, acceptance and approval in accordance with Article 73;

(c) the date on which this Convention enters into force in accordance with Article 68;

(d) exclusions from territorial application pursuant to Article 70;

(e) the date on which any amendment of this Convention enters into force in accordance with Article 66; and

(f) denunciations in accordance with Article 71.

DONE at Washington in the English, French and Spanish languages, all three texts being equally authentic, in a single copy which shall remain deposited in the archives of the International Bank for Reconstruction and Development which has indicated by its signature below its agreement to fulfil the functions with which it is charged under this Convention.
